1. Introduction
These Terms of Service and Conditions (the “Terms”) form a binding agreement between Bed and BARKfest, LLC (“Company,” “we,” “us,” or “our”) and the person or entity purchasing or accessing our offerings (“Customer,” “you,” or “your”). By purchasing, accessing, or using any products or services (including digital bundles and consultations, collectively, the “Services”), you agree to these Terms and any applicable Supplemental Terms referenced or presented at purchase. If you do not agree, do not purchase or use the Services. We may update these Terms from time to time; material changes will be notified via the platform or email and will apply prospectively unless otherwise stated.
2. Ownership; Intellectual Property
All content and materials comprising the Services—including videos, checklists, eBooks, worksheets, and consultation materials (the “Content”)—are owned by the Company or its licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws. Except for the limited license expressly granted in Section 3, no rights are granted by implication or otherwise.
3. License Grant
Upon our receipt of full payment for the applicable Service, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to (a) access and view purchased videos/eBooks for your own personal, non-commercial use; (b) download and use the checklist for your personal, non-commercial use; and (c) participate in one consultation session per purchased consultation product. All other uses are prohibited.
4. Prohibited Uses
You agree you will not:
Share, publish, resell, sublicense, or distribute the Content or access credentials.
Copy, record, screen-capture, or otherwise reproduce the Content beyond personal use permitted under Section 3.
Use the Content to create competing products or services.
Interfere with or disrupt the platform or any security or access-control measures.
Harass, abuse, or otherwise disrupt any consultation.
We may suspend or terminate access for violations without refund, and we reserve all rights and remedies.
5. Delivery; Access; Scheduling
Digital Bundles. Delivered via platform (download/stream). You are responsible for compatible devices, software, and reliable internet.
Consultations. Scheduled after purchase through our designated channel. Late arrivals may reduce session time. Rescheduling requires 48 hours’ prior notice. No-shows forfeit the session.
Access Term. Access continues while the platform remains in operation and subject to these Terms; we may modify, suspend, or discontinue features or access for legal, security, operational, or business reasons.
6. Pricing; Payment; Taxes
Prices are listed in U.S. Dollars and exclude applicable taxes unless stated. Payments are processed by third-party payment providers; we do not control and are not responsible for their systems. Full payment is due upfront unless an installment plan is expressly offered. Failed or reversed payments may result in suspended access. You are responsible for all applicable taxes.
7. Refunds; Cancellations; Chargebacks
Digital Bundles. All sales are final once download or streaming access begins, except where a delivery failure is solely our error.
Consultations. Cancellable up to 48 hours before the session for a full refund; within 24 hours, 50% refund; no refund for no-shows or completed sessions.
Process. Submit refund requests to [your email] within 7 days of the issue; approved refunds are processed within 10 business days.
Chargebacks. Unauthorized or bad-faith chargebacks violate these Terms; we reserve the right to contest chargebacks and seek associated costs.
8. Disclaimers
THE SERVICES AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Any advice provided during a consultation is informational/educational only and not medical, legal, financial, or other professional advice. You are solely responsible for your use of the Services.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY MICHIGAN LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION), EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold the Company and its officers, directors, employees, and agents harmless from and against all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your misuse of the Services, violation of these Terms, or infringement of any third-party right.
11. Governing Law; Venue; Waivers
These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-law rules. Exclusive venue lies in the state and federal courts located in Michigan, and you consent to personal jurisdiction there. You waive any right to a jury trial and to participate in a class action to the extent permitted by law.
12. Privacy
We collect and use personal data in accordance with our Privacy Policy, which is incorporated by reference. We may use your email and other contact information to deliver the Services and provide transactional communications. For inquiries, contact [your email].
13. Termination
We may suspend or terminate your access immediately for any violation of these Terms, without prior notice or refund. Upon termination, your license ends and you must cease use and destroy any downloaded Content, except as otherwise required by law.
14. Force Majeure
We are not liable for delays or failures to perform due to events beyond our reasonable control, including acts of God, labor disputes, internet or hosting failures, governmental actions, or other force majeure events.
15. Miscellaneous
Severability. If any provision is held invalid, the remainder remains in full force.
Entire Agreement. These Terms and applicable Supplemental Terms constitute the entire agreement regarding the Services.
No Waiver. Our failure to enforce any right is not a waiver.
Assignment. You may not assign these Terms without our prior written consent; we may assign to an affiliate or in connection with a merger, acquisition, or asset sale.
Notices. Legal notices to the Company must be sent to [your business address] with a copy to [your email].
Supplement A — Digital Products (Video + Checklist + eBook)
Your purchase includes access to one or more digital products as described at checkout. The license is personal, non-transferable, and non-commercial (see Section 3). All sales are final once access begins. Access requires compatible devices and internet. Any unauthorized use, copying, or distribution terminates your license and may result in legal action.
Supplement B — Consultation Service (“Ask Erin”)
The “Ask Erin” consultation is a one-on-one session scheduled through our designated process. Cancellations: full refund with ≥48 hours’ notice; 50% refund with ≥24 hours’ notice; no refund for no-shows. Consultation content is educational and not professional advice. We will treat session information as confidential except where disclosure is required by law, to protect safety, or to enforce these Terms.
