Terms and Conditions for Josdan’s Digital Downloads

1. Introduction

Welcome to Josdan’s Digital Downloads. By purchasing or downloading any digital product from Josdan, you agree to the following terms and conditions. Please read them carefully before making your purchase.

2. Digital Products

Our digital products include, but are not limited to, eBooks, guides, templates, and any other downloadable files offered through our platform. These products are provided in electronic format and are delivered to you via email or direct download upon completion of your purchase.

3. License

By purchasing a digital product from Josdan, you are granted a non-exclusive, non-transferable, single-user license to use the product for personal or internal business use only, unless otherwise specified.

4. Master Resell Rights

If specified in the product description, the purchase of certain digital products includes Master Resell Rights (MRR). This means that you are allowed to resell the product to others and keep 100% of the profits. However, the following conditions apply:

• You may not claim authorship or modify the original product without prior written consent from Josdan.

• You must distribute the product as it is, without alterations, unless otherwise allowed by Josdan.

• Any marketing materials or sales pages provided with the product must be used without changes, unless explicit permission is granted.

5. Affiliate Rights

Josdan may offer affiliate programs for selected digital products. As an affiliate, you are allowed to promote and sell the product, earning a commission on each sale. The following conditions apply:

• You must follow the terms set forth in the affiliate agreement, including but not limited to payment structures, marketing practices, and promotional content usage.

• Affiliates are prohibited from making false claims, engaging in deceptive marketing, or using unethical promotional methods that could harm the reputation of Josdan.

• Josdan reserves the right to terminate affiliate rights at any time for violation of these terms.

6. No Refunds or Exchanges

All sales of digital products are final. Due to the nature of digital downloads, we do not offer refunds or exchanges under any circumstances. If you encounter any issues with your download, please contact our customer support for assistance.

7. Intellectual Property Rights

All digital products are the intellectual property of Josdan. Unauthorized copying, distribution, or modification of the products is strictly prohibited. Any violation of these terms may result in legal action.

8. Disclaimer

Josdan’s digital products are provided “as is” without any representations or warranties, express or implied. We do not warrant that the digital products will meet your requirements or that the operation of the products will be uninterrupted or error-free.

9. Limitation of Liability

Josdan shall not be held liable for any damages, including but not limited to direct, indirect, special, or consequential damages, arising out of the use or inability to use the digital products.

10. Changes to Terms and Conditions

Josdan reserves the right to modify or replace these terms and conditions at any time without prior notice. Continued use of the digital products after any changes signifies your acceptance of the new terms.

THE UBC AMENDING AND CARRYFORWARD AGREEMENT among Josdan's (“Reseller”) and CUSTOMER dated as of MARCH 1, 2024 AMENDING AND CARRYFORWARD AGREEMENT This Amending and Carryforward Agreement (the "Agreement") incorporates terms set out in the UBC Master Reseller Agreement, dated March 1, 2024 (available at: ubcmrr.com/legal) and is meant to bind Reseller and its Customers. WHEREAS, the Reseller has purchased UBC and wishes to resell UBC to its customers using terms and conditions set out in the UBC Master Reseller Agreement. NOW, THEREFORE: 1. All references set out in the UBC Master Reseller Agreement to the UBC JV and/or to 12316421 CANADA INC. and/or to 10574104 CANADA INC. are hereby replaced with Reseller; and 2. Reseller hereby amends and agrees to carryforward terms and conditions set out in the UBC Master Reseller Agreement in respect of its contractual relationship with its Customers.
