JB Kerry Enterprise LLC “Service Agreement”

Client Service Agreement

 

  1. Introduction
    These Terms and Conditions ("Terms") govern the services provided by JB Kerry Enterprise LLC ("the Company") for setting up business entities and establishing business credit. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

  2. Service Description
    The Company provides comprehensive assistance and guidance for individuals looking to set up various business entities, including corporations, LLCs, partnerships, and sole proprietorships. Our services include consultation, document preparation, filing assistance, ongoing support throughout the entity formation process, and assistance in establishing and building business credit.

  3. Client Responsibilities
    a. You are responsible for providing accurate and complete information required for the formation of the business entity.
    b. You agree to cooperate with the Company and promptly respond to requests for information or documentation.
    c. You acknowledge that the Company's services are intended to assist with entity formation but do not constitute legal or financial advice.
    d. You must verify all email and mail correspondences from Secretary of State, IRS, Dun and Bradstreet, iPostal, GoDaddy, and any other responses regarding your business.
    e. You must provide a current FICO credit report for personal credit assessment before applying for major credit card funding.
    f. Failure to provide required documents and information, including but not limited to Driver’s License, Social Security Number, Date of Birth, Current Home Address, Secretary of State login details, Dun and Bradstreet login details, Nav.com login, and failure to reply to emails causing unnecessary delays, will result in a breach of contract.
    g. Failure to follow instructions pertaining to maintaining credit accounts to establish and build business credit, including ordering products and services from the Net 30 accounts set up on the client’s behalf and ensuring they are paid within 30 days, will result in a breach of contract. Any late payment on credit accounts will result in a breach of contract.

  4. Service Fees and Payment
    a. Service fees are determined based on the scope of work and the selected service package.
    b. Payment is due upfront before the commencement of any services.
    c. The Company reserves the right to modify service fees at any time, with notice provided to the client.
    d. All payments are non-refundable once work has commenced, except as provided for in the refund policy.
    e. State filing fees are not included in the initial payment. Clients are responsible for all filing fees associated with the formation of their business entity.
    f. JB Kerry Enterprise LLC will send an invoice to the client for any and all business-related fees.

  5. Refund Policy
    a. The Company offers a 2-day money-back guarantee from the date of purchase, or until work has commenced, whichever comes first.
    b. Refund requests must be made in writing and submitted within the specified timeframe.
    c. No refunds will be issued after 2 days or after work has started on the client's behalf, whichever comes first.
    d. Refunds take up to 7-10 business days to process.

b. Amendment Service:

  1. Business Credit Building Services:
    JB Kerry Enterprise LLC will help set up a minimum of 5 credit accounts, including but not limited to Net 30 accounts and Major Credit Card accounts, to assist in establishing and building business credit.

  2. Estimated Turnaround Times
    a. State LLC Filing: State LLC filing can take up to 2-5 business days or longer in some states.
    b. EIN Filing: EIN filing typically occurs on the same day unless additional information is needed.
    c. DUNS Number: DUNS number acquisition can take up to 30 days to process.
    d. State Business Amendments: State business amendments can take up to 2 weeks to process.
    e. IRS Amendments: IRS amendments can take up to 30-60 days to process. NOTE: We have no control over IRS processing times and all correspondence will come to you directly.
    f. Corporate Binder: The corporate binder will be shipped 2-3 weeks after entity filings have been completed.

  3. Zoom Scheduling
    All Zoom meetings are scheduled in 30-minute intervals. In the event that you are unable to join within 15 minutes of your designated time slot, it will be necessary to reschedule your meeting for the soonest available opening.

  4. Notice
    Please log in to iPostal1 to verify your account and fill out any required forms. Failure to do so will result in any and all mail received being returned to the sender. This is the client's responsibility, not JB Kerry Enterprise LLC.

  5. Client Acknowledgment
    By purchasing any of the services provided by JB Kerry Enterprise LLC, the client acknowledges that they have read, understood, and agreed to be bound by these Terms and Conditions, including the estimated turnaround times and client responsibilities as outlined above.

  6. Breach of Contract
    a. Failure to provide required documents and information, including but not limited to Driver’s License, Social Security Number, Date of Birth, Current Home Address, Secretary of State login details, Dun and Bradstreet login details, Nav.com login, and failure to reply to emails causing unnecessary delays, will result in a breach of contract.
    b. Failure to follow instructions pertaining to maintaining credit accounts to establish and build business credit, including ordering products and services from the Net 30 accounts set up on the client’s behalf and ensuring they are paid within 30 days, will result in a breach of contract. Any late payment on credit accounts will result in a breach of contract.

  7. Company Response Time
    Please note that it can take up to 24-48 hours for the company to respond to emails in the order received. If you have not received a response within this time frame, please resend your email or reach out to us at (800) 413-8651.

  8. Confidentiality
    a. The Company will keep all client information confidential and will not disclose it to third parties except as required by law or with the client's consent.
    b. The client's personal and business information will only be used for the purpose of providing the requested services.

  9. Limitation of Liability
    a. The Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of our services.
    b. The Company's total liability for any claims arising under these Terms shall not exceed the total amount paid by the client for the services.

  10. Governing Law
    These Terms shall be governed by and construed in accordance with the laws of Louisiana, without regard to its conflict of law principles.

  11. Amendments
    The Company reserves the right to amend these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of our services after the posting of amendments constitutes acceptance of those changes.

  12. Power of Attorney
    By agreeing to these Terms, the client hereby grants JB Kerry Enterprise LLC the authority to act as their attorney-in-fact for the purpose of signing and filing documents on behalf of their business. This includes but is not limited to, filing formation documents, applying for EINs, submitting amendments, and any other necessary paperwork to facilitate the services provided by the Company. The client agrees to provide any additional documentation or authorization required to effectuate this power of attorney.

By signing below, the client acknowledges and agrees to be legally bound by the terms and conditions set forth in this Client Service Agreement. The client further confirms that they have read, understood, and accepted all provisions of this agreement, including but not limited to service descriptions, client responsibilities, service fees and payment, refund policy, estimated turnaround times, breach of contract terms, confidentiality, limitation of liability, governing law, and any amendments.

This agreement constitutes a binding contract between the client and JB Kerry Enterprise LLC. The client agrees to comply with all obligations specified herein and understands that any breach of this agreement may result in termination of services and legal action.
