3. No Reproduction or Unauthorized Use
You may not copy, reproduce, republish, upload, post, transmit, translate, distribute, display, share, sell, license, sublicense, modify, adapt, create derivative works from, exploit, or otherwise use any Company content in whole or in part without prior written permission from the Company.

Any unauthorized use of Company content in connection with AI or derivative creation constitutes a material violation of these Terms and may result in immediate termination of access, legal action, and pursuit of all available remedies.
5. No Refunds, No Holds, No Exchanges, No Transfers
All sales are final.
By purchasing any product, service, training, digital product, session, consultation, workshop, resource, or offer from the Company, you acknowledge and agree that there are:
No refunds
No holds
No exchanges
No transfers
This policy applies under all circumstances, including but not limited to:
Change of mind
Failure to use the product or service
Failure to schedule
Scheduling conflicts
Personal emergencies
Business changes
Financial hardship
Technical misunderstanding on your end
Lack of participation
Failure to read the offer details before purchase
Change in availability, interest, priorities, or circumstances
Because of the nature of digital products, intellectual property, immediate access, and limited-capacity service offers, exceptions will not be made.
6. Personal Responsibility for Review Before Purchase
It is your responsibility to review the offer details before purchasing. By completing your purchase, you acknowledge that you have reviewed the description of what is included and have chosen to purchase voluntarily.
The Company is not responsible for misunderstandings arising from your failure to read the sales page, checkout page, product description, delivery details, or these Terms and Conditions.
7. Scheduling and Forfeiture of Calls or Sessions
If your purchase includes a call, session, consultation, advisory meeting, strategy session, or similar service, you are responsible for scheduling it within any timeframe communicated by the Company.
If the Company states that the session must be booked within a certain period and you fail to do so, you may forfeit that session and any amounts paid.
If rescheduling is permitted at the Company’s discretion, any required notice period must be followed exactly. Missed appointments, no-shows, late arrivals, and cancellations outside any required notice window may result in forfeiture of the session without refund, credit, exchange, or transfer.
The Company reserves the right to define and enforce its scheduling policies for all calls and services.
8. Payments
You agree to pay all fees associated with your purchase in full. If you choose a payment plan, you agree to complete all payments according to the payment terms presented at checkout.
Failure to complete payment does not cancel your obligation to pay.
If any payment is declined, reversed, disputed, charged back, or otherwise interrupted, the Company reserves the right to:
Suspend or terminate access
Revoke licenses previously granted
Deny future purchases
Send the outstanding balance to collections
Pursue all lawful remedies to recover unpaid amounts, including attorney’s fees and costs where permitted by law
9. Chargebacks and Payment Disputes
You agree not to initiate a chargeback or payment dispute without first attempting to resolve the matter directly with the Company in writing.
Because all sales are final and these Terms clearly state the Company’s policies, any chargeback initiated in contradiction to these Terms may be considered a breach of contract.
The Company reserves the right to provide these Terms, the checkout records, communications, and related documentation to the payment processor or financial institution in response to any dispute.
10. Access and Delivery
The Company will use reasonable efforts to provide access to purchased materials and services as described. However, the Company is not responsible for delays or disruptions caused by third-party platforms, payment processors, internet providers, software providers, hosting companies, Stan Store, email providers, calendar systems, or other external services.
If a third-party platform fails, malfunctions, delays delivery, restricts access, or experiences downtime, the Company is not liable for that disruption.
11. No Guarantees or Earnings Claims
The Company makes no guarantees regarding any specific outcome, business result, revenue result, financial result, client result, implementation result, or other result from your purchase or use of any Company product, service, or content.
Any examples, illustrations, case studies, opinions, or statements regarding outcomes are provided for informational purposes only and should not be interpreted as promises or guarantees.
Your results depend on a range of factors including your effort, judgment, execution, market, experience, offer, pricing, audience, systems, timing, and other variables outside the Company’s control.
12. Educational and Informational Use Only
All Company content is provided for educational, informational, and strategic purposes only. Nothing provided by the Company should be construed as legal, financial, tax, medical, therapeutic, or other licensed professional advice.
You are solely responsible for seeking your own legal, financial, tax, business, or other professional guidance as appropriate for your circumstances.
13. User Conduct
You agree not to use the Company’s content, services, or platforms in any unlawful, abusive, threatening, defamatory, infringing, harassing, fraudulent, or otherwise improper manner.
The Company reserves the right to refuse service, revoke access, remove access, or terminate participation at its sole discretion if it determines that you have violated these Terms, misused the content, engaged in misconduct, infringed intellectual property, or acted in a way that is harmful to the Company or others.
14. Testimonials, Feedback, and Submissions
If you voluntarily provide feedback, comments, testimonials, suggestions, ideas, or other submissions to the Company, you grant the Company the unrestricted right to use, reproduce, publish, display, and distribute such submissions, unless otherwise agreed in writing.
You represent that any feedback or testimonial you provide is truthful and based on your actual experience.
15. Privacy
The Company will handle personal information in accordance with its applicable privacy practices and any privacy policy made available by the Company. By purchasing or using the Company’s offers, you understand that your information may be collected and used for business operations, delivery, communications, records, legal compliance, and customer service.
16. Disclaimer of Warranties
All Company content, products, services, and materials are provided “as is” and “as available” without warranties of any kind, express or implied, to the fullest extent permitted by law.
The Company disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, and uninterrupted access.
17. Limitation of Liability
To the fullest extent permitted by law, Perfect Flow Funnels, Inc., Sovara Structure™, and their owners, officers, directors, employees, contractors, agents, affiliates, licensors, successors, and assigns shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages arising out of or related to your purchase, access, use, misuse, inability to use, or reliance upon any Company content, product, service, or material.
This includes, but is not limited to, damages relating to:
Your sole remedy for dissatisfaction is to discontinue use of the product, service, or content.
18. Indemnification
You agree to indemnify, defend, and hold harmless Perfect Flow Funnels, Inc., Sovara Structure™, and their owners, officers, directors, employees, contractors, agents, affiliates, licensors, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees, including reasonable attorney’s fees, arising out of or related to:
Your breach of these Terms
Your misuse of the content
Your violation of any law or third-party right
Your infringement or misappropriation of intellectual property
Your unauthorized reproduction, distribution, or AI-based use of the Company’s content
19. Governing Law and Venue
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.
You agree to submit to the exclusive jurisdiction and venue of the state or federal courts located in Bexar County, Texas, for any dispute arising out of or related to these Terms, your purchase, or your use of any Company content, product, or service.
20. Severability
If any provision of these Terms and Conditions is held to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

PLR LICENSE - THIS APPLIES WHEN YOU PURCHASE OUR PLR PRODUCTS
PRIVATE LABEL RIGHTS (PLR) LICENSE AGREEMENT
Rebrand • Sell as a Finished Product • Implement for Clients
No PLR, Master Resale Rights, or Redistribution Rights May Be Passed On
Licensor: Sovara Structure™ ("Licensor")
Licensee: The individual or legal entity that lawfully purchases or receives the licensed product ("Licensee")
Covered Product(s): Each PLR product, template, software application, document, checklist, or related resource supplied by Licensor under this license, as identified in the applicable product listing or order (collectively, the "Product")
Effective Date: The date Licensee accepts this Agreement and acquires the applicable Product
This Private Label Rights License Agreement ("Agreement") governs Licensee's use of each Product provided with this Agreement, unless Licensor expressly provides different written license terms for a particular Product. By purchasing, downloading, accessing, or using a Product after being presented with this Agreement, Licensee agrees to its terms, to the extent such acceptance is enforceable under applicable law.
1. WHAT THIS LICENSE ALLOWS
Subject to compliance with this Agreement, Licensor grants Licensee a nonexclusive, worldwide, nontransferable, royalty-free-after-purchase license to:
Use the Product for Licensee's own personal or internal business purposes.
Edit, customize, adapt, and rebrand the Product, including changing the title, colors, layout, content, workflows, and other customizable elements.
Sell a rebranded Product as a finished product to end customers for those customers' own personal or internal business use, at prices determined by Licensee.
Use or deliver a rebranded Product as part of client services, including setup, configuration, customization, training, and implementation, and charge for those services.
Provide a rebranded editable template or independent software project to an end customer, if needed for that customer's own use and customization, provided the customer receives no right to resell, redistribute, or relicense it.
Include rebranded supporting materials, such as user guides, instructions, prompts, and security checklists, with a permitted finished product or as an independently rebranded end-user product.
Licensee may make multiple permitted sales or client implementations without paying a separate royalty to Licensor, unless a particular product listing expressly states a different limit. Licensor may license the same Product to other buyers. No exclusivity is granted.
2. REBRANDING IS REQUIRED BEFORE ANY SALE OR CLIENT DELIVERY
Before selling, transferring, or delivering the Product to an end customer, Licensee must clearly rebrand the delivered version under Licensee's own identity, including:
Replacing the Product name and any visible Licensor branding with Licensee's own product or business name, as appropriate.
Applying Licensee's own business name and logo to the customer-facing product, documents, or interface wherever branding appears.
Removing Licensor-specific sales language, links, contact details, and promotional materials from the customer-facing version, except legally required third-party notices.
Updating reasonably accessible customer-facing titles, file names, cover pages, and similar identifiers to reflect Licensee's brand.
Licensee may choose the degree of functional customization. Branding is mandatory; redesigning every feature is not. Licensee may market the finished product under Licensee's own brand but may not falsely claim to own the original underlying intellectual property or impersonate Licensor.
3. END CUSTOMERS RECEIVE USE RIGHTS ONLY — NOT RESALE RIGHTS
An end customer may receive the rebranded finished product to use for the customer's own personal or internal business purposes. If the product is editable, the end customer may also modify or configure that copy solely for the customer's own use.
Licensee must not grant or suggest that an end customer receives Private Label Rights (PLR), Master Resale Rights (MRR), Resale Rights (RR), redistribution rights, sublicensing rights, or permission to sell or give away copies to third parties.
Licensee is responsible for stating these restrictions clearly in its own customer-facing license, sale terms, or client agreement and obtaining appropriate acceptance from its end customers. Licensee may not promise end customers more rights than this Agreement allows.
4. STRICTLY PROHIBITED ACTIVITIES
Licensee may not, whether directly or indirectly:
Sell, give away, sublicense, assign, or otherwise distribute the original Product, its master files, or an unbranded copy as a PLR, MRR, RR, or other resellable-rights product.
Sell or offer any version of the Product with permission for the recipient to resell, relicense, redistribute, or offer it as PLR, MRR, RR, or another rights-bearing template.
List the Product or its master files in a PLR library, resale-rights marketplace, template-reseller package, membership, giveaway, shared download folder, or similar offering that allows others to obtain the underlying Product for redistribution.
Publicly post, expose, or distribute Licensor's original master download links, source files, or original remix links. A permitted end-customer delivery must use a rebranded copy and must not disclose the Licensor's original master distribution asset.
Resell or distribute the Product under Licensor's original name or branding, or represent Licensee as Licensor or as the creator or exclusive copyright owner of the original underlying Product.
Remove or violate third-party copyright, open-source, or license notices where the applicable third-party license requires those notices to remain.
Transfer this PLR license to another person, agency, affiliate, contractor, or business for that party's independent resale activities. Service providers may assist Licensee with customization under Licensee's responsibility, but receive no independent PLR license.
Adding a logo or changing the name does not remove the prohibition on passing along resale rights. The permission granted here is to sell a branded finished product for end use, not to sell the right to become another reseller.
5. INTELLECTUAL PROPERTY AND OWNERSHIP
Licensor (and any applicable third-party rights holders) retains ownership of the original Product and its underlying intellectual property. This Agreement is a license, not an assignment or sale of copyright, source ownership, or other proprietary rights.
Licensee owns its independently created branding, original additions, and other materials to the extent permitted by law and applicable third-party terms. Such additions do not transfer ownership of Licensor's original Product. Licensee may use its own trademarks on permitted branded products but receives no right to use Licensor's trademarks except as expressly authorized in writing.
6. SOFTWARE, TEMPLATE LINKS, AND THIRD-PARTY SERVICES
Some Products may depend on Lovable or other software platforms, hosting providers, databases, payment services, AI services, integrations, fonts, or third-party components. Those services and components are governed by their own terms, restrictions, and fees. This Agreement does not grant Licensee ownership of or rights to redistribute any third-party platform, service, or component beyond rights provided by its owner.
Licensee is responsible for confirming that its chosen method of copying, remixing, publishing, hosting, or delivering a Product complies with applicable third-party terms. If an editable project is provided to an end customer, it must be a properly rebranded customer copy, and the end customer must receive only the end-use rights described in Section 3.
7. IMPLEMENTATION, SECURITY, AND REGULATORY RESPONSIBILITIES
Licensee is responsible for evaluating, customizing, testing, securing, and supporting each Product it uses or supplies to a client, including any required account access rules, database protections, authentication, privacy notices, backups, integrations, and updates. Licensee is responsible for its own representations, client contracts, applicable laws, and industry-specific requirements.
Security checklists, prompts, and instructions are educational or operational aids. They do not guarantee that an application cannot be accessed without authorization, compromised, or misconfigured, and they do not replace independent testing or qualified professional review where appropriate.
Licensee must not represent that a Product is certified, compliant, secure, or approved by Licensor or a government or industry body unless that statement is accurate and expressly authorized.
8. SALES, PRICING, AND CUSTOMER RELATIONSHIPS
Licensee sets its own prices, marketing, support commitments, refund policies, and terms for permitted finished products and implementation services, subject to applicable law. Licensee alone is responsible for its customer relationships, billing, taxes, customer support, marketing claims, fulfillment, and customer data handling.
Purchasing the Product does not create an agency, employment, partnership, franchise, or joint venture between Licensee and Licensor. Licensee may not bind Licensor to obligations or make commitments on Licensor's behalf.
9. NO GUARANTEED RESULTS; LIMITED SUPPORT
Products are provided as described in their applicable listings. Except for any express written promise made by Licensor, Licensor has no obligation to customize Products, perform implementation for Licensee's customers, provide updates, maintain third-party compatibility, or provide ongoing technical support. Licensor does not guarantee sales, revenue, profitability, commercial success, uninterrupted operation, or suitability for a particular use.
10. TERM AND TERMINATION
This license continues for the duration of applicable intellectual-property rights unless terminated under this Agreement. Licensor may terminate the license for a material breach if Licensee fails to cure the breach within ten (10) calendar days after written notice, where a cure is reasonably possible. Licensor may terminate immediately for deliberate or repeated unauthorized distribution or granting of prohibited PLR, MRR, RR, or redistribution rights.
Upon termination, Licensee must stop new sales, distribution, reproduction for resale, and new client implementations using the Product; remove prohibited listings and access links; and cease using Licensor's original master files except as necessary to comply with law. Termination does not automatically revoke the ordinary end-use rights of end customers who lawfully received compliant finished products before termination, unless applicable law or a separate enforceable end-user agreement provides otherwise. Sections intended by their nature to survive termination will survive.
11. WARRANTIES AND LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PRODUCT IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT WHERE SUCH DISCLAIMERS ARE PROHIBITED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST BUSINESS, DATA LOSS, SECURITY INCIDENTS, OR BUSINESS INTERRUPTION ARISING FROM USE OF A PRODUCT. LICENSOR'S TOTAL LIABILITY ARISING FROM A CLAIM RELATING TO A PRODUCT WILL NOT EXCEED THE AMOUNT LICENSEE PAID LICENSOR FOR THAT PRODUCT IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
12. INDEMNIFICATION
To the extent permitted by law, Licensee agrees to defend, indemnify, and hold harmless Licensor and its officers, owners, employees, and agents from third-party claims, damages, liabilities, and reasonable expenses (including legal fees) arising from Licensee's unauthorized distribution, modifications, customer-facing claims, implementation services, violation of law, or breach of this Agreement, except to the extent caused by Licensor's own wrongful conduct.
13. PAYMENTS AND REFUNDS
Product pricing, payment terms, and any refund eligibility are governed by the applicable checkout, order terms, and mandatory consumer-protection law. Nothing in this Agreement removes rights that cannot legally be waived.
14. GOVERNING LAW AND DISPUTES
This Agreement is governed by the laws of [INSERT STATE AND COUNTRY], without regard to conflict-of-law principles, except where mandatory law requires otherwise. Subject to mandatory legal protections, disputes arising from this Agreement will be brought in the competent courts located in [INSERT COUNTY, STATE AND COUNTRY]. Each party agrees to the jurisdiction of those courts.
15. GENERAL TERMS
If any provision is unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law. Failure to enforce a provision is not a waiver of the right to enforce it later. Licensee may not assign or transfer this Agreement without Licensor's prior written consent. Notices may be sent to the contact details supplied with the order and to support@perfectflowfunnels.com
This Agreement, together with any product-specific written terms and the applicable order, is the entire agreement concerning these licensed rights. Any waiver or change must be made in writing by Licensor; updated license terms do not retroactively change a completed purchase unless Licensee agrees or applicable law requires otherwise. If product-specific written terms expressly conflict with this Agreement, the product-specific terms control for that Product.
16. LICENSE ACCEPTANCE
By purchasing, downloading, accessing, or using the Product after receiving a reasonable opportunity to review this Agreement, Licensee acknowledges and agrees that:
Licensee may use, customize, rebrand, sell, and implement the Product only as expressly permitted above.
Every Product sold or delivered to an end customer must be rebranded under Licensee's own business or product identity first.
End customers receive use rights only. They do not receive PLR, MRR, RR, or rights to resell or redistribute the Product.
Licensor retains ownership of the original underlying Product and the PLR license itself.
