PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE PURCHASING OR USING ANY PRODUCT, SERVICE, DIGITAL CONTENT, OR BOOKING OFFERED THROUGH THE TRUE VENA LLC STAN STORE.
By accessing, browsing, purchasing from, downloading from, booking through, or otherwise using the True Vena LLC Stan Store, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, do not access, purchase, download, book, or use any product, service, content, or materials offered through this store.
These Terms apply to the True Vena LLC Stan Store and all related products, digital downloads, educational materials, guides, templates, training content, videos, calls, consultations, mentorship services, communications, and other materials made available by True Vena LLC (collectively, the “Store,” “Content,” “Products,” or “Services”).
For purposes of these Terms, “Company,” “we,” “us,” and “our” refer to True Vena LLC. “You” and “your” refer to any visitor, customer, purchaser, student, client, or user of the Store, Content, Products, or Services.
1. ELIGIBILITY AND ACCEPTANCE OF TERMS
You represent that you are at least eighteen (18) years old and legally able to enter into a binding agreement. If you are purchasing a Product or Service for a minor, you represent that you are the minor’s parent or legal guardian and have authority to accept these Terms on the minor’s behalf.
Your purchase, download, access, booking, or use of any Product or Service confirms your acceptance of these Terms. True Vena LLC may revise these Terms at any time by updating this posting. The version in effect at the time of your purchase, booking, or use will apply to that transaction.
2. EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY
All Content, Products, Services, training materials, digital guides, study resources, templates, videos, calls, mentorship, consultations, and other information provided by True Vena LLC are offered for general educational and informational purposes only.
Nothing provided by True Vena LLC constitutes medical advice, legal advice, financial advice, employment advice, business advice, certification advice, licensure advice, or a substitute for professional guidance from an appropriately qualified professional.
True Vena LLC does not diagnose, treat, prescribe, interpret laboratory results, provide emergency medical care, or establish a provider-patient relationship through the purchase or use of educational Products or Services offered in this Stan Store.
You are solely responsible for verifying and complying with all current laws, regulations, employer policies, facility policies, clinical standards, certification requirements, credentialing requirements, scope-of-practice requirements, and state or local requirements that may apply to you.
3. NO GUARANTEE OF RESULTS
True Vena LLC makes no guarantee that you will pass an examination, receive a certification, obtain or retain employment, secure clinical placement, obtain licensure, generate income, start or grow a business, obtain clients, acquire contracts, or achieve any particular personal, educational, professional, financial, or business outcome.
Your results depend on many factors outside the control of True Vena LLC, including your own effort, knowledge, experience, preparation, judgment, consistency, local requirements, employer standards, market conditions, and individual circumstances.
Any examples, testimonials, success stories, demonstrations, income discussions, professional experiences, or outcomes shared by True Vena LLC or third parties are illustrative only. They are not promises, guarantees, or representations that you will achieve similar results.
4. DIGITAL PRODUCTS AND PERSONAL-USE LICENSE
Unless otherwise stated in writing, all digital Products are provided for your individual, personal, non-transferable, non-commercial use only.
Subject to your compliance with these Terms, True Vena LLC grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use purchased digital Products for your own personal educational use.
You may not, without the prior written permission of True Vena LLC:
Copy, reproduce, duplicate, republish, upload, post, transmit, distribute, share, sell, resell, sublicense, rent, lease, modify, adapt, translate, reverse engineer, or commercially exploit any Product or Content.
Share a purchased Product, download link, login information, course access, document, template, video, recording, worksheet, guide, or other Content with any other person.
Use any Product or Content to create, market, sell, distribute, teach, license, or promote a competing product, course, guide, training, template, service, or resource.
Remove copyright notices, branding, trademarks, proprietary notices, watermarks, or other identifying information from any Product or Content.
Use screenshots, recordings, excerpts, or copies of True Vena LLC Content for commercial, public, promotional, educational, or social-media purposes without prior written permission.
Any unauthorized use may result in immediate termination of access, cancellation of bookings, and pursuit of all available legal remedies.
5. INTELLECTUAL PROPERTY
All Content available through the Store, including but not limited to digital guides, study materials, text, graphics, videos, audio, photographs, branding, logos, worksheets, templates, documents, designs, course materials, training materials, names, trade dress, and other proprietary materials, is owned by or licensed to True Vena LLC and is protected by applicable intellectual-property laws.
True Vena LLC retains all right, title, and interest in and to its Content, Products, Services, trademarks, trade names, logos, and intellectual property. Nothing in these Terms transfers ownership of any intellectual property to you.
If you believe that content available through the Store infringes your intellectual-property rights, contact True Vena LLC through the contact method listed on your purchase receipt or available through the Store, and include your name, contact information, a description of the allegedly infringed work, the location of the claimed infringement, and any relevant registration or ownership information.
6. PURCHASES, PAYMENT, AND PRICING
You agree to pay all charges associated with Products or Services that you purchase through the Store. You are responsible for providing accurate, current, and complete payment and contact information.
Prices may change at any time without notice. True Vena LLC is not required to provide price adjustments, price protection, or refunds if a Product or Service is later offered at a lower price, during a promotion, or as part of a bundle.
True Vena LLC reserves the right to refuse, cancel, or limit any order in its sole discretion, including where an order appears fraudulent, unauthorized, abusive, or inconsistent with these Terms.
7. DIGITAL-PRODUCT REFUND POLICY
Due to the immediate-access nature of digital Products, all sales of downloadable products, digital study guides, templates, ebooks, recorded trainings, video materials, worksheets, and other digital educational resources are final and non-refundable once access, delivery, or download has been provided.
If a technical issue prevents you from receiving or accessing a digital Product that you properly purchased, you must contact True Vena LLC promptly through the contact method listed on your purchase receipt or available through the Store. True Vena LLC may, in its sole discretion, provide replacement access, resend the Product, offer an alternative delivery method, or issue a refund where appropriate.
Nothing in these Terms is intended to limit any consumer right that cannot legally be waived.
8. CALLS, CONSULTATIONS, AND MENTORSHIP BOOKINGS
If your purchase includes a consultation, mentorship session, coaching call, strategy call, training call, or another live booking with True Vena LLC, you are responsible for booking and attending your session.
All booked calls and sessions are non-refundable.
To cancel or reschedule a call, you must provide at least forty-eight (48) hours’ notice before the scheduled start time. Requests made with less than forty-eight (48) hours’ notice may be denied.
If you do not attend your scheduled call, arrive more than ten (10) minutes late, fail to provide timely notice of cancellation, or request a reschedule within forty-eight (48) hours of the appointment, you may forfeit the session without refund, credit, or rescheduling.
True Vena LLC may reschedule a call when reasonably necessary because of illness, emergency, technical difficulty, scheduling conflict, or another circumstance outside the Company’s reasonable control.
9. USER CONDUCT
You agree not to use the Store, Products, Services, or Content for any unlawful, fraudulent, abusive, harmful, harassing, defamatory, infringing, or unauthorized purpose.
You agree not to interfere with the Store’s functionality, attempt to gain unauthorized access to any account or system, distribute malware, use automated systems to extract Content, impersonate another person, or use the Store in a way that may damage, disrupt, or impair True Vena LLC or other users.
True Vena LLC may suspend or terminate your access to the Store, Products, Services, or Content at any time if it reasonably believes that you violated these Terms, engaged in fraud or abuse, made an unauthorized chargeback, infringed intellectual-property rights, or otherwise acted in a manner harmful to True Vena LLC, its Content, or other users.
10. THIRD-PARTY SERVICES AND LINKS
The Store may use or reference third-party platforms, websites, payment processors, booking tools, software, educational resources, social-media platforms, or services. True Vena LLC does not own or control those third-party services and is not responsible for their availability, security, content, policies, performance, actions, omissions, or technical issues.
Your use of a third-party website or service is governed by that third party’s own terms, conditions, and privacy practices.
11. PRIVACY AND ELECTRONIC COMMUNICATIONS
By purchasing, booking, subscribing, or otherwise providing your contact information through the Store, you consent to receive transactional communications from True Vena LLC related to your purchase, product delivery, booking, account, customer support, updates, and other Store-related matters.
True Vena LLC may also send communications concerning new Products, Services, educational resources, offers, or updates, subject to applicable law and your available unsubscribe options.
True Vena LLC will use reasonable efforts to protect information submitted through the Store. However, no internet transmission, digital platform, payment system, or data-storage system can be guaranteed to be completely secure. You use the Store and submit information at your own risk.
12. DISCLAIMER OF WARRANTIES
THE STORE, CONTENT, PRODUCTS, AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, TRUE VENA LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, OR UNINTERRUPTED ACCESS.
TRUE VENA LLC DOES NOT WARRANT THAT THE STORE, CONTENT, PRODUCTS, OR SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, TIMELY, SECURE, FREE OF VIRUSES OR HARMFUL COMPONENTS, OR SUITABLE FOR YOUR PARTICULAR NEEDS.
13. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, TRUE VENA LLC, ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OPPORTUNITY, EMPLOYMENT, CERTIFICATION, LICENSURE, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO THE STORE, CONTENT, PRODUCTS, SERVICES, OR THESE TERMS.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF TRUE VENA LLC FOR ANY CLAIM ARISING OUT OF OR RELATED TO A PRODUCT, SERVICE, OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO TRUE VENA LLC FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OR EXCLUSIONS OF LIABILITY. IN THOSE JURISDICTIONS, TRUE VENA LLC’S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
14. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless True Vena LLC, its owners, members, officers, employees, contractors, agents, affiliates, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:
Your violation of these Terms.
Your unauthorized use, sharing, resale, copying, or distribution of Content, Products, or Services.
Your violation of any law, regulation, third-party right, intellectual-property right, privacy right, or contractual obligation.
Your use of information obtained through the Store, Products, Content, or Services.
15. GOVERNING LAW AND VENUE
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict-of-law principles.
Any dispute, claim, or legal action arising out of or related to these Terms, the Store, Content, Products, or Services shall be brought exclusively in the state or federal courts located in Davidson County, Tennessee. You consent to the personal jurisdiction and venue of those courts.
16. SEVERABILITY AND ENTIRE AGREEMENT
If any provision of these Terms is found unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
These Terms constitute the entire agreement between you and True Vena LLC concerning your use of the Store and purchase or use of Products, Services, and Content, unless a separate written agreement signed by True Vena LLC expressly states otherwise.
