BEYOND THE COURSE LLC
TERMS OF PURCHASE
Effective August 30, 2026
These Terms of Purchase (these "Terms") are a binding agreement between Beyond The Course LLC, a Florida limited liability company ("Company"), and each person who purchases the Program ("Purchaser" or "you").
1. THE SERVICES; ACCEPTANCE; ELIGIBILITY
1.1 Definitions. "Program" means the Beyond The Course digital educational program and all modules, videos, recordings, transcripts, written materials, templates, and marketing assets Company makes available. "Community" means the private online community Company operates on the Platform. "Reseller Program" means the referral and revenue-share program in Section 5, and "Reseller" means a Purchaser participating in it. "Services" means the Program, the Community, and the Reseller Program together. "Platform" means Skool, the third-party platform through which Company delivers the Services. "Company Content" means the Program, the Community, all content and session recordings produced by Company, the name "Beyond The Course," Company's logo and brand elements (the "Company Marks"), and all intellectual property rights in the foregoing. "Member Content" means content a Purchaser submits within the Community. "Purchase Price" means the price Company publishes for the Program.
1.2 Acceptance. You accept these Terms upon the earliest of checking the acknowledgment box at checkout, submitting payment, or accessing any part of the Services. These Terms govern your purchase whether you purchased through Company's own checkout or through a checkout operated by a Reseller.
1.3 Eligibility. You represent that you are at least eighteen (18) years of age, have capacity to enter these Terms, are purchasing on your own behalf or with authority to bind the entity named at checkout, are not acquiring the Program in order to reproduce it for a competing offering, and are not prohibited by law from purchasing or from participating in the Reseller Program. Company does not offer the Services to minors, will close any account of a person under eighteen upon discovery, and any Reseller Share accrued on such an account is void.
1.4 What Is Included. Your purchase entitles you to the Program and the Community as described on the checkout page on the date of your purchase, together with eligibility for the Reseller Program. That description governs what you receive.
Company may add to, modify, reorganize, replace, or retire any content, session, format, or feature, and may change what is included in purchases made after the date of the change, provided that Company shall not remove the substantive core of what you purchased. Materials Company identifies as forthcoming are not included, and Company makes no commitment as to whether or when they will be released. Company does not guarantee the participation of any particular founder, instructor, or guest. Access continues for so long as Company operates the Services.
2. PRICE, PAYMENT, AND REFUNDS
2.1 Price. The Purchase Price is $[●], payable once, plus any taxes required to be collected. These Terms create no subscription, and no recurring or renewal charge will be assessed. Company may change the Purchase Price at any time; a later reduction or promotion entitles you to no refund, credit, or adjustment.
2.2 Installments. Where an installment option is offered and you elect it, you agree to pay the full Purchase Price in not more than four (4) scheduled installments, without finance charge, interest, or fee, and you authorize the applicable payment processor to charge your designated payment method on each scheduled date until paid in full. Your access to the Services and your Reseller Program participation may be suspended while an installment is past due, and the entire unpaid balance becomes immediately due upon default.
2.3 Collection of Payment. Payment is collected either by Company through its own checkout or by a Reseller, acting as Company's limited collection agent, through a checkout the Reseller operates. In either case your agreement for the Program is with Company, Company delivers the Program and the Community, and these Terms govern. Payment is processed by a third-party payment processor, and neither Company nor any Reseller receives or stores your complete payment card number.
2.4 All Sales Are Final. The Program is delivered in full upon purchase, together with Community access and eligibility for the Reseller Program. All sales are final and no refunds are given. None of the following is grounds for a refund: change of mind; failure to access or use the Program; failure to generate any sale or Reseller Share; dissatisfaction with the format or delivery of the Program; or any expectation inconsistent with Section 1.4 and the checkout page. No refund is payable where Company terminates your access under Section 9.1. Company may issue a refund in a circumstance it considers warranted; doing so establishes no policy and creates no obligation as to any other transaction.
2.5 Statutory Rights Preserved. Where applicable law confers on you a right to cancel or rescind this purchase that may not be waived by agreement, that right controls over Section 2.4 and nothing in these Terms limits it.
2.6 Chargebacks. You shall notify Company in writing of any disputed charge before initiating a chargeback or payment dispute, and Company shall investigate and respond within five (5) business days. Initiating a chargeback without prior written notice is a breach of these Terms, and Company may terminate your access and decline to readmit you. Where a chargeback is resolved in favor of Company or the collecting Reseller, you remain liable for the amount charged and any fee assessed. Nothing in this Section waives any right you hold under the Fair Credit Billing Act or other applicable law.
3. ACCESS AND INTELLECTUAL PROPERTY
3.1 Single User. Access is licensed to one natural person. You shall not sell, transfer, assign, lend, sublicense, or share your credentials or access with any person, including a spouse, business partner, employee, contractor, or client. Where Company determines that credentials have been used by more than one person, Company may terminate access without refund and void any unpaid Reseller Share. You are responsible for all activity under your account and shall notify Company promptly of any unauthorized access.
3.2 Ownership and License. Company owns or licenses all Company Content, and no right, title, or interest in it transfers to you. Subject to your compliance with these Terms, Company grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Program for your own education and within your own business, for so long as your account is active and in good standing.
3.3 No Distribution Rights. Rights under the Reseller Program are limited to promoting the Program, collecting payment as Company's limited collection agent where Section 5.6(b) applies, and retaining or receiving the Reseller Share. They include no right to copy, host, deliver, bundle, rebrand, sublicense, or otherwise distribute Company Content. Company delivers the Program and the Community to every purchaser, including purchasers who paid through a Reseller's checkout. A Reseller shall not deliver, transmit, or provide access to Company Content to any purchaser.
3.4 Restrictions. You shall not, and shall not permit any third party to: (a) copy, republish, transmit, stream, sell, resell, sublicense, rent, or distribute Company Content in whole or in part; (b) record, screen-record, transcribe, or otherwise capture any live session, or admit any transcription or automated notetaking service to a session; (c) rebrand, white-label, excerpt, or repackage Company Content, or use it to develop, teach, or market a competing course, community, or coaching offering; (d) use Company Content or Member Content to train, fine-tune, or ground any machine-learning or artificial-intelligence system; (e) scrape, crawl, harvest, or bulk-export the Community, Member Content, or any member list by automated means; (f) remove or alter any proprietary notice or watermark; or (g) reverse-engineer or circumvent any access control. Subsections (a) through (f) survive termination indefinitely.
3.5 Brand License. For so long as you are a Reseller in good standing, Company grants you a revocable, non-exclusive, non-transferable license to use the Company Marks and Company-supplied marketing assets, as supplied and without modification, solely to promote the Program and direct traffic to your Affiliate Link or Reseller checkout. This license is subject to Sections 5 and 6 and may be revoked at any time. It terminates, together with the license in Section 3.2, upon termination of your access, and you shall remove the Company Marks and all supplied assets from your marketing materials and any storefront within ten (10) days.
3.6 Copyright Complaints. A person claiming that content available through the Services infringes that person's copyright may submit written notice to Company at the address in Section 12.6 identifying the complainant, the work, and the material claimed to be infringing, stating a good-faith belief that the use is unauthorized, stating under penalty of perjury that the notice is accurate and the complainant is authorized to act, and bearing the complainant's signature. Company removes infringing material and terminates the accounts of repeat infringers.
4. THE COMMUNITY
4.1 Community Rules. The Beyond The Course Community Rules are incorporated into these Terms by reference. A breach of the Community Rules is a breach of these Terms.
4.2 Member Content. You retain ownership of Member Content and grant Company a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, distribute, and adapt it in order to operate, moderate, improve, and archive the Services, terminating upon deletion of the content except as to backups and content with which other members have interacted. You represent that you hold all rights necessary to submit Member Content and that it infringes no intellectual property right, violates no right of privacy or publicity, and contravenes no law. Company may remove, edit, or decline to publish any Member Content at any time, with or without notice, and has no obligation to preserve or return it after your access ends. Member Content reflects the views of the person who submitted it, and Company does not adopt, verify, or assume responsibility for it.
4.3 Testimonials and Likeness. Where you provide Company with a testimonial, or publish a statement about your experience that identifies or tags Company, you grant Company a non-exclusive, royalty-free license to reproduce that statement, with your first name, last initial, city, and any image or video you supplied with it, in Company's marketing. You may revoke this license prospectively by written notice, whereupon Company will discontinue new uses within a reasonable period, though Company need not recall materials already distributed. Company shall not edit any such statement in a manner that alters its meaning or use it to represent a result you did not describe.
4.4 Recorded Sessions. Live sessions, coaching calls, and question-and-answer sessions are recorded, including audio, video, and chat. By joining a live session you consent to being recorded and to that recording being made available to other Purchasers as part of the Services. A person who prefers not to appear may disable video, remain muted, refrain from session chat, or view the recording afterward. Company may use recordings for the Services and for internal training, and shall not use a recording identifying you in public marketing without your separate written consent.
5. RESELLER PROGRAM
5.1 Participation. Eligibility is included with purchase and is conditioned on Company's approval and your continued good standing. Company may decline, suspend, or revoke participation in its sole discretion, including where your marketing or your handling of purchaser funds or purchaser data presents legal, reputational, or payment-processor risk to Company. The Reseller Program is non-exclusive and confers no territory, market, or channel exclusivity. Subject to Section 8.2, you may promote other products. Company may sell directly, appoint additional Resellers, and market through any channel.
5.2 Attribution. Company will issue you a unique tracking link keyed to your account (the "Affiliate Link"). A sale is attributed to you where the purchaser completes the transaction through your Affiliate Link within the attribution window configured on the Platform, currently thirty (30) days, or where you collect payment for the sale under Section 5.6(b) and report it under Section 5.8. Company may modify or reissue your Affiliate Link upon notice. For sales through Company's checkout, attribution is determined by the records of Company and the Platform, which are conclusive.
5.3 The Split. For each completed sale of the Program attributed to you, you are entitled to eighty percent (80%) of the amount collected, net of taxes, payment-processing fees, and any discount applied (the "Reseller Share"), and Company is entitled to the remaining twenty percent (20%) (the "Company Share"). This allocation applies however payment is collected.
5.4 Single-Level Compensation. The Reseller Share is payable solely on sales you personally generate to end purchasers. No override, downline, tier, residual, bonus, or compensation of any kind is payable for recruiting, enrolling, or sponsoring any other Reseller or purchaser. No Reseller acquires any right to any amount arising from another person's sales activity.
5.5 Excluded Transactions. No Reseller Share arises on your own purchase; a purchase made by you under another name, by a member of your household, or by an entity you control; a purchase that is refunded, charged back, reversed, or fraudulent; a purchase obtained through marketing prohibited by Section 6; or a purchase by a person already attributed to another source in Company's records. Self-referral is grounds for termination under Section 9.1.
5.6 How Payment Is Collected and Divided. Payment for a sale attributed to you will be collected by one of the following routes, and the applicable subsection governs.
(a) Company checkout. Where the purchaser pays through Company's own checkout or through the Platform, the payment processor or the Platform disburses the Reseller Share to your connected payout account in accordance with that processor's or Platform's settlement schedule, and Company retains the Company Share. Company does not hold Reseller funds, does not operate a payout schedule of its own, and owes you no amount beyond causing the processor or Platform to route the Reseller Share. You are responsible for connecting and maintaining a valid payout account, and Company bears no liability for funds routed to an account you designated.
(b) Reseller checkout. Where you collect payment directly, whether through your own payment processor account or through a storefront or link-in-bio service including Stan Store and Beacons, you collect that payment as Company's limited collection agent and for the sole purpose of this Section. You retain the Reseller Share and shall remit the Company Share to Company within twenty-four (24) hours of the time the funds settle to your account, by the method Company designates.
Where Company does not receive the Company Share at the time of sale, that amount is a debt due from you to Company from the time of settlement, is held by you for Company's benefit until remitted, and shall not be commingled with your own funds beyond the remittance period. An amount not remitted when due bears interest at the lesser of one and one-half percent (1.5%) per month and the maximum rate permitted by law, and non-remittance is a ground for immediate termination under Section 9.1.
You act as a collection agent for this purpose only, and this Section confers no authority to make any representation, incur any obligation, or otherwise act on Company's behalf.
(c) No amount owed by Company. Under either route, Company does not accrue, hold, or pay a balance to you, and there is no accrual threshold, payout run, or minimum payment.
5.7 Purchaser Handoff and Required Disclosures for Reseller Checkouts. Where you collect payment under Section 5.6(b), you shall:
(a) present the current Terms of Purchase, Community Rules, Privacy Policy, and Earnings and Results Disclaimer at your checkout, by link and in a manner the purchaser must pass in order to complete the transaction, and present the acknowledgment in Schedule B, unchecked by default and separate from any other consent;
(b) charge the Purchase Price Company publishes, and no other amount, and neither discount it, bundle it with any other product or service, nor add any fee, surcharge, or bonus of your own;
(c) transmit to Company, within twenty-four (24) hours of the transaction, the purchaser's name and electronic mail address, the date of the transaction, and the amount collected, so that Company may provision the purchaser's access; and
(d) not represent to the purchaser that the purchaser is contracting with you, that you will deliver the Program, or that you will provide support.
A sale for which the disclosures in subsection (a) were not presented is not attributable to you and gives rise to no Reseller Share, and Company may terminate your participation for the failure.
5.8 Records, Reporting, and Audit. Where you collect payment under Section 5.6(b), you shall maintain complete records of every sale of the Program you make and shall deliver to Company, by the tenth (10th) day of each month, a statement listing each such sale in the preceding month, the amount collected, the Company Share remitted, and the date of remittance. Company may, on reasonable notice and not more than twice in any twelve-month period, inspect those records for the purpose of verifying the Company Share. Where an inspection discloses an underpayment exceeding five percent (5%) of the Company Share due for the period examined, you shall bear the reasonable cost of the inspection and remit the deficiency within ten (10) days.
5.9 Refunds, Chargebacks, and Reversals. Where a sale is refunded, charged back, reversed, or determined to be fraudulent, no Reseller Share arises on it. Where you collected the payment, the reversal is borne by you and you may recover any Company Share already remitted on that sale by written request to Company within thirty (30) days. Where Company or the Platform collected the payment, Company may recover the Reseller Share disbursed on that sale by offset against amounts thereafter routed to you or by invoice, payable within ten (10) days.
5.10 Taxes; Independent Contractor Status. You are an independent contractor and are solely responsible for all income, self-employment, sales, use, and other taxes arising from your activity, including any tax obligation attaching to amounts you collect under Section 5.6(b). Company does not withhold. Where Company or the Platform routes amounts to you, Company will furnish the tax documentation applicable law requires and may condition routing on receipt of a properly completed Internal Revenue Service Form W-9 or, if you are not a United States person, Form W-8BEN; Company does not issue an information return in respect of amounts it never paid you. Nothing in these Terms creates a partnership, joint venture, franchise, employment, or, except for the limited collection agency in Section 5.6(b), agency relationship. You are not Company's employee or representative, may not hold yourself out as such, and may not bind Company or make any commitment on its behalf.
5.11 Disputes as to the Split. You shall give Company written notice of any dispute as to the calculation, routing, or remittance of the Reseller Share or the Company Share within thirty (30) days of the date the amount was routed or was due. Company will review the underlying transactions and respond in writing. A dispute not raised within thirty (30) days is waived.
5.12 Good Standing; Changes. The Reseller Share arises only in respect of sales made while you are in good standing under these Terms and the Community Rules. Company may modify the split, the attribution window, the remittance and reporting requirements, and any other term of the Reseller Program. Modifications apply prospectively only, Company will give not less than thirty (30) days' prior written notice of any change to the split, and the allocation on sales completed before the effective date is unaffected.
5.13 Termination of Participation. Either party may terminate your participation at any time upon written notice. Upon termination you shall immediately cease offering the Program, disable any checkout through which you collected payment for it, and remit any outstanding Company Share within twenty-four (24) hours. Where you terminate, or where Company terminates other than for cause, the allocation in Section 5.3 stands as to sales completed before termination. Where Company terminates for cause, including breach of these Terms or the Community Rules, marketing prohibited by Section 6, failure to remit the Company Share, failure to present the disclosures required by Section 5.7, fraud, self-referral, or conduct exposing Company to legal or payment-processor risk, any Reseller Share not yet routed to you and attributable to the conduct constituting cause is forfeited, Company may withhold other amounts not yet routed to the extent reasonably related to the breach or to resulting losses, and Company Share you have collected and not remitted remains immediately due.
6. MARKETING STANDARDS
6.1 Disclosure of Material Connection. You shall clearly and conspicuously disclose that you earn a share of the purchase price in every post, story, video, electronic mail message, text message, direct message, livestream, podcast, advertisement, storefront, and landing page in which you promote the Program. The disclosure shall appear within the promotional communication itself and not in a biography, link aggregation page, comment, or separate page; at the beginning of the communication and above any content truncation, and in video on screen long enough to be read; and in unambiguous terms such as "I earn a commission if you buy through my link," "#ad," or "paid partnership." Hashtag aggregation, abbreviations such as "#sp" and "#collab," and placement outside the communication do not satisfy this Section.
6.2 No Earnings Claims. You shall not state or imply, in any medium, that a purchaser will or is likely to earn any particular amount, any amount at all, or any specified result. This prohibition covers dollar figures, earnings screenshots, payout dashboards, and bank or payment-processor notifications; representations of income replacement, financial freedom, passive income, or cessation of employment; representations that a result is guaranteed, risk-free, proven, assured, or attainable without regard to effort or circumstance; and lifestyle content, imagery, or narrative implying that income from the Program funded any acquisition or circumstance.
6.3 Required Disclaimer. Marketing you publish that addresses results, business development, or earning potential shall carry the disclaimer in Schedule A, positioned so as to be readily noticed and read. Where you operate a checkout under Section 5.6(b), Schedule A shall appear on that checkout page.
6.4 Accuracy. You shall describe the Program accurately. You shall not represent that the Program includes any module, session, bonus, coaching, support, or individualized service Company does not provide, describe forthcoming materials as included, or misstate your credentials, results, or track record, or those of Company.
6.5 Pricing and Promotions. You shall charge the Purchase Price Company publishes and shall not advertise, create, or imply any discount, sale, bonus, coupon, price reduction, giveaway, rebate of your share, or limited-time offer Company has not announced. Once Company announces a promotion, you may advertise it on the terms Company publishes. You shall not employ false urgency or false scarcity, including countdown mechanisms not corresponding to an actual deadline and representations of limited availability where availability is not limited.
6.6 Use of Marks. You shall not use any Company Mark or confusingly similar variation in a domain name, subdomain, social media handle, page name, storefront name, application name, or business name; bid on any Company Mark or misspelling in paid search, or use any Company Mark in advertising copy, keywords, metatags, or code; operate any website, profile, storefront, or page a reasonable person could mistake for an official Company property; modify any Company Mark or supplied asset; or represent yourself as Company or as its employee, agent, or official representative, except as to the limited collection agency in Section 5.6(b).
6.7 Lawful Outreach. You shall comply with the CAN-SPAM Act, the Telephone Consumer Protection Act, and all other applicable marketing and communications laws. You shall not transmit unsolicited bulk electronic mail, transmit text or SMS marketing without the recipient's prior express written consent, conduct unsolicited direct-message campaigns, purchase or use rented contact lists, post your Affiliate Link or checkout where such posting is unwelcome, or employ automated posting, bots, or fictitious accounts.
6.8 Reviews. You shall not author, purchase, exchange, incentivize, or solicit any fictitious review or testimonial, publish a review of the Program without disclosing that you are a Reseller, or suppress, gate, or filter honest negative feedback.
6.9 Characterization of the Reseller Program. You shall not describe the Reseller Program as compensating participants for recruitment, employ the terminology of multi-level marketing including "downline," "team," "residual," and "override," or represent that any person will derive earnings from another person's sales activity. Section 5.4 governs.
6.10 Substantiation, Monitoring, and Removal. You shall maintain documentation substantiating every factual claim you make concerning the Program and produce it to Company within five (5) business days of request. Company reviews Reseller marketing and checkouts and may require you to correct or remove any material, and you shall comply within forty-eight (48) hours of notice. A violation of Section 6.1, 6.2, 6.8, or 6.9 may result in immediate termination and forfeiture under Section 5.13 without prior warning.
6.11 Responsibility. You are solely responsible and liable for everything you publish, for the operation of any checkout you use, for the conduct of your business, and for your compliance with applicable law. Section 10.4 governs indemnification.
7. DISCLAIMERS
7.1 No Professional Advice. The Services are general education and business instruction. They are not legal, tax, accounting, financial, investment, employment, medical, or mental-health advice, and no advisory or fiduciary relationship arises between Company and you. Consult a licensed professional in your jurisdiction before acting on any material provided through the Services.
7.2 No Guarantee of Results. COMPANY DOES NOT GUARANTEE THAT YOU WILL EARN ANY AMOUNT OF MONEY. Your results depend on factors outside Company's control, including your effort, skill, audience, market, capital, consistency, ability to sell, and ordinary business risk. Any figure, case study, testimonial, screenshot, or example you encounter, whether from Company, a Reseller, or another Purchaser, is an individual outcome, is not typical, and is not a promise, average, or projection of your results. A majority of purchasers of programs of this kind do not recover the amounts they have paid. Company does not provide you with customers, leads, traffic, accounts, or sales, does not market on your behalf, and does not sell the Program on your behalf.
7.3 Non-Reliance. You acknowledge that you have not relied on any statement, projection, screenshot, representation, or expectation of income in deciding to purchase, including any statement by a Reseller, another Purchaser, or in any advertisement, other than the express provisions of these Terms. You are solely responsible for your own business, including its legality, licensing, taxes, contracts, marketing claims, and customers, and Company holds no ownership interest in and assumes no liability for it. You assume the risk of your participation and of all decisions you make in reliance on material provided through the Services.
7.4 No Endorsement; Independence of Resellers. Participation in the Services is not a credential and reflects no vetting by Company. Company does not investigate, verify, endorse, or vouch for any Purchaser, any Purchaser's business or claimed results, or any product, service, tool, or opportunity referenced within the Community. Any transaction between Purchasers is at the participants' own risk and diligence, and Company is not a party to and will not adjudicate any resulting dispute. Except for the limited collection agency in Section 5.6(b), a Reseller is not authorized to make any representation on Company's behalf, and no statement by a Reseller is a statement of Company or forms part of any purchaser's agreement with Company.
7.5 Warranties. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. COMPANY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT THEIR CONTENT IS COMPLETE, CURRENT, OR ACCURATE, OR THAT THEY WILL PRODUCE ANY PARTICULAR RESULT. Where applicable law does not permit these exclusions, they apply to the fullest extent permitted and you may have additional rights.
8. CONDUCT
8.1 Prohibited Conduct. You shall not: harass, threaten, stalk, defame, or discriminate against any person within or through the Services; submit obscene, hateful, violent, or unlawful content, or any person's private or sensitive information; impersonate any person or misrepresent your identity, credentials, results, or affiliation with Company; promote within the Community any product, program, community, coaching offering, affiliate link, or downline other than the Program, except as the Community Rules permit; transmit unsolicited commercial direct messages to other Purchasers; collect, export, scrape, or compile the names, contact information, or content of other Purchasers, or add any person to an electronic mail or SMS list without express consent; condition another Purchaser's access to material shared within the Community on the provision of contact information; share access or facilitate unauthorized access; interfere with or attempt unauthorized access to the Services, the Platform, or any related system; or use the Services for any unlawful purpose or in any manner causing Company or the Platform to violate applicable law, payment-processor rules, or Platform terms.
8.2 Non-Solicitation. You shall not solicit, recruit, or induce any Purchaser to leave the Community or to join any competing community, program, coaching offering, agency, or multi-level marketing organization, whether by post, comment, direct message, or targeted contact outside the Platform. This Section applies during your access and for six (6) months thereafter, and only as to persons you first encountered through the Services. It does not restrict you from transacting with a person known to you before that person joined the Services, from serving a person who approaches you without solicitation, or from marketing your business to the public generally. Where the six-month period is unenforceable in your jurisdiction, it shall be severed and the restriction shall remain in effect during your access.
8.3 Reviews and Statements. Nothing in these Terms restricts your right to publish an honest review, rating, complaint, or account of your experience with Company, in any forum, including public platforms and communications to any governmental authority, and Company shall not penalize, charge, or threaten you for doing so. You shall not make any statement concerning Company, its personnel, or its Purchasers that you know to be false or make with reckless disregard for its truth; disclose another Purchaser's private information, or content shared in confidence within the Community, in connection with any such publication; or engage in a course of harassment within the Community. Company's remedies for breach of this Section are limited to termination of access and such remedies as are available at law for a knowingly false statement. This Section shall be construed consistently with the Consumer Review Fairness Act, 15 U.S.C. § 45b, and with any applicable state law protecting consumer reviews, and any provision of these Terms in conflict therewith is of no effect.
9. SUSPENSION AND TERMINATION
9.1 For Cause. Company may suspend or terminate your access to any or all of the Services immediately, without notice and without refund, where you breach these Terms or the Community Rules; violate Section 6; fail to remit the Company Share or to present the disclosures required by Section 5.7; copy, host, distribute, resell, or disclose Company Content, or share account access; engage in self-referral, attribution manipulation, or fraud; violate Section 8.2; make a knowingly false statement concerning Company, its personnel, or its Purchasers; harass, threaten, or abuse any person, including Company personnel; initiate a chargeback in violation of Section 2.6; default on an installment obligation; or use the Services in a manner exposing Company or the Platform to legal, regulatory, or payment-processor risk.
9.2 Discontinuation. Company may discontinue the Services upon thirty (30) days' notice, in which event the allocation in Section 5.3 stands as to sales completed through the date of discontinuation and Company will make downloadable Program materials available during the notice period.
9.3 Survival. Sections 2.4, 2.6, 3.1 (as to responsibility for prior activity), 3.2 through 3.6, 4.2, 4.3, 5.8 through 5.11, 5.13, 6, 7, 8.2, 8.3, 9.3, 10, 11, and 12 survive termination, together with any provision that by its nature is intended to survive.
10. LIABILITY AND INDEMNIFICATION
10.1 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, BUSINESS, DATA, OR GOODWILL, WHETHER OR NOT ADVISED OF THE POSSIBILITY.
10.2 Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE PROGRAM AND ONE HUNDRED DOLLARS ($100). This Section does not limit Company's right to recover the Company Share.
10.3 Application and Exceptions. Sections 10.1 and 10.2 apply to all theories of liability, whether in contract, tort, negligence, strict liability, statute, or otherwise. They do not apply to liability that may not be limited under applicable law, including fraud, willful misconduct, and gross negligence, and where applicable law does not permit certain limitations they apply to the fullest extent permitted.
10.4 Indemnification. You shall indemnify, defend, and hold harmless Company and its members, managers, officers, employees, contractors, and agents from any third-party claim, demand, loss, liability, damage, penalty, fine, cost, or expense, including reasonable attorneys' fees, arising out of or relating to your breach of these Terms or the Community Rules; your marketing, advertising, or promotion of the Program, including any earnings claim, misrepresentation, undisclosed material connection, or unlawful communication; your operation of any checkout through which you collect payment for the Program, including your handling of purchaser funds and purchaser personal information and any tax obligation attaching to amounts you collect; Member Content you submit; your business, other offerings, and dealings with your own customers; your dealings with other Purchasers; or your violation of applicable law or of any person's rights. Company will notify you of any claim for which it seeks indemnification, you may assume control of the defense with counsel reasonably acceptable to Company, and you shall not settle any claim in a manner admitting fault on Company's part or imposing any obligation on Company without Company's prior written consent.
11. DISPUTE RESOLUTION
11.1 Governing Law. These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Where you are a consumer residing outside Florida, this Section does not deprive you of the protection of any mandatory consumer-protection law of your state of residence that may not be waived by agreement.
11.2 Notice, Mediation, and Venue. Before commencing any proceeding, the party asserting a dispute shall deliver to the other, at the address in Section 12.6, a written statement describing the dispute and the relief sought, and the parties shall attempt in good faith to resolve it for thirty (30) days. A dispute not so resolved shall be submitted to non-binding mediation before a single mediator, conducted remotely or in Miami-Dade County, Florida, with the mediator's costs borne equally, commencing within thirty (30) days of the mediator's selection. A dispute not resolved by mediation may be brought in the state or federal courts located in Miami-Dade County, Florida, to whose jurisdiction and venue each party irrevocably consents. Either party may bring an individual claim within the jurisdictional limits of a small-claims court in either party's locality.
11.3 Equitable Relief. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction at any time, without first complying with Section 11.2, to protect intellectual property or confidential information, to restrain marketing prohibited by Section 6, or to restrain the continued operation of a checkout in breach of Section 5.7.
11.4 Attorneys' Fees. In any proceeding to enforce Section 3, Section 5, Section 6, or Section 8.2, the prevailing party is entitled to recover its reasonable attorneys' fees and costs. No fee-shifting applies to any other claim under these Terms, and each party otherwise bears its own fees and costs.
11.5 Limitation Period. Any claim arising out of or relating to these Terms or the Services must be commenced within one (1) year after it accrues, failing which it is permanently barred. Where a period that short is unenforceable in your jurisdiction, the shortest enforceable period applies.
12. GENERAL
12.1 Amendment. Company may amend these Terms by posting an amended version bearing a revised effective date and, for amendments materially affecting your rights or obligations, giving notice by electronic mail or announcement within the Community not less than thirty (30) days before the effective date. Amendments apply prospectively, do not affect the allocation on sales already completed, and do not apply retroactively to a dispute existing as of the date of notice. Continued use of the Services after the effective date constitutes acceptance. A Reseller operating a checkout under Section 5.6(b) shall present the amended Terms at that checkout from the effective date.
12.2 Electronic Communications and Signatures. You consent to receive communications from Company electronically and agree that they satisfy any legal requirement that a communication be in writing. Selecting an acknowledgment control, checking a box, or completing a purchase constitutes your binding signature. You may withdraw this consent by written notice, in which event Company cannot deliver the Services and your access will terminate. Company will not transmit marketing text messages absent your separate prior express written consent.
12.3 Force Majeure. Neither party is liable for any delay or failure to perform, other than an obligation to pay or remit money, resulting from a cause beyond its reasonable control, including natural disaster, fire, flood, war, terrorism, civil unrest, labor action, epidemic, governmental order, utility failure, network or Platform outage, and cyberattack. The affected party shall give prompt notice and use reasonable efforts to resume.
12.4 Privacy. Company's collection and use of personal information is governed by Company's Privacy Policy, incorporated by reference. Personal information about other Purchasers that you encounter within the Community may be used solely to participate in the Community. A Reseller who collects payment under Section 5.6(b) collects purchaser personal information for the purpose of completing that transaction, shall transmit it to Company under Section 5.7(c), shall not use it for any other purpose without the purchaser's consent, and is independently responsible for its handling under applicable privacy and marketing law. Personal information a Reseller collects from persons to whom the Reseller markets but who do not purchase is that Reseller's own responsibility.
12.5 Platform. The Services are delivered through the Platform, which Company does not own or control, and your use of the Platform is also governed by its own terms and privacy policy. Company is not responsible for the Platform's availability, performance, pricing, policy changes, data handling, or any decision by the Platform to suspend or remove an account, and may relocate the Services to an alternative platform upon notice. Company is likewise not responsible for any payment processor, storefront, or link-in-bio service a Reseller elects to use.
12.6 Notices. Notices to Company shall be in writing and delivered to:
beyondthecoursellc@gmail.com
Beyond The Course LLC
Notices to you are delivered to the electronic mail address associated with your account, which you shall keep current, and are effective upon transmission absent notice of non-delivery.
12.7 Miscellaneous. These Terms, the Community Rules, the Privacy Policy, the Earnings and Results Disclaimer, and the description of the Program on the checkout page are the entire agreement between the parties as to their subject matter and supersede all prior representations, advertisements, communications, and understandings, oral or written, including any statement made by a Reseller. These Terms may be modified only by a writing executed by Company, and any conflicting term in a document you submit, or on any checkout a Reseller operates, is of no effect. You may not assign these Terms or your Reseller participation; Company may assign in connection with a merger, reorganization, or sale of all or substantially all of its assets. Where any provision is held unenforceable, it shall be modified to the minimum extent necessary to render it enforceable or, failing that, severed, and the remainder shall continue in full force. No failure or delay by Company in exercising a right is a waiver of it, and all waivers must be in writing. Except for the persons entitled to indemnification under Section 10.4, these Terms confer no rights on any person other than the parties. Headings are for convenience only, and these Terms shall not be construed against either party by reason of having drafted them.
