TERMS & CONDITIONS AND CLIENT COACHING AGREEMENT
Effective Date: Date of purchase and electronic acceptance
Coach: Austan Tait, a sole proprietor operating as Austan Tait Coaching, British Columbia, Canada
Contact: austan@austantait.com
1. AGREEMENT AND ACCEPTANCE
These Terms & Conditions and Client Coaching Agreement ("Agreement") govern the purchase and participation in paid coaching programs, group experiences, workshops, educational resources, and related services ("Services") offered by Austan Tait Coaching ("Coach").
The individual purchasing or participating in the Services ("Client") agrees to these terms by electronically accepting them during checkout.
The Client confirms that they are at least 18 years old, have reviewed the description of the Services being purchased, and understand their financial and participation obligations.
The specific offer description, price, payment schedule, dates, and services presented at checkout form part of this Agreement.
2. SERVICES AND COACHING RESPONSIBILITIES
The Coach agrees to provide the purchased Services with reasonable care, professional diligence, and within the scope described at checkout.
Services may include group or individual coaching, educational instruction, guided somatic practices, movement, breathwork, meditation, reflection, accountability, and personal development resources.
The Coach may make reasonable adjustments to the sequence, content, technology, or delivery methods without materially reducing the purchased Services.
The Coach does not guarantee specific personal, physical, emotional, relationship, professional, or financial outcomes.
3. CLIENT RESPONSIBILITY AND RESULTS
The Client acknowledges that coaching is a collaborative process requiring personal responsibility, active participation, and independent decision-making.
The Coach provides guidance, education, tools, structure, and support. The Client remains responsible for their choices, actions, implementation, and results.
The Client understands that purchasing a program does not guarantee transformation or achievement of particular goals.
The Client accepts responsibility for evaluating the suitability of coaching recommendations and determining how, when, and whether to apply them.
Failure to participate, complete exercises, implement recommendations, or achieve desired outcomes does not independently establish grounds for a refund, subject to applicable law.
4. HEALTH, SAFETY AND MEDICAL RESPONSIBILITY
The Client acknowledges that the Services are educational and intended for personal development. They do not constitute medical advice, diagnosis, treatment, psychotherapy, psychiatric care, or emergency support.
The Client is responsible for consulting an appropriately qualified healthcare professional before participating in activities that may affect their physical or psychological health.
This responsibility is particularly important for Clients with cardiovascular or respiratory conditions, neurological conditions, injuries, pregnancy-related considerations, significant psychological vulnerabilities, or other circumstances that may make certain activities unsuitable.
The Client agrees not to discontinue or modify prescribed medical treatment solely because of information provided through the Services.
The Client understands that the Coach cannot independently evaluate their medical fitness or continuously monitor their physical and psychological condition during online participation.
5. FITNESS, SOMATIC PRACTICES, INFORMED CONSENT AND ASSUMPTION OF RISK
The Client understands that Services may include general fitness, somatic movement, guided breathing, meditation, mindfulness, emotional exploration, and other embodied practices.
Potential experiences and risks may include physical exertion, dizziness, changes in breathing patterns, emotional discomfort, temporary distress, or other physical and psychological responses.
The Client acknowledges these foreseeable risks and voluntarily chooses to participate.
The Client agrees to:
Exercise reasonable judgment and respect personal limitations.
Follow communicated safety instructions.
Modify, pause, or discontinue practices when appropriate.
Maintain a reasonably safe environment for online participation.
Seek medical or psychological support when necessary.
Avoid participating in activities that are unsuitable for their individual circumstances.
Participation in any particular practice is voluntary.
To the fullest extent permitted by applicable law, the Client voluntarily assumes the inherent and ordinary risks associated with participation and releases the Coach from claims arising from those assumed risks, including consequences attributable to the Client's own actions, omissions, failure to follow safety instructions, or disregard of known health limitations.
Any release or limitation of liability applies only to the extent legally enforceable. The Client retains rights that cannot lawfully be waived.
6. PAYMENT AND FINANCIAL COMMITMENT
The Client agrees to pay the total purchase price and applicable taxes disclosed at checkout.
Where an installment plan is selected, the Client agrees to the full purchase obligation and the payment schedule presented and accepted at checkout.
An installment plan is a method of paying the agreed purchase price and is not a cancel-anytime subscription.
Subject to applicable cancellation rights, voluntary withdrawal, non-attendance, or discontinuation of participation does not automatically eliminate outstanding payment obligations.
The Client authorizes payment processing in accordance with the payment arrangement selected at checkout.
If a payment fails, the Coach may provide written notice and a reasonable opportunity to resolve the outstanding balance before suspending access, subject to applicable law.
7. CANCELLATION, WITHDRAWAL AND REFUNDS
All purchases are final and non-refundable except where a refund or cancellation is required by applicable law or expressly approved in writing by the Coach.
The Client acknowledges that missed sessions, incomplete participation, voluntary withdrawal, changes in personal circumstances, or dissatisfaction with subjective results do not independently entitle the Client to a refund, credit, transfer, or extension.
If the Coach is unable to deliver purchased Services, the Client retains any applicable legal remedies, including refunds where required.
Nothing in this Agreement removes or restricts mandatory consumer cancellation, refund, or other statutory rights.
8. PROGRAM DURATION, ATTENDANCE AND ACCESS
Each program or service is provided for the duration and under the access conditions stated in its applicable offer description.
Unless expressly included, enrollment does not provide unlimited coaching, private make-up sessions, ongoing access, transfers, or extensions.
Where recordings or replays are provided, availability is subject to the program's stated access period, recording permissions, and reasonable technical limitations.
The Coach may reschedule sessions due to illness, emergency, or circumstances beyond reasonable control and will provide an appropriate alternative where required.
9. COMMUNICATION AND PROFESSIONAL BOUNDARIES
Communication and support are limited to the channels, hours, and services specified in the purchased offer.
Unless otherwise stated, standard coaching communication takes place Monday through Friday, excluding holidays and announced absences, with a target response within one business day.
Messaging access does not constitute unlimited private coaching, continuous availability, crisis intervention, or emergency support.
10. GROUP CONDUCT AND CONFIDENTIALITY
Clients participating in group experiences agree to maintain a respectful, supportive, and confidential environment.
Harassment, intimidation, discrimination, unauthorized solicitation, disruptive conduct, and violations of other participants' privacy are prohibited.
The Client agrees not to disclose, record, screenshot, publish, or distribute another participant's identifiable information, experiences, image, or voice without permission.
The Coach will take reasonable measures to protect confidentiality but cannot guarantee the conduct of other participants or absolute security on third-party platforms.
The Coach may establish appropriate boundaries, suspend participation, or remove a Client for serious or repeated misconduct, subject to the Agreement and applicable law.
11. RECORDINGS, PRIVACY AND INTELLECTUAL PROPERTY
Group sessions may be recorded for educational purposes and participant replays. Participants will be informed when recording occurs, and legally required consent will be obtained.
Identifiable Client contributions, personal stories, images, and voices will not be repurposed for public promotional or evergreen commercial materials without separate informed consent.
The Coach retains ownership of original frameworks, educational content, worksheets, guided practices, recordings, and other proprietary materials.
Clients receive a limited, personal, non-transferable, non-commercial license to access and use purchased materials within the stated access period.
Materials may not be redistributed, resold, reproduced, taught, or commercially exploited without written permission.
Personal information will be handled in accordance with applicable privacy legislation, including British Columbia's Personal Information Protection Act where applicable.
12. TERMINATION
The Coach may suspend or terminate participation for material breaches of this Agreement, persistent non-payment, serious misconduct, or conduct that creates a significant safety concern.
Where appropriate, the Coach will provide written notice and a reasonable opportunity to remedy the breach.
Termination does not automatically eliminate lawful outstanding payment obligations or mandatory consumer remedies.
13. LIMITATION OF LIABILITY
The Client acknowledges that personal development, coaching, movement, and embodied practices involve individual choices and circumstances beyond the Coach's control.
To the fullest extent permitted by applicable law, the Coach is not responsible for losses or adverse outcomes arising from the Client's independent decisions, misuse of information, failure to follow communicated safety guidance, or risks voluntarily assumed under this Agreement.
To the extent legally permitted, the Coach excludes liability for indirect or consequential losses and limits aggregate contractual liability to the amount paid for the relevant Services.
These limitations apply only where legally enforceable and do not override mandatory statutory protections.
14. ADDITIONAL TERMS FOR LIT | LOCKED IN TRIBE
Where the Client purchases LIT | Locked In Tribe, the following program-specific terms also apply.

15. GOVERNING LAW AND GENERAL PROVISIONS
This Agreement is governed by the laws of British Columbia and applicable Canadian federal law, subject to mandatory consumer protections and jurisdictional requirements.
Material amendments to an existing purchase must be agreed to by the parties.
If any provision is determined to be unenforceable, the remaining provisions continue to apply to the extent legally permitted.
