COACHING SERVICES TERMS & AGREEMENT

Applicable to: Strategy Sessions • 1:1 Coaching • Digital Products • Group Coaching • Mastermind

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THIS WEBSITE OR PURCHASING. By making a purchase or signing this Agreement, you signify your consent to these terms. If you do not agree, please do not proceed with your purchase.

Welcome to Exclusively Cindy! By accessing this website and purchasing our products or coaching services, you agree to the following Terms and Conditions.

1. GENERAL INFORMATION

1.1  These Terms apply to all users of this website (www.exclusivelycindy.com) and any associated platforms used for product or service delivery, including the Stan Store and MightyNetworks platforms.

1.2  By purchasing, accessing, or using our content or services, you acknowledge that you have read, understood, and agreed to these Terms.

1.3  These Terms cover all coaching engagements including Strategy Sessions, 1:1 Coaching, digital products, and any associated add-ons. Where a separate coaching agreement is provided for 1:1 Coaching, that agreement supplements and does not replace these Terms.

2. DIGITAL PRODUCT ACCESS & LICENSE

2.1  Upon purchase, you receive a limited, non-exclusive, non-transferable license to access and use the digital materials for personal use only.

2.2  You may not share, distribute, resell, or modify any content, including PDFs, templates, audio/video files, or course materials.

2.3  Login credentials may not be shared. Violations may result in revoked access without a refund.

3. SESSION RECORDING CONSENT

All coaching sessions conducted via Zoom are recorded. By purchasing a coaching session or signing this Agreement, Client provides explicit consent to be recorded during all scheduled coaching calls. Recordings are made available to Client via a private link for their personal review.

The following terms apply to all session recordings:

  • Recordings are stored securely and are not shared publicly or with third parties.

  • Session recordings may be processed through AI transcription and summarization tools solely for the purpose of generating follow-up notes and action step summaries for Client. This use is covered in full in Section 10.

  • Client agrees not to record sessions independently without prior written consent from Coach.

  • Coach retains the right to use anonymized session content for educational or training purposes, without identifying Client in any way.

4. CLIENT RESPONSIBILITIES

To get the most from your coaching experience, Client agrees to:

  • Participate fully in scheduled sessions and arrive prepared.

  • Complete any assigned tasks or exercises within the agreed timeframe.

  • Understand that unused sessions or inclusions cannot be carried over or transferred outside the contracted period.

  • Provide timely responses to Coach’s requests for information or feedback needed to deliver services effectively.

  • Approach the coaching relationship with openness, honesty, and a commitment to growth.

Results Disclaimer:  While Coach is committed to supporting Client’s growth, no specific outcomes or results are guaranteed. Client’s results depend on their own commitment, effort, and implementation of strategies discussed.

5. PAYMENT, REFUNDS & CANCELLATIONS

5.1  All purchases are final. Due to the nature of digital products and private coaching sessions, no refunds will be issued unless explicitly stated at the time of purchase.

5.2  Payment must be completed before access is granted. We reserve the right to suspend access if a payment fails.

5.3  Subscription-based services (if applicable) will renew automatically unless canceled before the next billing cycle.

6. SCOPE OF COACHING SERVICES

Coaching services provided under this Agreement are limited to business strategy, content creation, visibility, and entrepreneurial growth. Coaching is not a substitute for and does not constitute:

  • Mental health therapy or counseling

  • Legal advice or representation

  • Financial or investment advice

  • Medical advice of any kind

If Client is experiencing mental health challenges, Coach will compassionately redirect Client to appropriate professional resources. Coach is not liable for any decisions Client makes based on coaching conversations.

7. LIABILITY & DISCLAIMER

7.1  All content and services are provided “as is” without any guarantees of results or specific business outcomes.

7.2  We do not guarantee income or business success. Your success depends on your own actions and effort.

7.3  We are not liable for any business losses, decisions, or results from applying strategies learned in our programs or coaching sessions.

8. CONFIDENTIALITY

  • Both parties agree to keep all proprietary and sensitive information shared during the coaching relationship strictly confidential.

  • Information shared by Client will not be disclosed to third parties (except recording and summary services outlined in Section 10) without Client’s written consent, except as required by law.

  • Client consents to Coach sharing general testimonials, wins, and results on marketing platforms (Instagram, Facebook, email, website, etc.) without personally identifying information, unless Client expressly grants permission for identified use.

9. INTELLECTUAL PROPERTY & COPYRIGHT

9.1  All content on this website, including text, images, videos, and digital downloads, is owned by Exclusively Cindy and is protected under copyright laws.

9.2  Unauthorized reproduction, resale, or redistribution of any materials is strictly prohibited.

10. USE OF ARTIFICIAL INTELLIGENCE TOOLS

Coach uses AI-assisted tools to support the quality and efficiency of services delivered. By purchasing a coaching session or signing this Agreement, Client provides informed consent to the following uses:

  • Session recordings may be processed through AI transcription and summarization tools to generate post-session follow-up notes and action step summaries delivered to Client.

  • AI tools may be used to assist in drafting content recommendations, strategy outlines, or other materials prepared on Client’s behalf.

  • AI processing of session content is subject to the same confidentiality standards outlined in Section 8 of this Agreement.

  • Coach reviews all AI-generated content before delivery to Client to ensure accuracy and alignment with coaching conversations.

  • No personally identifiable Client information is submitted to AI platforms in a way that would allow it to be used for third-party training purposes. Coach uses reputable, privacy-compliant tools for this purpose.

  • Client may opt out of AI-assisted session summarization at any time by providing written notice to Coach. In such cases, follow-up notes will be provided at Coach’s discretion and may be less detailed.

11. TERMINATION & RESTRICTIONS

11.1  We reserve the right to terminate your access if you violate these Terms.

11.2  We may limit access to users who engage in fraudulent, abusive, or disruptive behavior.

12. GOVERNING LAW & DISPUTE RESOLUTION

12.1  These Terms are governed by the laws of Ohio, USA.

12.2  Any disputes will first be attempted to be resolved through mediation. If mediation fails, disputes will be handled in the courts of Union County, Ohio.

By accepting these Terms, Client confirms:

  • They have read and understood all sections of this Agreement.

  • They agree to be bound by these Terms for any coaching services, digital products, or sessions purchased through Exclusively Cindy.
