SMGB AFFILIATE TERMS & CONDITIONS

These Terms & Conditions ("Agreement") govern your participation in the SMGB Affiliate Programme ("Programme") operated by SMGB Business Academy Ltd ("we," "us," "our").
By registering as an affiliate, accessing affiliate materials, or promoting SMGB, you acknowledge and agree to be bound by these Terms. If you do not agree, do not proceed with your affiliate participation.
1. GRANT OF LICENCE
Upon acceptance into the Programme, you are granted a non-exclusive, non-transferable licence to promote and sell the SMGB Business Course.
You may:
You may NOT:
Share, distribute, or give away access to the course.
Modify, edit, or create derivative works from the course content.
Use SMGB Business Academy Ltd branding as your own.
Represent yourself as the owner or creator of SMGB.
2. INTELLECTUAL PROPERTY RIGHTS
All course materials, including text, videos, templates, and branding, remain the intellectual property of SMGB Business Academy Ltd.
Unauthorised use, reproduction, or modification of course content is strictly prohibited and may result in legal action.
2A. COMMISSION STRUCTURE
Affiliates earn 85% commission on the net sale price of each qualifying transaction made through their affiliate link.
SMGB Business Academy Ltd retains 15% of the sale price as the programme operating fee.
Commissions are processed automatically via Stan Store or Beacons in line with their payout schedules.
No commission is payable on refunded, fraudulent, or disputed sales.
2B. PAYOUT DISPUTES
Affiliates must raise any payout disputes within 30 days of receiving payment.
After 30 days, the payout is considered accurate and final.
3. REFUND POLICY – NO REFUNDS, NO CHARGEBACKS
ALL SALES ARE FINAL. THERE ARE NO REFUNDS.
Due to the digital nature of the Product and the immediate access provided, no refunds, exchanges, or chargebacks are permitted.
By promoting SMGB, you agree to:
Market transparently and not mislead customers.
Understand that all sales are final.
Not encourage or support disputes or chargebacks.
Any chargeback initiated by a customer will be treated as a breach of contract. If you have already been paid commission on a disputed sale, you must repay your affiliate commission within 7 days of notification.
If repayment is not made within 7 days:
SMGB reserves the right to deduct the balance from your future commissions automatically, and/or
Pursue legal recovery of funds plus associated costs, and
Remove you permanently from the Affiliate Programme.
In addition, affiliates will be required to cover the payment processor’s dispute fee (typically £15–£25 per case).
Affiliate Independence & Third-Party Offers
Any mentorship, coaching, community access, calls, WhatsApp groups, Telegram groups, bonuses, or additional products offered alongside SMGB by an affiliate are independently provided by that affiliate and do not form part of the SMGB Business Course.
SMGB Business Academy Ltd does not provide, manage, endorse, supervise, or guarantee any affiliate-bundled mentorships, coaching services, communities, or additional products.
Any such third-party offerings constitute separate agreements between the customer and the affiliate. Accordingly, SMGB Business Academy Ltd accepts no responsibility or liability for:
• the delivery, quality, availability, or outcomes of affiliate-provided mentorship, coaching, or support
• affiliate responsiveness, communication, or availability
• any promises, representations, or guarantees made by affiliates
• any disputes arising from affiliate-bundled products or services
Failure, dissatisfaction, delay, or non-delivery of any affiliate-bundled mentorship or service does not constitute non-delivery of SMGB and does not give rise to any entitlement to a refund, chargeback, or payment reversal for the SMGB Business Course.
All refunds, disputes, complaints, or claims relating to affiliate-bundled mentorships, coaching, or third-party products must be addressed directly with the affiliate and not with SMGB Business Academy Ltd.
4. PROMOTIONS
Affiliates are not permitted to promote or advertise discounts, sales, or special offers related to SMGB unless expressly approved and announced by SMGB Business Academy Ltd.
Once a promotion is officially approved, affiliates may advertise and extend the same offer in compliance with SMGB’s guidelines.
Unauthorised promotions may result in immediate termination of affiliate access.
5. DEFAMATION & NON-DISPARAGEMENT POLICY
Affiliates must not:
Make false or defamatory statements about SMGB, its creator, or associated brands.
Publicly harass, troll, or mock the course, brand, affiliates, or community.
Engage in cyberbullying directed at the creator, staff, affiliates, or members.
Any breach may result in immediate termination of affiliate access without refund and legal action. SMGB reserves the right to pursue damages of not less than £5,000 for reputational harm caused by such conduct.
6. AFFILIATE APPROVAL PROCESS – IDENTITY VERIFICATION REQUIRED
To participate as an affiliate, you must complete the affiliate verification process to ensure compliance with our security and fraud prevention policies.
You must provide:
A valid receipt of your course purchase.
A matching form of government-issued ID (passport, driver’s licence, etc.).
Your full name, address, and contact number.
The full name and social media handle of the affiliate or platform through which you joined.
Verification documents must be sent to: info@selfmadegirlboss.co.uk.
Failure to complete the verification process will result in loss of affiliate access.
7. CONFIDENTIALITY & SECURITY POLICY
By joining as an affiliate, you agree to:
Keep all affiliate resources and training private.
Not disclose SMGB Business Academy Ltd’s strategies, sales techniques, or training materials.
Not distribute or copy any part of the affiliate resources.
Any breach will result in immediate termination without refund of commissions.
8. FRAUD PREVENTION & IDENTITY CHECKS
SMGB reserves the right to refuse or terminate affiliate access if fraudulent activity is suspected, including:
Fraud will be reported to legal authorities, financial institutions, and payment processors.
9. RELATIONSHIP OF THE PARTIES
Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between SMGB and the Affiliate. Affiliates act as independent contractors and remain fully responsible for their own business operations, taxes, and compliance.
10. EARNINGS DISCLAIMER – NO INCOME GUARANTEES
NO GUARANTEES OF SUCCESS OR EARNINGS ARE MADE OR IMPLIED.
Your success as an affiliate depends on:
Your skills, effort, and ability to apply marketing training.
Market demand and competition.
External factors such as economic conditions.
Any testimonials or income examples shown are exceptional cases and not guarantees of future earnings.
Affiliates must not:
Present income examples as typical or guaranteed.
Use “get rich quick” language.
Fail to disclose affiliate status where legally required (#ad, “affiliate link,” or local laws).
11. AFFILIATE RESPONSIBILITY FOR TAX & LEGAL COMPLIANCE
Affiliates are solely responsible for:
Declaring affiliate earnings for tax purposes.
Registering their business if required.
Complying with local laws and advertising regulations (including CMA/ASA/FTC guidance).
SMGB Business Academy Ltd is not liable for any tax, legal, or compliance issues that arise from your affiliate activities.
12. INDEMNIFICATION
Affiliates agree to indemnify and hold harmless SMGB Business Academy Ltd, its directors, staff, and affiliates against any claims, damages, liabilities, or expenses resulting from:
Misrepresentation or deceptive marketing by the Affiliate.
Breach of these Terms & Conditions.
Violations of advertising or consumer protection laws.
13. LIMITATION OF LIABILITY
SMGB Business Academy Ltd is not responsible for:
Any financial losses, missed opportunities, or business failures.
Any consequences resulting from affiliate marketing of the course.
Regulatory or compliance issues in your jurisdiction.
The Programme is provided “as is,” with no guarantees of success.
14. TERMINATION OF AFFILIATE ACCESS
Your affiliate access may be revoked immediately without refund if you:
Violate these Terms & Conditions.
Engage in fraudulent, deceptive, or misleading practices.
Breach confidentiality or intellectual property agreements.
Fail to repay commissions from disputed or charged back sales.
Refuse repayment obligations or fail to cooperate in dispute resolution.
Misrepresent SMGB in a way that causes reputational harm.
Termination also results in permanent loss of affiliate status and commissions.
The confidentiality, intellectual property, and non-disparagement obligations under these Terms remain enforceable for three (3) years after termination.
15. UPDATES & CHANGES TO BUSINESS MODEL OR COMMISSION STRUCTURE
SMGB Business Academy Ltd reserves the right to update these Terms & Conditions, the Product, or its affiliate programme at any time.
Changes may include, but are not limited to: restructuring of commissions, updates to pricing, or modification of the way in which the course may be sold or promoted.
By remaining in the Programme, you understand and agree that:
No commission model or affiliate structure is guaranteed to remain permanent.
SMGB has full discretion to change or discontinue the affiliate model for legal, strategic, or operational reasons.
Future changes do not constitute misrepresentation, unfair trading, or grounds for refunds.
16. INTELLECTUAL PROPERTY & COPYRIGHT PROTECTION
All content within the SMGB Business Course — including videos, slides, templates, scripts, frameworks, and training methods — remains the exclusive intellectual property of SMGB Business Academy Ltd.
Affiliates may not:
Copy, reproduce, or create derivative works from the course content.
Teach or resell course materials outside the official affiliate structure.
Any unauthorised use will result in immediate legal action, permanent termination, and a fixed compensatory damages fee of £20,000 per infringement, in addition to further remedies.
17. GOVERNING LAW & JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of England & Wales.
Any disputes arising out of or in connection with this Agreement will first be addressed in good faith negotiation. If unresolved, disputes will be subject to the exclusive jurisdiction of the courts of England & Wales.
18. ACCEPTANCE OF TERMS
By becoming an affiliate, you confirm that you:
Have read and understood these Terms & Conditions.
Agree to abide by them in full.
Understand that all commissions are final once earned and subject to clawback in the event of disputes or chargebacks.
Acknowledge that failure to comply may result in termination without refund of commissions.
19. FORCE MAJEURE
SMGB Business Academy Ltd shall not be held liable for any failure or delay in performance arising from causes beyond its reasonable control, including but not limited to acts of God, government restrictions, technical outages, legal or regulatory changes, or other force majeure events.
