Please carefully read these terms and conditions before purchasing or using this product. Your purchase or use of this product signifies your acknowledgment, understanding, and agreement to be bound by these terms.
PRODUCT LICENSE: By acquiring this digital master resell rights product for Changing Courses, you are granted a non-exclusive license with master resell rights. You have the authority to resell the product to others, maintaining 100% of the profits. There is no limit to the number of times you can sell the product.
LIMITATIONS: You may not modify the product but can brand your sales process. Claim ownership over the product and sales process, but refrain from altering the product itself.
WARRANTIES: This product is provided "as is" without any warranties or guarantees. The seller offers no express or implied warranties, including but not limited to merchantability, fitness for a particular purpose, or non-infringement of third-party rights.
INTELLECTUAL PROPERTY: All intellectual property rights, encompassing copyright, trademarks, and trade secrets, belong solely to the seller.
TERMINATION: This agreement will not be terminated by the seller. Once purchased, the digital product remains in the possession of the purchaser for resale, contingent upon compliance with distribution rights. Violation of the distribution rights agreement may result in restricted access to the digital product.
REFUNDS: All sales of this product are final. Refunds will not be granted for any reason due to the downloadable content nature of this product.
LIABILITY: The seller holds no liability for damages arising from the use or inability to use this product. This includes direct, indirect, incidental, or consequential damages.
GOVERNING LAW: This agreement is governed by and construed in accordance with the laws of the seller's jurisdiction.
ENTIRE AGREEMENT: This agreement constitutes the entire understanding between the parties, superseding all prior agreements, whether written or oral, pertaining to the subject matter herein.
By purchasing or using this digital master resell rights product for Changing Courses, you affirm your agreement to the terms and conditions outlined. If you disagree with these terms and conditions, refrain from purchasing or using this product.
THE UBC
AMENDING AND CARRYFORWARD AGREEMENT

(“Reseller”)

CUSTOMER
dated as of MARCH 1, 2024
AMENDING AND CARRYFORWARD AGREEMENT
This Amending and Carryforward Agreement (the "Agreement") incorporates terms set out in the UBC Master Reseller Agreement, dated March 1, 2024 (available at: ubcmrr.com/legal) and is meant to bind Reseller and its Customers.
WHEREAS, the Reseller has purchased UBC and wishes to resell UBC to its customers using terms and conditions set out in the UBC Master Reseller Agreement.
NOW, THEREFORE:
All references set out in the UBC Master Reseller Agreement to the UBC JV and/or to 12316421 CANADA INC. and/or to 10574104 CANADA INC. are hereby replaced with Reseller; and
Reseller hereby amends and agrees to carryforward terms and conditions set out in the UBC Master Reseller Agreement in respect of its contractual relationship with its Customers.
