Acceptance of Terms
By using this website, you signify your consent to these Terms of Use. If you do not agree to these Terms of Use, please do not use the website.
Your access to and use of this website, as well as all related websites operated by Ground and Regulate, LLC (which includes groundandregulate.com, among others) (collectively the "Site") is subject to the following terms and conditions ("Terms of Use") and all applicable laws. By accessing and browsing the Site, you accept, without limitation or qualification, the Terms of Use and acknowledge that any other agreements between you and the Site are superseded and of no force or effect.
Coaching Disclaimer — Not Therapy
Ground and Regulate, LLC provides somatic and nervous system coaching services and educational content only. Nothing on this Site, in any program, course, or digital product (including the ALIGN Method), or in any 1:1 session constitutes therapy, counseling, psychotherapy, or mental health treatment, and nothing should be construed as medical advice, diagnosis, or treatment.
Carrie McMahon is not a licensed therapist, psychologist, or medical professional. If you are currently working with a mental health provider, you are encouraged to continue that care. If you are experiencing a mental health crisis, please contact a licensed professional or a crisis line immediately.
By using this Site and purchasing any products or services, you confirm that you understand the distinction between coaching and therapy, and that you are choosing these services of your own volition.
Intellectual Property and Content Ownership
You agree that the Site itself, as well as all content, videos, training materials, products, services, and other materials made available on the Site by us or other third parties, as well as the look and feel of all of the foregoing (collectively referred to as the "Content"), are maintained for your personal use and information by Ground and Regulate, LLC (the "Company") and are the property of the Company and/or its third party providers.
Company Content includes all proprietary videos, HTML/CSS, Javascript, graphics, voice and sound recordings, artwork, photos, documents, text, frameworks, and methodologies, including but not limited to the ALIGN Method and any associated materials. Subject to your compliance with these Terms of Use, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access, view, and use the Site solely for your personal purposes.
No Company Content may be copied, reproduced, republished, uploaded, posted, transmitted, distributed, used for public or commercial purposes, or downloaded in any way unless written permission is expressly granted by the Company. Modification of the Content or use of the Content for any other purpose is a violation of the copyright and other proprietary rights of the Company.
Products and Services
Ground and Regulate, LLC offers both 1:1 coaching sessions and digital products (such as the ALIGN Method and other programs). The terms below apply to both unless otherwise specified.
Payment
You agree that you will pay for all products and services you purchase through the Company. You are responsible for the timely payment of all fees and for providing a valid payment method. All sales are final.
Prices for products and services offered by the Company may change at any time. The Company does not provide price protection or refunds in the event of a price reduction or promotional offering.
Refund Policy
All sales are final. Ground and Regulate, LLC does not offer refunds on 1:1 session packages or digital products once purchased.
Exception — Digital Product Delivery Failure: If technical problems prevent or unreasonably delay delivery of a digital product, your sole remedy is either replacement or a refund of the price paid, as determined by the Company.
Any exceptions to this policy are granted at the sole discretion of the Company and do not create a precedent or ongoing obligation.
Cancellation and Rescheduling — 1:1 Sessions
You are responsible for scheduling your 1:1 sessions. To cancel or reschedule, you must provide a minimum of 24 hours notice before your scheduled session time.
Cancellations made with less than 24 hours notice, or failure to show up to a scheduled session, will result in forfeiture of that session with no credit, refund, or rescheduling offered.

User Submissions
If you send comments, suggestions, feedback, or other materials to the Company, such submissions shall become and remain the sole property of the Company. No submission shall be subject to any obligation of confidence on the part of the Company. The Company shall exclusively own all rights to such submissions and shall be entitled to unrestricted use, publication, and dissemination for any purpose, commercial or otherwise, without acknowledgment or compensation to you.
Privacy and Electronic Communications
When you register with the Company and/or this Site, you expressly consent to receive notices, announcements, agreements, disclosures, reports, documents, communications concerning new products or services, or other records or correspondence from the Company electronically via email.
The Company will not intentionally disclose any personally identifying information about you to third parties, except where the Company, in good faith, believes such disclosure is necessary to comply with the law or enforce these Terms of Use. By using the Site, you signify your acceptance of the Company's Privacy Policy.
The Company shall use commercially reasonable efforts to restrict unauthorized access to our data and files. However, no system, whether or not password protected, can be entirely impenetrable. Use of the Site is at your own risk.
Disclaimers and Limitation of Liability
While the Company uses reasonable efforts to include accurate and up-to-date information on the Site, the Company makes no warranties or representations as to its accuracy and assumes no liability for any errors or omissions.
Neither the Company nor any other party involved in creating, producing, or maintaining the Site and/or any content on the Site shall be liable under any circumstances for any direct, incidental, consequential, indirect, or punitive damages arising out of your access to or use of the Site. Without limiting the foregoing, all content on the Site is provided "as is" without warranty of any kind, either expressed or implied, including but not limited to the implied warranties of merchantability or fitness for a particular purpose.
The Company does not warrant or make any representations or guarantees that you will earn any money using the Site or the Company's technology or services. Your results are entirely dependent on your own efforts, decisions, and circumstances. The Company cannot and does not warrant any specific outcome or income level.
In no event shall the Company be liable for any special, incidental, indirect, punitive, reliance, or consequential damages, including but not limited to loss of profits, revenue, or data, regardless of theory of liability. This limitation will apply even if the Company has been advised of the possibility of such damages.
The Company shall not be responsible for any performance or service problems caused by any third party website or service provider, including web hosting, Stripe payment services, or any software platform. Any such problem shall be governed solely by the agreement between you and that provider.
Indemnification
You agree to indemnify and hold the Company and each of its directors, officers, employees, and agents harmless from any and all liabilities, claims, damages, and expenses, including reasonable attorney's fees, arising out of or relating to: (i) your breach of this Agreement; (ii) any violation by you of law or the rights of any third party; (iii) any materials, information, or other content you post or share on or through the Site; (iv) your use of the Site or any services the Company provides; and (v) your conduct in connection with the Site or other users of the Site.
Intellectual Property Complaints
The Company respects the intellectual property rights of others. If you believe your intellectual property rights are being violated or that any work belonging to you has been reproduced on the Site in any way, please notify the Company at carrieinflow@gmail.com. Please include your name and contact information, the nature of your work and how it is being violated, all relevant copyright and/or trademark registration information, the location or URL of the violation, and any other information you believe is relevant.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. You further submit to the exclusive jurisdiction of the state and federal courts sitting in Contra Costa County, California.
If any provision of this Agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions.
