BY COMPLETING YOUR PURCHASE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO THESE TERMS AND CONDITIONS.
PURCHASES, RESULTS & REFUND POLICY
You understand that digital products, courses, workshops, trainings, strategy sessions, consulting and advisory services, systems, frameworks, newsfeeds, webinars, communities, memberships, coaching, support, and other products or services provided by Judi Fox are non-refundable unless otherwise expressly stated in writing at the time of purchase.
You understand that Judi Fox does not guarantee or make representations regarding your personal, professional, business, financial, social media, audience, revenue, or other results or earning potential.
You are responsible for your own decisions, actions, implementation, and results arising from your purchase or use of our Products and/or Services.
IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT PURCHASE OR USE JUDI FOX PRODUCTS OR SERVICES.
PAYMENT DISPUTES & CHARGEBACKS
Before initiating a chargeback or payment dispute with a bank, credit card company, PayPal, Stripe, or other payment provider, you agree to first contact Judi Fox in writing and provide a reasonable opportunity to address the issue. Initiating a chargeback or payment dispute does not cancel or otherwise modify your contractual payment obligations.
If a chargeback or payment dispute is initiated regarding a valid charge and is resolved in favor of Judi Fox, you remain responsible for all amounts owed under this Agreement, together with any chargeback fees, collection costs, court costs, or attorneys’ fees recoverable under applicable law. Outstanding amounts may be referred to a collection agency or pursued through other lawful collection methods.
Nothing in this provision is intended to waive any right or remedy that cannot lawfully be waived.
INTELLECTUAL PROPERTY, LICENSE & USE OF MATERIALS
You expressly agree not to sell, resell, reproduce, duplicate, copy, or exploit any portion of our Products and/or Service, or any Content on the Site through which our Products and/or Services and/or Content are provided, without express written permission by us.
You accept that we are not responsible or liable for any harm or damages to you, your business, life, physical and mental health, financial, or otherwise caused by or resulting from your use of our Site, Content, Product and/or Services, including any actions you choose to make, or not make, as a result of using our Site, Content, Products and/or Services. We reserve the right to refuse service to anyone for any reason at any time.
DEFINITIONS
The terms “we”, “us” “our” and “Company” refers to Judi Fox, Judith Fox, #FoxRocks, Judi FoxRocks. The terms “user,” “you” and “your” refers to site visitors, customers, and any other purchaser of our Products.
The term “Content” shall include but is not limited to the Site, information contained on the Site, our materials/information, Products, services, any digital content delivered or downloaded via email or other electronic means, webinars, trainings, strategy sessions, courses, classes, live posts and the like, whether purchased or not.
The term “Product” and “Products” shall include but is not limited to materials, resources or information provided to you by us in our digital product, course and/or service or any digital content or information delivered or downloaded via email or other electronic means, webinars, workshops, strategy sessions, community, newsletter, documents, programs, courses, classes, PDFs, video calls, live posts and the like.
All Content, such as text, data, graphics files, videos and sound files, and other materials contained in the Site, are copyrighted unless otherwise noted and are the property of the Company and/or a supplier to the Company. No such materials may be used except as provided in these Terms of Use.
Judi Fox retains full ownership of her own pre-existing, evolving, or independently developed strategies, systems, and frameworks—even if adapted, expanded, or applied while working together. This includes verbal coaching, teaching methods, AI tools, hashtag strategies, or business systems she originated prior to or during this agreement. Judi may continue to use, teach, adapt, and commercialize any of her own intellectual property in any format or setting, without seeking permission, so long as confidential or proprietary information is not disclosed or grossly misrepresented.
You may not modify, publish, transmit, participate in the transfer or sale of, create derivative works based on, distribute, display, reproduce, or perform, or in any way exploit in any format whatsoever any of the Site, Service Content, Course and Program Materials, or other intellectual property, in whole or in part without our prior express and written consent. We reserve the right to immediately remove you from the Service, without refund, if you are caught violating this intellectual property policy.
License to Use. By purchasing our Product and/or Services, you are hereby granted one limited, non-assignable, non-exclusive, non-transferrable, non-sublicensable, revocable license to the Product and/or Services that you purchased.
Consulting Services. All strategy sessions, meetings, advisory calls, consulting time, client-relationship management, crisis communication, project conversations, client relationship discussions, and related services (strategic, emotional, operational) provided by Judi Fox are billable services unless a specific instance is explicitly designated in writing by Judi Fox as courtesy.
Verbal conversations, transcripts, video calls, messaging, email, strategic emotional intelligence support, and project continuity guidance provided during a project are considered paid consulting billable time.
Retainer Structure. Retainers cover access, availability, and consulting time are not deliverables-based, and no deliverables-based payment structure is implied or granted unless expressly stated in writing. If either party ends a retainer early, a final invoice will be issued for billable hours completed to date. The final invoice is due immediately upon receipt.
Documentation. Judi Fox maintains internal time-tracking records of consulting, project, and strategy time. These records serve as an official ledger of billable hours and an itemized ledger of hours may be provided as a professional courtesy and are not a requirement of service.
No Resale of Products and/or Services Permitted. You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any non-commercial or commercial purposes, any portion of the Site, Content, Products and/or Services purchased via the Site, use of the purchased materials/products, or access to any course or products purchased. This agreement and all Product and/or Services purchased are not transferable or assignable without the Company’s prior written consent.
While the Company uses reasonable efforts to include accurate and up-to-date information in the Site, the Company makes no warranties or representations as to its accuracy. The Company assumes no liability or responsibility for any errors or omissions in the content of the Site.
When you register with the Company and/or this Site, you expressly consent to receive any notices, announcements, agreements, disclosures, reports, documents, communications concerning new products or services, or other records or correspondence from the Company. You consent to receive notices electronically by way of transmitting the notice to you by email.
The Company shall use commercially reasonable efforts to restrict unauthorized access to our data and files. However no system whether or not password protected can be entirely impenetrable. You acknowledge that it may be possible for an unauthorized third party to access, view, copy, modify, or distribute the data and files you store using the Site. Use of the Site is completely at your own risk.
These Terms of Use may be revised from time to time by updating this posting. You are bound by any such revisions and should therefore periodically visit this page to review the current Terms.
Custom Feeds, Newsfeeds, Code, AI, and Curated Resources. Any custom feeds, curated feeds, newsfeeds, "The Rooms", lists, databases, collections, directories, software, source code, scripts, automations, technical systems, interfaces, AI prompts, AI workflows, AI-assisted tools or systems, or other digital or curated resources provided or developed by Judi Fox are licensed for your individual use only unless otherwise expressly agreed in writing.
Access may not be shared, transferred, copied, reproduced, reverse engineered, resold, sublicensed, redistributed, republished, or made available to another person or organization without prior written permission from Judi Fox.
Judi Fox retains ownership of her pre-existing and independently developed source code, systems, methods, tools, technology, selection and organization methods, and other intellectual property used to create or operate these resources, including modifications, improvements, and developments made over time.
AI, Scraping, and Automated Use. You may not use artificial intelligence tools, bots, scrapers, crawlers, automated systems, data-mining tools, or similar technologies to systematically access, scrape, extract, copy, reproduce, index, train on, replicate, reverse engineer, create derivative works from, or otherwise commercially exploit our Content, Products, custom feeds, newsfeeds, code, frameworks, systems, databases, Conducting Certainty content, including content published or provided through Substack, or other intellectual property without prior express written permission from Judi Fox.
You may not upload or provide our Content or Products to any third-party AI system for the purpose of creating, training, developing, or improving a competing or derivative product, service, system, framework, database, or resource.
GOVERNING LAW & DISPUTE RESOLUTION
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Products or Services provided by Judi Fox shall be governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Before filing a legal action relating to these Terms, you agree to first contact Judi Fox in writing and make a good-faith effort to resolve the dispute directly.
To the fullest extent permitted by law, any legal action arising out of or relating to these Terms shall be brought in the state or federal courts having jurisdiction in Henrico County, Virginia, and you consent to the jurisdiction and venue of those courts.
Nothing in these Terms is intended to waive any right or remedy that cannot lawfully be waived.
