Referral Psychology™
Membership & License Agreement
Provided by Home Care Entrepreneurs, LLC
Effective Date: October 20, 2026
This Membership & License Agreement ("Agreement") is entered into between Home Care Entrepreneurs, LLC, an Illinois limited liability company ("Company," "we," "our," or "us"), and the individual or business purchasing a Referral Psychology™ membership ("Member" or "you").
By purchasing a Referral Psychology™ membership and accepting this Agreement at checkout, you acknowledge that you have read, understood, and agree to these terms.
1. Membership Access
Referral Psychology™ is a proprietary referral relationship-building system that provides access to an AI Coach, marketing strategies, educational resources, templates, and related tools.
Each membership is licensed to the purchasing business and may be used by the business owner or a designated employee, such as a marketing director or referral liaison.
Each membership permits one active user at a time. The business owner may share login credentials with an authorized employee within the same business, provided only one individual uses the account at any given time.
Membership credentials may not be shared with other agencies, separate franchise locations, unaffiliated businesses, or outside parties without written authorization.
The purchasing business is responsible for all activity conducted through its membership account.
Membership access remains available while the subscription is paid, active, and in good standing, subject to this Agreement.
2. Subscription, Payments & Cancellation
Membership purchases may include a one-time activation fee and a recurring monthly subscription, as disclosed at checkout.
Payments are processed through Stan Store and its payment providers.
Automatic Renewal: Your membership automatically renews at the subscription rate and billing frequency disclosed at checkout until canceled.
No Refunds: All payments, including activation fees and recurring subscription charges, are final and nonrefundable, except where required by applicable law.
Cancel Anytime: Members may cancel their subscriptions at any time through the available subscription management process or by contacting the Company at kurt@safeathomehealthcare.com.
Cancellation prevents future subscription renewals but does not result in a refund or prorated credit for unused membership time.
Members retain access through the end of their paid billing period, provided they remain in compliance with this Agreement.
Members are responsible for canceling before their next renewal date to avoid additional charges. Cancellation requests received after a renewal has been processed will not ordinarily result in a refund, except where required by law.
If a recurring payment fails, the Company may suspend access after any applicable payment recovery period or legally required notice.
3. License to Use Referral Psychology™
Membership includes a limited, nonexclusive, nontransferable, nonsublicensable, and revocable license to use Referral Psychology™ tools and materials for the purchasing business's internal marketing activities during its active membership.
Members may use authorized templates, strategies, and resources to develop referral relationships and promote their own businesses.
Members may not:
Resell, sublicense, or redistribute the Referral Psychology system.
Share membership access with unauthorized businesses or individuals.
Copy, reproduce, publish, or commercially distribute proprietary training materials or templates, except as expressly authorized for their own business marketing activities.
Attempt to extract, duplicate, reverse-engineer, or recreate proprietary AI Coach instructions, configurations, or underlying systems.
Represent Referral Psychology intellectual property as their own.
Use proprietary membership materials to create, train, or market a competing version of the Referral Psychology system.
Remove copyright notices, trademarks, or proprietary notices from materials.
All intellectual property rights remain with Home Care Entrepreneurs, LLC or their respective rights holders.
Nothing in this Agreement transfers ownership of Referral Psychology intellectual property to the Member.
4. Geographic Exclusivity
Referral Psychology™ memberships include geographic exclusivity within an approved ZIP-code territory, subject to availability and written confirmation from the Company.
Members may request a preferred ZIP-code territory during registration or purchase.
Geographic exclusivity becomes effective only after Home Care Entrepreneurs, LLC confirms the approved territory in writing.
The Company reserves the right to decline a requested ZIP code if it has already been assigned or is otherwise unavailable.
If a requested territory is unavailable, the Company will offer an alternative available territory for the Member's approval or, if no mutually acceptable territory can be assigned, cancel the purchase and refund the amounts paid for that purchase.
While the membership remains active, paid, and in good standing, the Company agrees not to license Referral Psychology™ to another directly competing home care agency for the same approved ZIP-code territory.
Exclusivity continues through the Member's paid membership period, including any remaining paid period following cancellation.
Once the membership expires or terminates, the territory may become available to another business.
Geographic exclusivity applies only to the licensing of the Referral Psychology system. It does not prevent other agencies from operating, marketing, or independently developing referral relationships within the same geographic area.
Exclusivity does not guarantee referrals, meetings, clients, revenue, or business performance.
Any additional territories require separate written approval from the Company and may involve additional fees.
5. AI Coach & Educational Resources
The Referral Psychology AI Coach provides educational guidance, marketing ideas, and recommendations intended to help members identify, approach, and develop professional referral relationships.
The AI Coach is intended to support the Member's marketing efforts and professional judgment, not replace them.
AI-generated content may contain errors, inaccuracies, or incomplete information. Members are responsible for reviewing and approving all content before using it.
Members are responsible for ensuring their marketing practices comply with applicable laws, regulations, professional standards, and organizational policies.
The Company does not guarantee any specific number of referral relationships, meetings, clients, or financial results.
6. Intellectual Property & Confidentiality
Referral Psychology™, including its branding, proprietary methodology, training materials, templates, AI Coach configurations, and nonpublic resources, constitutes valuable intellectual property of the Company or its licensors.
Members agree not to disclose, distribute, sell, or commercially exploit proprietary materials outside the permissions granted by this Agreement.
Members retain ownership of their original business information and content submitted through the platform.
The Company may process information submitted through the membership portal as necessary to provide, maintain, secure, and improve the service, subject to its applicable Privacy Policy and any required permissions.
Members agree to maintain the confidentiality of nonpublic proprietary information made available through their membership.
These confidentiality and intellectual property obligations continue after membership termination to the extent applicable.
7. Membership Suspension & Termination
Membership access may be suspended or terminated for:
Nonpayment or expiration of a subscription.
Unauthorized sharing of membership access.
Intellectual property violations.
Fraudulent, unlawful, or materially abusive use of the platform.
Unauthorized disclosure of confidential information.
Other material violations of this Agreement.
Where reasonably appropriate, the Company may provide notice and an opportunity to correct a violation before termination.
The Company may suspend access immediately when reasonably necessary to protect platform security, prevent unlawful activity, or address serious misuse.
When membership access ends, the Member's license to access and use proprietary membership materials also ends.
Members may continue applying general knowledge and skills learned through the program but may not continue reproducing, distributing, or commercially exploiting proprietary licensed materials without authorization.
Any geographic exclusivity associated with the membership ends when the paid membership period expires or the membership is validly terminated.
8. Platform Availability & Updates
The Company may improve, modify, or update the Referral Psychology AI Coach, educational resources, and membership platform over time.
Reasonable efforts will be made to maintain platform availability, but uninterrupted service is not guaranteed.
The Company may temporarily suspend access for maintenance, security improvements, technical updates, or circumstances beyond its reasonable control.
Material changes to membership benefits or services will be communicated as appropriate.
9. Business Results Disclaimer
Referral Psychology™ provides educational and marketing support tools.
Business results depend on many factors, including market conditions, implementation, effort, communication skills, professional relationships, and individual business operations.
The Company makes no representations or guarantees concerning:
The number of referral partners a Member may develop.
The number of meetings or conversations generated.
The number of new clients acquired.
Revenue, profits, or return on investment.
The effectiveness of any particular marketing strategy in a specific market.
Members are solely responsible for their own business decisions, marketing implementation, and professional conduct.
10. Limitation of Liability & Disclaimer of Warranties
Referral Psychology™ and its related tools and resources are provided on an "as available" basis.
To the maximum extent permitted by applicable law, the Company disclaims implied warranties, including warranties of merchantability, fitness for a particular purpose, and noninfringement, except to the extent such warranties cannot legally be excluded.
The Company does not warrant that the platform will be uninterrupted, error-free, or free from all technical defects.
To the maximum extent permitted by applicable law, Home Care Entrepreneurs, LLC will not be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, lost revenue, lost data, or lost business opportunities arising from use of the Referral Psychology system.
To the extent permitted by applicable law, the Company's total aggregate liability for claims relating to a membership will not exceed the amount paid by the Member during the twelve months preceding the event giving rise to the claim.
Nothing in this Agreement excludes or limits liability that cannot legally be excluded or limited.
11. Governing Law & Jurisdiction
This Agreement is governed by and interpreted in accordance with the laws of the State of Illinois, without regard to its conflict-of-law principles, except where applicable law requires otherwise.
Any legal disputes arising from this Agreement shall be subject to the jurisdiction of the appropriate state or federal courts located in Illinois, unless otherwise required by applicable law.
12. Agreement Acceptance
By completing a purchase and affirmatively accepting this Agreement at checkout, the Member acknowledges that they have read, understood, and agreed to its terms.
This Agreement becomes effective upon acceptance and purchase.
The Company may maintain electronic records of the Member's acceptance, purchase, and membership status.
13. Electronic Communications

Membership activation and account access.
Payment confirmations and billing notices.
Subscription renewals and cancellations.
Important platform updates.
Changes to membership terms or policies.
Other communications reasonably necessary to administer the membership.
These communications may be delivered to the email address associated with the membership.
Members are responsible for maintaining an accurate email address.
Marketing communications will be handled separately in accordance with applicable law and the Member's communication preferences.
14. Third-Party Services & Data Security
Referral Psychology™ uses third-party technology providers for payment processing, membership access, artificial intelligence, and related services.
These providers may include Stan Store, the Company's membership portal provider, and AI technology providers.
The Company makes reasonable efforts to maintain the security and availability of its membership platform. However, no internet-based system can guarantee absolute security or uninterrupted service.
The Company is not responsible for disruptions caused by third-party providers beyond its reasonable control, subject to applicable law and the Company's obligations under this Agreement.
Members are responsible for protecting their login credentials and preventing unauthorized access to their accounts.
Members must not submit patient names, protected health information, medical records, or other sensitive patient information into the Referral Psychology AI Coach.
The system is designed for marketing and referral relationship development, not patient care documentation or clinical information management.
The collection, use, and processing of personal information are further addressed in the Company's applicable Privacy Policy.
15. Member Responsibility & Indemnification
Members agree to use Referral Psychology™ lawfully and in accordance with this Agreement.
To the extent permitted by applicable law, Members agree to indemnify and hold harmless Home Care Entrepreneurs, LLC, its owners, employees, and representatives against third-party claims, damages, and reasonable legal expenses arising from:
The Member's material violation of this Agreement.
The Member's unlawful marketing practices.
The Member's infringement of third-party intellectual property rights.
The Member's unauthorized disclosure of confidential or protected information.
The Member's misuse of the platform in violation of applicable law.
This provision does not require Members to indemnify the Company for the Company's own negligence, misconduct, or breach of this Agreement.
16. Feedback & Suggestions
Members may voluntarily provide suggestions, recommendations, or feedback concerning Referral Psychology™.
Members grant Home Care Entrepreneurs, LLC a nonexclusive, royalty-free, perpetual license to use such feedback to improve, develop, and promote its products and services without compensation.
This permission does not transfer ownership of the Member's original business information, confidential materials, or other proprietary content.
17. Changes to This Agreement
Home Care Entrepreneurs, LLC may update this Agreement to reflect changes in its services, technology, business operations, or applicable law.
Members will receive reasonable advance notice of material changes through email or the membership portal.
Material changes will apply prospectively and will not retroactively eliminate previously earned rights or benefits.
Where required by applicable law, additional consent will be obtained before material changes take effect.
18. Severability
If any provision of this Agreement is determined to be invalid, unlawful, or unenforceable, that provision shall be limited or removed to the minimum extent necessary.
The remaining provisions will continue in full force and effect.
19. Entire Agreement
This Agreement, together with any applicable written territory confirmation, checkout disclosures, and policies expressly incorporated by reference, constitutes the entire agreement between Home Care Entrepreneurs, LLC and the Member regarding the Referral Psychology™ membership.
Any modification to an approved exclusive territory must be confirmed in writing by both the Company and the Member.
This Agreement supersedes prior discussions or representations concerning the membership, except for separate written agreements expressly preserved by the parties.
