TERMS & CONDITIONS — KENDALL DIOR, LLC

Please read these Terms & Conditions (“Terms”) carefully before accessing, purchasing, subscribing to, or using any website, community, digital product, educational program, coaching service, software tool, membership, or other product or service offered by Kendall Dior, LLC (“Company,” “we,” “us,” or “our”).
By purchasing, subscribing to, accessing, or using our products or services, you acknowledge that you have read, understood, and agree to these Terms.
1. Educational Purposes Only
All content, products, communities, live sessions, coaching, indicators, tools, videos, lessons, market commentary, chart analysis, examples, and other materials provided by Kendall Dior, LLC are for educational and informational purposes only.
Nothing provided by the Company constitutes financial, investment, legal, tax, accounting, or other professional advice.
Kendall Dior, LLC is not a registered investment adviser, broker-dealer, or financial adviser.
You are solely responsible for your own financial and trading decisions.
2. Trading & Investment Risk
Trading and investing involve substantial risk, including the possible loss of some or all capital invested.
Any trades, charts, strategies, examples, market commentary, live trading sessions, or educational demonstrations are provided for educational purposes and should not be interpreted as instructions to buy, sell, or hold any security or financial instrument.
You are responsible for determining whether any trading or investment decision is appropriate for your individual financial situation, experience, risk tolerance, and objectives.
Never trade money you cannot afford to lose.
3. No Earnings or Trading Guarantees
Kendall Dior, LLC does not guarantee income, profits, trading success, account growth, investment returns, or any particular financial result.
Testimonials, member wins, trade examples, screenshots, case studies, or results shared by the Company represent individual experiences and are not guarantees that you will achieve the same or similar results.
Your results depend on numerous factors outside the Company's control, including your decisions, knowledge, experience, discipline, risk management, market conditions, and implementation.
4. Purchases & Payment Authorization
You agree to pay all charges associated with products or services you purchase from Kendall Dior, LLC.
Prices, billing frequencies, and applicable payment terms are disclosed at or before checkout.
By completing a purchase, you authorize the payment processor used by the Company to charge the payment method you provide according to the terms presented at checkout.
You are responsible for maintaining a valid payment method and accurate billing information.
5. Recurring Memberships & Subscriptions
Certain Company products, including Her Trading Floor, may be offered as recurring memberships or subscriptions.
The applicable price and billing frequency will be disclosed at checkout.
By purchasing a recurring membership, you authorize your payment method to be automatically charged at the stated billing frequency until the membership is canceled.
You may cancel a recurring membership at any time to prevent future renewal charges.
Cancellation applies to future billing and does not retroactively cancel or refund a membership payment that has already been processed, except where required by applicable law.
Failure to use, access, or participate in a membership does not automatically cancel the subscription.
Customers are responsible for canceling their membership before their next renewal if they do not wish to be charged again.
When a membership is canceled or expires, access may continue until the end of the applicable paid access period unless otherwise stated for that product.
6. Digital Products & Immediate Access
Certain purchases provide immediate access to digital products, proprietary educational materials, communities, videos, lessons, recordings, software tools, indicators, resources, or other digital content.
Because access to digital content and intellectual property may be provided immediately upon purchase, purchases are generally final and non-refundable, except where otherwise expressly stated in the applicable product terms or required by law.
A customer's failure to access, download, watch, attend, participate in, or otherwise use purchased content does not by itself constitute non-delivery when access has been successfully provided.
If a verified technical issue caused by the Company prevents delivery or access, the customer should contact the Company so that reasonable efforts can be made to restore or provide access.
7. Refund Policy
Unless a different refund policy is expressly stated for a specific product or service at the time of purchase, all sales are final and non-refundable, subject to applicable law.
This includes, as applicable:
digital products and resources; memberships and subscription payments already processed; educational programs; indicators and digital tools; coaching services; strategy sessions; classes; recordings; and other immediately accessible proprietary content.
A change of mind, failure to use a product, failure to attend available sessions, forgetting to cancel a recurring subscription, or deciding that a purchased product is no longer needed does not automatically qualify a purchase for a refund.
Nothing in these Terms limits any refund or consumer right that cannot legally be waived.
8. Coaching, Strategy Calls & 1:1 Services
Coaching appointments, strategy calls, intensives, and other scheduled services are reserved specifically for the purchasing client.
Unless otherwise stated in the product-specific terms:
Clients must cancel or reschedule at least 24 hours before the scheduled appointment.
Cancellations or rescheduling requests made less than 24 hours before the scheduled appointment may result in forfeiture of that session.
Failure to attend a scheduled appointment without timely cancellation or rescheduling may result in forfeiture of the session.
Clients should arrive on time. A grace period of up to 10 minutes may be provided. Significant lateness may reduce the available session time and does not automatically extend the scheduled appointment.
Missed or forfeited sessions are not automatically added to another session or combined with remaining sessions.
Payments for coaching and scheduled services are non-refundable except where otherwise expressly stated or required by law.
9. Live Sessions & Recordings
Some products or memberships may include live trading, educational classes, coaching, Q&A sessions, market preparation, psychology sessions, community events, or other live programming.
Schedules and programming may change.
Unless expressly promised as part of a specific purchase, attendance at every live session is not guaranteed, and not every live session will necessarily be recorded.
Certain recordings may be available temporarily and may later be removed or replaced.
10. Community Access & Conduct
Participation in Company communities is a privilege provided as part of certain products or memberships.
Members agree to communicate respectfully and refrain from harassment, threats, discrimination, spam, unauthorized solicitation, illegal activity, or conduct that materially disrupts the community.
Members may not share private community links, invite links, passwords, recordings, paid materials, screenshots containing confidential member information, or proprietary resources with non-members.
The Company reserves the right to restrict or terminate access when reasonably necessary to protect the community, its members, the Company's intellectual property, or the integrity of its services.
Termination for a material violation of these Terms or applicable community rules does not automatically entitle the customer to a refund, subject to applicable law.
11. Intellectual Property
All original content provided by Kendall Dior, LLC — including but not limited to videos, educational materials, trading frameworks, lessons, workbooks, PDFs, graphics, recordings, presentations, indicators, software, proprietary tools, community materials, written content, and other resources — is owned by or licensed to Kendall Dior, LLC and is protected by applicable intellectual-property laws.
Purchasing a product gives you a limited, personal, non-exclusive, non-transferable right to access and use that product for your own personal educational purposes.
Purchasing access does not transfer ownership of the content or intellectual property to you.
Without prior written permission from Kendall Dior, LLC, you may not reproduce, copy, distribute, sell, sublicense, republish, upload, publicly display, commercially exploit, teach, share, or provide Company content or access credentials to another person.
12. Indicators, Software & Third-Party Platforms
Certain Company products or services may rely upon third-party platforms or services, including platforms used for payments, charting, communication, community access, video conferencing, scheduling, hosting, or content delivery.
Kendall Dior, LLC does not own or control third-party platforms and cannot guarantee their uninterrupted availability, compatibility, features, pricing, policies, or performance.
Temporary outages, platform changes, or technical issues caused solely by a third-party provider are not necessarily failures by Kendall Dior, LLC to provide its products or services.
When reasonable and within the Company's control, we may assist customers in resolving access issues.
13. Floor Signal & Trading Tools
The Floor Signal and any other trading indicator, software, alert, algorithm, analysis tool, or related product offered by Kendall Dior, LLC are educational and analytical tools only.
Signals, alerts, targets, stops, market bias, confirmations, or other information generated by a tool do not constitute investment advice or a guarantee that a trade will be profitable.
Indicators and software may produce false signals, delayed signals, missed setups, or results that differ based on market conditions, settings, data providers, platforms, or user configuration.
Customers remain solely responsible for their trading decisions and risk management.
14. Payment Disputes & Chargebacks
Customers are encouraged to contact Kendall Dior, LLC promptly if they believe a billing error, duplicate charge, access problem, or other payment issue has occurred so that the Company has an opportunity to investigate and attempt to resolve the matter.
Nothing in these Terms prevents a customer from exercising any lawful right to dispute a transaction through their payment provider.
However, initiating a payment dispute does not alter the Company's right to provide relevant records and evidence to the applicable payment processor, financial institution, or card issuer, including records regarding the purchase, billing authorization, delivery, account access, membership activity, cancellation, communications, and applicable terms.
15. Electronic Communications
By purchasing a product, registering for a service, or providing your email address, you consent to receive transactional electronic communications related to your purchase, account, membership, scheduled services, access, billing, and other necessary service information.
Marketing communications will be handled in accordance with applicable law and available opt-out requirements.
16. Accuracy & Availability
We make reasonable efforts to provide accurate and useful information, but educational content may contain errors or become outdated.
Markets, technology, third-party platforms, laws, products, schedules, and business circumstances may change.
We do not guarantee that all content or services will be uninterrupted, error-free, or available at all times.
17. Limitation of Liability
To the fullest extent permitted by applicable law, Kendall Dior, LLC and its owners, employees, contractors, representatives, and agents will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages arising from or related to the use of Company products, content, services, communities, or educational materials.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
18. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Kendall Dior, LLC and its owners, employees, contractors, representatives, and agents from third-party claims, liabilities, damages, losses, or reasonable expenses arising from your unlawful use of Company products or services, your material violation of these Terms, or your infringement of another person's rights.
19. Privacy
Personal information collected in connection with Company products and services will be handled in accordance with the Company's applicable privacy practices and the policies of relevant third-party service providers.
Payment information may be processed directly by third-party payment processors and may not be stored directly by Kendall Dior, LLC.
20. Product-Specific Terms
Certain products may contain additional terms presented on the sales page, checkout page, order form, agreement, onboarding materials, or scheduling page.
Those product-specific terms supplement these general Terms.
If a product-specific term directly conflicts with these general Terms, the more specific term applicable to that particular purchase will control to the extent of the conflict, subject to applicable law.
21. Changes to Products & Services
The Company may update, modify, replace, or discontinue features, schedules, content, communities, or services from time to time.
For recurring memberships, material changes will not alter charges already processed, and any pricing or billing changes will be handled in accordance with the terms applicable to the membership and applicable law.
22. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.
Any provision found to be invalid or unenforceable will be severed or limited to the minimum extent necessary, and the remaining provisions will remain in effect.
23. Changes to These Terms
Kendall Dior, LLC may revise these Terms from time to time.
The updated Terms will apply prospectively from their stated effective or “Last Updated” date. Changes will not retroactively alter the terms governing a completed purchase where doing so would be prohibited by law.
For recurring services, material changes will be communicated or implemented as required by applicable law.
