Terms and conditions of use and purchase
Effective date: Sep 9, 2026
These Terms and Conditions of Use and Purchase ("Terms") govern access to stan.store/nadineliverpool (the "Site") and the purchase or use of products and services offered by Nadine Liverpool, a sole proprietor registered under the business name Intentional Influence ("Nadine Liverpool," "Intentional Influence," "we," "us," or "our").
Please read these Terms before using the Site or purchasing a product or service. By checking the box confirming acceptance at checkout, completing a purchase, downloading or accessing a product, booking or attending a session, or otherwise using the Site, you agree to these Terms. If you do not agree, do not use the Site or purchase or access our products or services.
1. Seller and contact information
Seller: Nadine Liverpool, a sole proprietor registered under the business name Intentional Influence
Business address: 117-234 Hays Blvd., Oakville, Ontario L6H 3S5, Canada
Email: hello@intentionalinfluence.co
Store: stan.store/nadineliverpool
Questions, cancellation notices, rescheduling requests, privacy inquiries, and billing concerns must be sent to the email address above.
2. Scope of these Terms
These Terms apply to the Site and to the following products and services when offered:
Downloadable guides, templates, workbooks, checklists, toolkits, and similar digital resources
Self-paced courses and recorded training
Free resources and quizzes
Personalized written audits
Written audits that include a call
Standalone one-to-one coaching or advisory calls
Multi-session coaching or advisory packages
The description, price, inclusions, delivery method, availability, and any offer-specific conditions shown on the applicable sales or checkout page form part of the agreement. If an offer-specific term clearly conflicts with these Terms, the offer-specific term governs only for that product or service.
These Terms do not govern consulting services provided to brands, agencies, companies, or other organizations under a separate written agreement.
3. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to purchase a product or service. A person under 18 may participate only when a parent or legal guardian makes the purchase, accepts these Terms, and participates or provides any required consent.
By purchasing, you confirm that the information you provide is accurate and that you are authorized to use the selected payment method.
4. Orders and electronic agreement
An order is accepted when payment is successfully processed and an electronic confirmation or access instruction is sent to the email address provided at checkout. We may decline or cancel an order before delivery if a product is unavailable, a price or listing contains a material error, fraud is suspected, or the transaction cannot lawfully be completed. If we cancel a paid order before delivery, we will refund the amount collected for that order.
You are responsible for entering a valid email address and reviewing the product description, price, currency, delivery details, scheduling requirements, and refund or cancellation conditions before purchasing. Please retain the order confirmation and a copy of these Terms. You may request another copy by emailing hello@intentionalinfluence.co.
5. Prices, currency, payment, and taxes
Prices are displayed and charged in United States dollars unless the checkout page expressly states otherwise. Applicable taxes, if any, will be shown or charged at checkout.
Payment is due in full at the time of purchase. Your bank, card issuer, or payment provider may apply exchange rates or foreign-transaction fees. We do not control and are not responsible for those charges.
Promotional codes must be entered at checkout, are subject to their stated conditions, and will not be applied retroactively. Prices and offers may change at any time, but a later price change will not alter a completed purchase.
Payments are processed through third-party providers, including Stan and Stripe. Their separate terms and privacy practices may apply to payment processing.
6. Digital products and recorded training
Digital products normally provide immediate access after successful payment. By requesting immediate access, you consent to delivery beginning immediately and acknowledge that any statutory cancellation right may be lost once access or delivery begins, to the extent permitted by applicable law.
Because digital products provide immediate access to downloadable or viewable content, all digital-product sales are final and non-refundable.
Your access will continue indefinitely while the product remains hosted, supported, and available through the relevant platform. "Indefinite access" does not mean access for your lifetime or guarantee that a product or third-party platform will remain available permanently. If we plan to discontinue a hosted product, we will provide reasonable notice and an opportunity to download available materials where reasonably practicable.
Your purchase includes updates released for that product while it remains offered and supported. It does not guarantee that updates will be produced, that every future version or separately released product will be included, or that individual support is included unless the offer page says so.
If a download link expires, contact hello@intentionalinfluence.co from the email address used for the purchase and we will use reasonable efforts to restore access or resend the file. You are responsible for maintaining compatible devices, software, internet access, and secure copies of downloaded materials.
7. Personalized written audits
A personalized audit may be cancelled for a refund only before you submit the intake form and before Nadine Liverpool begins work, whichever occurs first. Once the intake form is submitted or work begins, the audit is non-refundable because personalized analysis and reserved service capacity are involved.
You must submit a complete intake form and all required materials within 30 calendar days after purchase. If you do not do so, the service expires without a refund. Nadine Liverpool may contact you for missing or clarifying information. The delivery period does not begin until all required information and accessible materials have been received.
Nadine Liverpool will deliver the completed audit within five business days after receiving a complete intake form and all required materials. A "business day" means Monday through Friday, excluding statutory holidays observed in Ontario. Delays caused by incomplete, inaccurate, inaccessible, or late information extend the delivery period. We will notify you if circumstances within our control require a material extension.
An audit covers the creator, business, and social-media account or accounts identified in the intake form and included in the purchased offer. You may request a substitute account, creator, or business by emailing hello@intentionalinfluence.co before work begins. Substitutions requested after work begins may be declined or require a new purchase.
Audits do not include revisions. You may submit reasonable clarification questions about the delivered audit within seven calendar days after delivery. Clarification does not include revising the audit, reviewing new materials, auditing another account, performing additional research, or providing continuing advisory support.
8. Written audit with a call
When an audit includes a call, the written-audit terms above also apply. The included call must be booked within seven calendar days after audit delivery and completed within 30 calendar days after the original purchase, unless the offer page states another period or Nadine Liverpool agrees to an extension in writing.
The call is intended to discuss and clarify the delivered audit. It does not include a revised audit, review of additional accounts or materially new information, contract negotiation on the customer’s behalf, or continuing representation.
The scheduling, rescheduling, lateness, no-show, recording, and conduct rules in Sections 9 and 10 apply to the included call.
9. Coaching calls and multi-session packages
Coaching and advisory sessions take place through Google Meet unless another method is agreed in writing. Calls must be booked and completed within 30 calendar days after purchase unless the offer page specifies another validity period. Unused sessions expire at the end of the applicable period and are not refundable.
You may reschedule an appointment once by emailing hello@intentionalinfluence.co at least 48 hours before its scheduled start time. A cancellation without rebooking, a request made less than 48 hours before the appointment, a second rescheduling request, or failure to attend is non-refundable and may result in forfeiture of the session.
If you arrive late, the session will end at the originally scheduled time. If you have not joined or contacted Nadine Liverpool within 15 minutes after the scheduled start time, the appointment may be treated as a no-show and forfeited.
Nadine Liverpool may make a reasonable exception for a documented emergency at her discretion. An exception in one situation does not change the policy for future appointments.
Sessions and packages are personal to the purchaser and cannot be transferred to another person. Unused sessions in a package are not refundable when the package expires.
If Nadine Liverpool must cancel a session, you may choose a reasonable replacement date. If a replacement cannot be arranged, you will receive a refund for the cancelled standalone session or the unused portion of the affected package.
10. Session recordings
Sessions are ordinarily recorded so the customer can receive a copy. Nadine Liverpool will notify you that recording is taking place. You may request an unrecorded session before recording begins. If you continue with the session after receiving notice and do not opt out, you consent to the recording.
Recordings are provided for the customer’s personal use and may not be published, distributed, sold, shared, excerpted publicly, or used to create another product without prior written permission. You may not separately record a session without prior written permission from Nadine Liverpool and any other participant.
When a recording is provided, it will normally remain available for download for 30 calendar days. You are responsible for downloading and securely storing your copy during that period. Recordings may be deleted after the access period expires.
11. Customer responsibilities and outcomes
Our products and services provide education, information, strategic guidance, and personal feedback. They are not legal, accounting, tax, financial, investment, medical, or mental-health advice.
Nadine Liverpool and Intentional Influence do not act as your talent manager, talent agent, lawyer, accountant, financial adviser, employee, partner, fiduciary, or representative. We do not contact, negotiate with, commit, or enter into agreements with brands or other parties on your behalf unless a separate written agreement expressly provides otherwise.
You remain responsible for your decisions, statements, pricing, pitches, negotiations, contracts, disclosures, content, regulatory compliance, business practices, and implementation. You should obtain advice from an appropriately qualified professional before relying on information involving legal, tax, accounting, financial, or other regulated matters.
We do not promise or guarantee brand deals, sponsorships, income, follower growth, engagement, campaign acceptance, negotiation outcomes, business growth, or any other particular result. Outcomes depend on factors outside our control, including your decisions and implementation, audience, content, market conditions, platform changes, brand requirements, and third-party conduct.
Information may become outdated as laws, platforms, features, market practices, and industry standards change. We may correct or update content, but we do not promise continuous monitoring or updates unless expressly included in the offer.
12. Intellectual property and customer licence
The Site and all products, audits, frameworks, methods, lessons, videos, recordings, text, graphics, worksheets, templates, downloads, and other materials created or supplied by Nadine Liverpool or Intentional Influence are protected by copyright and other intellectual-property laws.
A purchase grants one individual purchaser a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and use the purchased materials for that purchaser’s own creator business and learning. You may download, complete, and adapt worksheets or templates for your own internal use where the product is intended to be customized.
You may not, without prior written permission:
Share accounts, access links, recordings, files, audits, or paid materials with another person
Copy, reproduce, republish, post, upload, distribute, sell, license, sublicense, or commercially exploit the materials
Teach, present, or represent the materials, frameworks, or analysis as your own
Use the materials to create a competing course, service, template, audit, database, resource, or product
Remove copyright, attribution, watermark, or branding notices
Upload or submit paid materials or substantial portions of them to public generative-AI tools, custom GPT knowledge bases, shared databases, model-training datasets, or similar systems
Permit an agency, team, organization, or client to use the materials without a separate commercial licence or written permission
You may discuss your own experience and apply what you learn, but you may not reproduce or distribute the proprietary content or personalized deliverables. No ownership right is transferred to you.
13. Customer materials and confidentiality
You retain ownership of the materials and information you submit. You grant Nadine Liverpool a limited permission to access, review, copy, store, and use those materials only as reasonably necessary to provide the purchased service, maintain required business records, address a dispute, or comply with law.
You confirm that you have the right and authority to share all submitted materials, including account information, analytics, correspondence, contracts, images, and third-party information. Do not provide passwords or unnecessary sensitive information.
Nadine Liverpool will treat non-public customer information, submitted materials, communications, coaching discussions, audits, and recordings as confidential and will protect them using reasonable care. We will not publish or disclose your identity, materials, results, testimonial, audit excerpts, or case study without your permission.
Confidential information may be disclosed only:
With your authorization
To service providers that reasonably need the information to operate the Site or deliver the service and are subject to applicable confidentiality or privacy obligations
When required by law, regulation, court order, or lawful government request
When reasonably necessary to protect a person’s safety, investigate fraud or unlawful conduct, enforce these Terms, or establish or defend legal rights
When the information is already lawfully public through no breach of these Terms
We may use general lessons derived from customer work for education or business improvement only when the information has been anonymized so that the customer and any involved third party cannot reasonably be identified.
Nadine Liverpool will not upload or submit your private intake information, contracts, analytics, communications, call transcripts, or other customer materials to ChatGPT, Claude, Gemini, or another generative-AI service in connection with providing the service unless you give prior written consent.
Audit materials, service correspondence, working notes, and completed deliverables may be retained for up to 12 months after the service ends and then deleted when no longer reasonably required. Session recordings may be deleted after the 30-day access period. Payment, transaction, consent, tax, and legal records may be retained for any longer period required by law or reasonably necessary to establish or defend legal rights.
14. Privacy and service providers
We collect and use personal information reasonably required to operate the Site, process transactions, deliver products and services, communicate with customers, maintain records, prevent fraud, and comply with legal obligations. Additional information about our practices will be provided in the Privacy Policy made available through the Site.
We use third-party providers including Stan, Stripe, and Google Workspace. These providers may process information under their own terms and privacy policies and may store or process information outside your province or country.
We use reasonable administrative, technical, and organizational safeguards. No online platform, email system, payment processor, or storage system can be guaranteed to be completely secure.
15. Electronic communications and marketing
You consent to receive transactional communications needed to administer a purchase or service, including receipts, access instructions, appointment information, requested follow-up, policy notices, security messages, and customer-support responses.
Transactional communications are separate from promotional marketing. Purchasing a product does not by itself constitute unlimited consent to receive marketing emails. Marketing communications will be sent where we have the consent or other lawful basis required by applicable law and will include an unsubscribe method.
16. Acceptable use and conduct
You must not use the Site, products, services, sessions, or customer spaces to:
Violate any law or another person’s rights
Harass, threaten, discriminate against, abuse, impersonate, or defame another person
Submit malware, harmful code, fraudulent information, or unauthorized material
Attempt to gain unauthorized access to the Site, accounts, files, or systems
Interfere with service operation or security
Misuse, copy, distribute, or exploit our intellectual property
Engage in conduct that materially disrupts a session or prevents delivery of the service
We may refuse, suspend, or terminate access or services for a material breach of these Terms, unlawful conduct, harassment, threats, non-payment, fraud, security risk, or misuse of materials. Where reasonably practicable, we will provide notice and an opportunity to correct a curable breach. Refund eligibility following termination depends on the circumstances and applicable law. No refund is owed for a service already delivered or access terminated because of the customer’s material breach, except where required by law.
17. Third-party platforms and external resources
The Site and services may depend on third parties, including Stan, Stripe, Google, internet providers, social-media platforms, and linked websites. We do not control their availability, security, policies, features, outages, account decisions, or content.
Links or references to third-party services are provided for convenience or education and do not constitute an endorsement or guarantee. Your use of a third-party service is governed by that provider’s terms.
We are not responsible for a delay or interruption caused solely by a third-party outage or event outside our reasonable control. We will use reasonable efforts to restore access, provide an alternative, reschedule an affected service, or issue a refund when we cannot deliver the purchased product or service within a reasonable period.
18. Billing concerns and chargebacks
Contact hello@intentionalinfluence.co promptly if you believe a charge is incorrect or a product or service has not been delivered as promised. This allows us to investigate and attempt to resolve the concern.
You must not knowingly initiate a false, misleading, or abusive chargeback. We may provide the payment processor or financial institution with transaction records, proof of acceptance of these Terms, access records, communications, and delivery evidence when responding to a payment dispute. Nothing in this section limits a right or remedy available to you under applicable law or your payment-provider agreement.
19. Refunds and mandatory consumer rights
The refund and cancellation policies in these Terms apply except where applicable law gives you a right that cannot be waived or limited. Nothing in these Terms removes mandatory consumer protections.
If a product becomes unavailable after purchase but before delivery, or if a technical problem within our control prevents delivery within a reasonable period, we may restore access, provide a replacement, or issue a refund, as appropriate and subject to applicable law.
Approved refunds will normally be returned to the original payment method. Processing times are controlled partly by the payment provider and financial institution.
20. Disclaimers
To the fullest extent permitted by law, the Site, free resources, quizzes, digital products, and informational content are provided on an "as is" and "as available" basis. We do not warrant that the Site or third-party platforms will operate continuously, remain error-free, or be free from every harmful component.
Quiz and assessment results are educational tools based on the information provided and are not professional evaluations, certifications, or guarantees of readiness or results.
Nothing in these Terms excludes a warranty, condition, representation, right, or remedy that cannot legally be excluded.
21. Limitation of liability
To the fullest extent permitted by law, Nadine Liverpool and Intentional Influence will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for lost profits, revenue, opportunities, data, goodwill, or anticipated savings arising from or related to the Site, a product, a service, or reliance on educational information.
To the fullest extent permitted by law, our total aggregate liability arising from a particular product or service will not exceed the amount you paid for that product or service.
These limitations do not apply to fraud, wilful misconduct, gross negligence, breach of an obligation that cannot legally be limited, or any other liability that applicable law does not permit us to exclude or limit.
22. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Nadine Liverpool and Intentional Influence from third-party claims, damages, liabilities, and reasonable legal costs arising directly from your material breach of these Terms, unlawful conduct, infringement of another person’s rights, or submission of materials you did not have authority to use or share.
This obligation does not apply to the extent a claim was caused by our own breach, negligence, wilful misconduct, or unlawful conduct.
23. Events outside reasonable control
Neither party is responsible for delay or failure caused by events beyond that party’s reasonable control, including widespread service outages, natural disasters, severe weather, public-health emergencies, labour disruptions, governmental action, war, civil disorder, or failure of essential communications infrastructure.
The affected party will take reasonable steps to limit the disruption. This section does not remove any refund or consumer right that cannot legally be excluded.
24. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.
Before starting formal proceedings, each party agrees to make a reasonable good-faith effort to resolve the dispute through written communication. Subject to any mandatory consumer right to bring a claim elsewhere, the courts of Ontario will have jurisdiction over disputes arising from these Terms.
Nothing in these Terms requires arbitration, prevents participation in a class proceeding where that right cannot be waived, or limits a non-waivable consumer remedy.
25. Changes to these Terms
We may revise these Terms to reflect changes to our products, business practices, platforms, or legal obligations. Revised Terms will be posted through the Site with a new effective date.
Changes apply prospectively unless applicable law permits otherwise. The Terms accepted at the time of purchase continue to govern that purchase, except where a change is required by law or you expressly agree to the updated Terms. We will provide reasonable notice of a material change affecting an ongoing paid service.
26. General terms
Entire agreement. These Terms, the applicable offer page, checkout information, and any written terms expressly incorporated into the purchase form the entire agreement concerning that purchase. They replace prior discussions or statements about the same subject, but do not replace a separate signed agreement that expressly governs a different service.
Severability. If a provision is found unlawful or unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue in effect.
No waiver. A delay or failure to enforce a provision does not waive the right to enforce it later.
Assignment. You may not transfer your agreement, access, licence, or service without our written permission. We may assign these Terms as part of a legitimate transfer or reorganization of the business, subject to applicable law and continued protection of customer rights.
Relationship. These Terms do not create an employment, partnership, joint-venture, franchise, agency, fiduciary, or other representative relationship between the parties.
Electronic records. You agree that notices, confirmations, records, and agreements may be provided electronically, subject to applicable law.
