2. Scope of Services & Membership Structure (The Reclamation Temple)

This Agreement applies universally to ALL current, past, and future products, digital downloads, services, memberships, software, transmissions, physical goods, and digital content offered by Nilzara Rivera LLC.

The Reclamation Temple Membership Containers & Tiers:

The Reclamation Temple is a recurring monthly healing sanctuary offering guided meditations, digital resources, light language transmissions, live group energy healings, and live office hours.

  • FOUNDING MEMBER TIER ($77/Month Locked for Life):

    • Strictly capped at the first ten (10) qualifying members. Includes full monthly access, a custom 10-minute light language transmission recorded specifically for the member, and a personalized welcome voice note from Nilzara.

    • STRICT LOSS OF FOUNDING MEMBER RATE UPON CANCELLATION: Founding Member pricing ($77/month) is tied strictly to active, continuous, uninterrupted monthly subscriptions. If a Founding Member cancels, pauses, forfeits, or defaults on their monthly subscription for any reason and later chooses to rejoin The Reclamation Temple, they explicitly forfeit their Founding Member status and rate. Re-entry will be subject to the prevailing Standard Membership rate ($97/month or higher) and current public availability.

  • STANDARD MEMBER TIER ($97/Month):

    • Opens automatically once the 10 Founding Member spots are filled or upon official launch. Includes full monthly Temple access, guided meditations, digital resources, light language transmissions, live group energy healings, and office hours.

  • INTERNAL UPGRADES (BY INVITATION ONLY):

    • The Reclamation Circle: Intimate live healing container capped at a maximum of 5 women.

    • Temple Alchemy: Elite 72-hour remote psychic and energetic transmission.

    • Temple Mentorship: 1:1 private coaching (3-month minimum commitment).

    • Note: Internal upgrades are offered at an additional cost, are never listed publicly, and are made available strictly by invitation inside the Temple.

Nilzara Rivera operates strictly as a trauma-informed teacher and self-proclaimed healer. NILZARA RIVERA IS NOT A LICENSED MEDICAL DOCTOR, PSYCHIATRIST, PSYCHOLOGIST, LICENSED CLINICAL SOCIAL WORKER (LCSW), OR LICENSED MENTAL HEALTH PROFESSIONAL.

  • LEGAL GUARDIANSHIP & CONSERVATORSHIP: IF YOU ARE CURRENTLY UNDER A CONSERVATORSHIP, LEGAL GUARDIANSHIP, OR ANY SIMILAR LEGAL ARRANGEMENT, YOU EXPLICITLY AFFIRM THAT YOUR LEGAL GUARDIAN OR CONSERVATOR HAS BEEN FULLY NOTIFIED AND HAS GRANTED EXPLICIT, INFORMED PERMISSION FOR YOU TO PURCHASE, ACCESS, OR PARTICIPATE IN ANY AND ALL SERVICES, DOWNLOADS, OR PRODUCTS PROVIDED BY NILZARA RIVERA LLC.

4. Third-Party Platforms, Software, & Payment Processors

Services, digital downloads, subscriptions, and products are hosted, delivered, or processed through third-party platforms, storefronts, and software (including Stan Store, Stripe, video hosting tools, Zoom, and email marketing providers).

  • COMPLIANCE WITH THIRD-PARTY RULES: You understand and agree that by accessing our services through third-party software, platforms, or payment gateways, you are required to abide by and comply with all applicable terms of service, acceptable use policies, and rules established by those third-party providers. You acknowledge that Nilzara Rivera LLC has no direct agreement or legal authority to bind those third parties on your behalf.

  • NO COMPANY LIABILITY FOR THIRD-PARTY DISRUPTIONS: Nilzara Rivera LLC shall not be responsible or liable for any technical glitches, platform outages, software bugs, delivery delays, payment gateway failures, or actions taken by third-party platforms (such as Stan Store or payment processors). Any independent dispute between you and a third-party provider shall be governed solely by your interaction with that provider and their respective terms.

5. Guest Speakers & Facilitator Disclaimer

From time to time, Nilzara Rivera LLC may invite guest speakers, teachers, guest facilitators, or subject-matter experts to lead Zoom calls, present workshops, or provide content within the membership or programs.

  • INDEPENDENT RESPONSIBILITY OF GUEST SPEAKERS: GUEST SPEAKERS ARE INDEPENDENT CONTRACTORS OR VOLUNTARY PRESENTERS AND ARE SOLELY RESPONSIBLE FOR THEIR OWN STATEMENTS, OPINIONS, TEACHINGS, PRODUCTS, MODALITIES, AND CONDUCT. NILZARA RIVERA LLC DOES NOT ENDORSE, WARRANT, OR GUARANTEE ANY SPECIFIC CLAIMS OR ADVICE MADE BY GUEST SPEAKERS.

  • DIRECT RESOLUTION REQUIREMENT: BY PARTICIPATING IN ANY GUEST ZOOM, WATCHING GUEST REPLAYS, OR INTERACTING WITH GUEST SPEAKERS, YOU EXPLICITLY ACKNOWLEDGE THAT THE GUEST SPEAKER IS FULLY HELD ACCOUNTABLE AND RESPONSIBLE FOR THEIR OWN WORK AND MATERIAL. IF YOU OR ANY PARTICIPANT EXPERIENCE ANY ISSUES, GRIEVANCES, DISAGREEMENTS, OR CLAIMS REGARDING A GUEST SPEAKER, YOU AGREE THAT NILZARA RIVERA LLC IS FULLY EXEMPT AND HELD HARMLESS FROM SUCH MATTERS, AND YOU AGREE TO TAKE UP AND RESOLVE ANY SUCH ISSUE DIRECTLY WITH THE GUEST SPEAKER THEMSELVES.

6. Mandatory Community Confidentiality & Sacred Container Privacy

The Reclamation Temple, live group calls, intimate healing circles, and shared digital containers are private, protected spaces.

  • MEMBER CONFIDENTIALITY OBLIGATION: YOU EXPLICITLY AGREE AND COVENANT THAT ALL PERSONAL INFORMATION, EXPERIENCES, TESTIMONIES, TRAUMAS, DISCLOSURES, AND IDENTITIES SHARED BY OTHER PARTICIPANTS AND WOMEN WITHIN ANY SERVICE, CALL, OR MEMBERSHIP ARE STRICTLY CONFIDENTIAL. YOU ARE STRICTLY PROHIBITED FROM DISCLOSING, RECORDING, SCREENSHOTTING, REPEATING, PUBLISHING, OR SHARING ANY OTHER PARTICIPANT'S PERSONAL INFORMATION OR SHARED DISCLOSURES OUTSIDE OF THIS CONTAINER, WHETHER ON SOCIAL MEDIA, PRIVATE CONVERSATIONS, OR PUBLIC FORUMS. BREACH OF PARTICIPANT CONFIDENTIALITY WILL RESULT IN IMMEDIATE TERMINATION OF ACCESS WITHOUT REFUND AND MAY SUBJECT YOU TO LEGAL CLAIMS FOR INVASION OF PRIVACY AND BREACH OF CONTRACT.

  • COMPANY RECORDING OF LIVE SESSIONS: You acknowledge and agree that Nilzara Rivera LLC may record live group calls, workshops, and Temple sessions for replay access and archive distribution strictly within the private membership portal. By attending and participating in live sessions, you grant Nilzara Rivera LLC permission to include your video, audio, and chat participation in these session replays. All live call recordings remain the sole, exclusive intellectual property of Nilzara Rivera LLC and will be housed securely within the private client portal for active members to access.

7. Personal Data Collection, Mandatory Emergency Info, & Privacy Policy

Nilzara Rivera LLC respects your privacy and handles personal disclosures with care and confidentiality to the fullest extent permitted by law.

  • COLLECTION OF PERSONAL & EMERGENCY DATA: UPON PURCHASING OR REGISTERING FOR ANY PRODUCT, DOWNLOAD, OR SERVICE, YOU AGREE TO PROVIDE ACCURATE PERSONAL INFORMATION, INCLUDING YOUR FULL LEGAL NAME, PHYSICAL ADDRESS, AND PHONE NUMBER.   • MANDATORY SAFETY REPORTING EXCEPTIONS: CONFIDENTIALITY IS IMMEDIATELY VOIDED IF THE COMPANY OR ITS REPRESENTATIVES REASONABLY BELIEVES THAT THERE IS AN ACTIVE, CREDIBLE, OR IMMINENT THREAT OF PHYSICAL HARM TO YOURSELF OR OTHERS. THE COMPANY RESERVES THE ABSOLUTE RIGHT TO CONTACT EMERGENCY SERVICES, LOCAL LAW ENFORCEMENT, OR LEGAL AUTHORITIES AND PROVIDE THEM WITH YOUR FULL ADDRESS AND CONTACT DETAILS.

  • GOVERNING PRIVACY POLICY: The collection, use, processing, and protection of your personal identifying data is further governed by our official Privacy Policy. By using our site and services, you acknowledge that you have reviewed and agree to the data management practices outlined in our Privacy Policy.

8. Intellectual Property & Digital Security

All content, teachings, modalities, frameworks, sound recordings, video recordings, light language transmissions, graphics, text, and trademarks—including Mind, Heart, and Cookie™ and Your Cookie is Precious™—are the exclusive intellectual property of Nilzara Rivera and Nilzara Rivera LLC.

  • LIMITED LICENSE: PURCHASES GRANT YOU A LIMITED, NON-EXCLUSIVE, NON-TRANSFERABLE LICENSE FOR PERSONAL, NON-COMMERCIAL USE ONLY.

  • STRICT ANTI-PIRACY WARNING: YOU ARE STRICTLY PROHIBITED FROM RECORDING, SCREEN-RECORDING, DUPLICATING, REPRODUCING, SHARING, RE-SELLING, OR PUBLICLY DISTRIBUTING ANY PROPRIETARY VIDEOS, AUDIOS, DOWNLOADS, OR MATERIALS. NILZARA RIVERA LLC WILL ACTIVELY PURSUE IMMEDIATE LEGAL ACTION, INJUNCTIVE RELIEF, STATUTORY DAMAGES, AND LEGAL FEES AGAINST ANY UNAUTHORIZED LEAKS OR DISTRIBUTION.

9. Billing, Cancellation, & Absolute No-Refund Policy

  • ABSOLUTE NO-REFUND POLICY: DUE TO THE CUSTOM, INTUITIVE, IMMEDIATE, AND PROPRIETARY DIGITAL NATURE OF ALL PRODUCTS, SERVICES, DIGITAL DOWNLOADS, REMOTE ENERGY WORK, AND MEMBERSHIPS ASSOCIATED WITH NILZARA RIVERA LLC, ALL SALES ARE STRICTLY FINAL. THERE ARE ABSOLUTELY NO REFUNDS, PARTIAL REFUNDS, RETURNS, CREDITS, ROLL-OVERS, OR PRO-RATED RETURNS ISSUED FOR ANY REASON WHATSOEVER.

  • RECURRING MEMBERSHIP SUBSCRIPTIONS (THE RECLAMATION TEMPLE): TEMPLE MEMBERSHIPS AUTO-RENEW MONTHLY AT YOUR LOCKED RATE ($77/MONTH FOR FOUNDING MEMBERS; $97/MONTH STANDARD). YOU MAY CANCEL YOUR SUBSCRIPTION AT ANY TIME VIA YOUR USER ACCOUNT SETTINGS PRIOR TO YOUR NEXT BILLING DATE TO AVOID FUTURE CHARGES. ACCESS CONTINUES THROUGH THE END OF YOUR PAID BILLING CYCLE.

  • FRAUDULENT CHARGEBACK & PENALTY POLICY: IF YOU INITIATE A CREDIT CARD CHARGEBACK OR REPORT A LEGITIMATE TRANSACTION ASSOCIATED WITH NILZARA RIVERA LLC AS "UNAUTHORIZED" OR "FRAUDULENT," YOU EXPLICITLY AGREE TO PAY THE FULL ORIGINAL COST OF ALL PRODUCTS, DOWNLOADS, OR SERVICES PURCHASED, PLUS A MANDATORY $250 ADMINISTRATIVE AND PROCESSOR PENALTY FEE. FAILURE TO PAY THESE FEES WITHIN FOURTEEN (14) DAYS WILL RESULT IN IMMEDIATE LEGAL ACTION, COLLECTIONS, AND REPORTING TO CREDIT BUREAUS TO RECOVER ALL FUNDS, PENALTIES, AND COLLECTION EXPENSES.

10. Strict Energetic Consent (Third-Party Purchase Ban)

TO PROTECT THE BUSINESS REPUTATION AND GOODWILL OF NILZARA RIVERA LLC, YOU AGREE NOT TO PUBLISH, POST, BROADCAST, OR SHARE DISPARAGING, DEFAMATORY, OR NEGATIVE STATEMENTS REGARDING THE COMPANY, NILZARA RIVERA, OR OUR PRODUCTS, DOWNLOADS, AND SERVICES ON SOCIAL MEDIA, PUBLIC FORUMS, REVIEW SITES, OR TO EXTERNAL THIRD PARTIES. NILZARA RIVERA LLC RESERVES THE RIGHT TO SEEK IMMEDIATE LEGAL REMEDIES, INJUNCTIONS, AND FINANCIAL DAMAGES FOR BREACHES OF THIS CLAUSE.

13. Assumption of Risk & Life Alteration Acknowledgment

BY PURCHASING, ACCESSING, OR UTILIZING ANY AND ALL SERVICES, PRODUCTS, COURSES, TEACHINGS, MODALITIES, AND DIGITAL DOWNLOADS OFFERED BY NILZARA RIVERA LLC, YOU KNOWINGLY, VOLUNTARILY, AND COMPLETELY ASSUME ALL RISKS WHATSOEVER.

14. Complete Release of Liability, Indemnification, & Guest Speaker Exemption

  • FULL RELEASE OF LIABILITY: YOU HEREBY RELEASE, WAIVE, ACQUIT, AND FOREVER DISCHARGE NILZARA RIVERA, NILZARA RIVERA LLC, ITS OFFICERS, DIRECTORS, AGENTS, EMPLOYEES, AFFILIATES, HEIRS, AND REPRESENTATIVES FROM ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, LAWSUITS, LIABILITIES, OR DAMAGES (FINANCIAL, PHYSICAL, LEGAL, EMOTIONAL, OR PSYCHOLOGICAL) ARISING DIRECTLY OR INDIRECTLY FROM YOUR USE OF THE SITE, PRODUCTS, DIGITAL DOWNLOADS, SERVICES, OR MEMBERSHIPS.

  • PROTECTION OF GUEST SPEAKERS & REPRESENTATIVES: ALL GUEST SPEAKERS, HOSTS, FACILITATORS, CONTRACTORS, AND INDIVIDUALS APPEARING OR SPEAKING ON BEHALF OF NILZARA RIVERA LLC IN ANY MEMBERSHIP, WORKSHOP, RECORDING, OR EVENT ARE FULLY COVERED BY AND EXEMPT UNDER THIS RELEASE OF LIABILITY. YOU AGREE THAT NO LEGAL CLAIM OR DEMAND SHALL EVER BE BROUGHT AGAINST NILZARA RIVERA LLC FOR ANY CONDUCT OR STATEMENTS OF ANY GUEST SPEAKER OR REPRESENTATIVE.

  • INDEMNIFICATION: YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS NILZARA RIVERA LLC AND ALL OF ITS REPRESENTATIVES AGAINST ANY CLAIMS, DAMAGES, EXPENSES, OR ATTORNEY'S FEES ARISING OUT OF YOUR BREACH OF THIS AGREEMENT, YOUR UNAUTHORIZED USE OF MATERIALS, OR YOUR CONDUCT.

15. Prevailing Legal Fees & Severability

In the event that you initiate legal proceedings, arbitration, or claims against Nilzara Rivera LLC or its speakers/representatives in violation of this Agreement, or if legal action is required by the Company to enforce these terms, pursue chargeback penalties, or defend against claims, YOU EXPLICITLY AGREE TO ASSUME 100% FINANCIAL RESPONSIBILITY FOR ALL LEGAL COSTS, COURT FEES, ADMINISTRATIVE EXPENSES, AND ATTORNEY FEES INCURRED BY NILZARA RIVERA LLC.

If any provision of this Agreement is deemed unlawful, void, or unenforceable by a court of competent jurisdiction, that specific provision shall be severed, leaving all remaining provisions valid, binding, and fully enforceable.
