TERMENI ȘI CONDIȚII
TE ROG SĂ CITEȘTI CU ATENȚIE ACEȘTI TERMENI DE UTILIZARE ÎNAINTE DE A FOLOSI ACEST SITE SAU ÎNAINTE DE A CUMPĂRA.
Prin plasarea unei comenzi în magazinul nostru pe platforma Stan Store, confirmi că ai citit, înțeles și acceptat acești Termeni și Condiții. Achiziția produselor digitale implică acordul tău expres cu privire la prevederile de mai jos.
Obiectul vânzării
Produsele disponibile pe această platformă sunt bunuri digitale. Ghiduri, cursuri, fișiere PDF, materiale educaționale sau resurse pentru afaceri online.
Toate produsele sunt livrate în format digital. Nu există livrare fizică.
Fiecare produs este însoțit de o licență de utilizare, precizată în descrierea sa. Licența stabilește ce ai voie și ce nu ai voie să faci cu acel produs după achiziție.
Drepturi de utilizare
Produsele sunt livrate cu licență specificată în descriere.
Este interzisă orice utilizare în afara drepturilor menționate clar.
Nu poți pretinde drepturi de autor asupra materialelor decât dacă licența îți acordă explicit această posibilitate.
Tipuri de licențe:
Dacă ai licență MRR pentru un produs digital, poți vinde așa cum este și, în plus, poți da mai departe drepturile de revânzare celor care cumpără de la tine. Cine cumpără produsul digital de la tine îl poate revinde la rândul său, dar fără a schimba conținutul.
Licența PLR oferă cumpărătorului libertatea de a face modificări produsului digital. Ai dreptul să schimbi titlul, să rescrii anumite capitole sau să adaugi un nou capitol scris de tine. Poți apoi să vinzi produsul digital sub numele tău și chiar să le oferi cumpărătorilor drepturi de revânzare.
Cu licența RR, poți să vinzi produsul digital așa cum este, dar nu poți transmite drepturile de revânzare mai departe. Cumpărătorii pot citi, dar nu pot revinde altcuiva.
Aceasta este cea mai restrictivă licență. Cumpărând un produs digital cu PUR, poți citi, dar nu poți vinde, să modifici sau să faci altceva decât să utilizezi pentru uzul tău personal.
Distribuirea neautorizată a produselor digitale este interzisă.
Livrare
Produsele se livrează doar în format digital, prin link de descărcare sau acces direct în platformă, imediat după confirmarea plății.
Nu există livrare prin poștă sau curier.
Cumpărătorul este responsabil să furnizeze date corecte pentru livrare. Dacă adresa de email este introdusă greșit, livrarea se consideră efectuată în platformă.
Retragere, retururi și rambursări
Prin plasarea comenzii confirmi că îți dai acordul expres să pierzi dreptul de retragere după livrarea produsului digital, conform art. 16 lit. m din OUG 34/2014.
Produsele digitale, odată accesate sau descărcate, se consideră livrate. Acestea nu pot fi returnate și nu se rambursează contravaloarea lor.
Excepții: Doar în situații tehnice justificate (fișier corupt sau link inaccesibil). Soluția este reactivarea accesului sau înlocuirea produsului. Nu rambursarea banilor.
Limitarea răspunderii
Ne angajăm să furnizăm produse digitale conforme cu descrierea de pe platformă.
Nu garantăm rezultate financiare, profesionale sau personale în urma utilizării produselor.
Rezultatele depind de implicarea ta și de aplicarea informațiilor din ghiduri.
Utilizarea materialelor este exclusiv pe propria răspundere și implică respectarea clauzelor specificate în licență.
Nu răspundem pentru pierderi indirecte, interpretări greșite sau folosire incorectă a materialelor.
Prețuri și plăți
Toate prețurile sunt afișate transparent pe platformă și includ taxele aplicabile, acolo unde legea prevede.
Plata se face exclusiv prin sistemele securizate integrate în Stan Store (card, PayPal sau alte metode disponibile).
Nu se percep costuri suplimentare sau taxe ascunse.
Protecția datelor
Datele tale personale (nume, email, date de plată) sunt folosite exclusiv pentru procesarea comenzii și comunicări legate de produse.
Nu transmitem datele către terți, cu excepția partenerilor implicați în procesarea plăților și livrarea produselor.
Ai dreptul de acces, rectificare și ștergere a datelor conform Regulamentului UE 2016/679 (GDPR).
Legea aplicabilă și soluționarea disputelor
Acești Termeni și Condiții se supun legislației din România și reglementărilor Uniunii Europene.
Disputele se soluționează pe cale amiabilă. În lipsa unui acord, competența revine instanțelor din România.
Modificarea termenilor
Putem actualiza acești Termeni și Condiții. Versiunea în vigoare este cea publicată în magazin la data comenzii tale.

THE UBC – TERMS AND CONDITIONS
AMENDING AND CARRY FORWARD AGREEMENT
This Amending and Carry Forward Agreement (the “Agreement”) is entered into by and between:
PAULA SMART SALES (“Reseller”)
and
Customer
Effective as of March 1, 2024
1. Incorporation of Master Agreement
This Agreement incorporates the terms and conditions set forth in the UBC Master Reseller Agreement dated March 1, 2024 (available at: https://www.ubcmrr.com/legal), and is intended to bind the Reseller and its Customers.
2. Purpose
WHEREAS, the Reseller has purchased UBC and desires to resell UBC to its customers pursuant to the terms and conditions outlined in the UBC Master Reseller Agreement;
NOW, THEREFORE, the parties agree as follows:
All references in the UBC Master Reseller Agreement to UBC JV, 12316421 Canada Inc., and/or 10574104 Canada Inc. shall be replaced with Reseller for the purpose of the Reseller’s contractual relationship with its Customers.
The Reseller hereby adopts, amends, and carries forward the terms and conditions set forth in the UBC Master Reseller Agreement as applicable to its Customers.

THE DIGITAL MINI – TERMS AND CONDITIONS
WEBSITE TERMS AND CONDITIONS
PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE PURCHASING OR USING ANY PRODUCT OFFERED BY THE DIGITAL COURSE, LLC (“TDC”) OR ANY PRODUCT OFFERED BY PAULA SMART SALES (“SELLER”).
By purchasing or using any product, you (“You” or “Purchaser”) acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
1. Product License
Upon purchasing THE DIGITAL COURSE, THE DIGITAL MINI, or THE DIGITAL BUNDLE (collectively, the “Digital Products”), you are granted a non-exclusive license to resell the product with Master Resell Rights (MRR), subject to these Terms.
The Digital Products and associated rights are NOT multi-level marketing or network marketing.
You may sell the product unlimited times and retain 100% of the profit per sale. This is NOT a commission-based model.
Seller is solely responsible for approving and managing sales made through Seller’s website. Access to the Digital Products will only be granted after confirmation by Seller and account creation, where applicable.
2. Limitations
You may not modify, alter, recreate, record, download, or redistribute the Digital Products in any manner.
However, you may:
The Digital Products are accessible online only and are not downloadable unless explicitly stated.
Only one license is granted per purchase.
Any violation, including unauthorized downloading, modification, redistribution, or reproduction, constitutes breach of contract and may result in legal action, including liquidated damages of up to $1,000,000 (one million USD), not as a penalty but as agreed damages.
3. Warranties Disclaimer
The Digital Products are provided “as is” without warranties of any kind, express or implied.
Seller and TDC make no guarantees regarding:
Your success depends solely on your own effort, actions, and circumstances.
4. Intellectual Property
All intellectual property rights, including copyrights, trademarks, and trade secrets, remain the sole property of TDC.
Purchasing grants a license only — not ownership.
5. Termination
Seller or TDC may terminate or restrict access if you violate:
Access may be revoked without refund if violations occur.
6. Independent Contractor Status
Purchaser acknowledges they are an independent contractor.
No partnership, joint venture, employment, or agency relationship is created between Purchaser, Seller, or TDC.
7. Refund Policy
All sales are final.
Due to the digital nature of the products and immediate access granted, no refunds, exchanges, or credits will be issued.
8. Limitation of Liability
TDC and Seller shall not be liable for any direct, indirect, incidental, or consequential damages arising from use or inability to use the Digital Products.
Purchaser agrees to indemnify and hold harmless TDC from any claims resulting from Purchaser’s actions, representations, or omissions.
TDC bears no responsibility for Seller’s failure to grant or confirm access.
Purchaser agrees not to disparage TDC.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, USA.
10. Entire Agreement
These Website Terms and Conditions, together with the MRR User Agreement, Privacy Policy, and any incorporated documents, constitute the entire agreement between the parties and supersede all prior agreements.
11. Legal Waivers
By purchasing, you:
Waive your right to trial by jury
Waive your right to participate in class-action lawsuits
Agree to binding individual dispute resolution
If you do not agree to these Terms, do not purchase or use the product.
