SOCIAL MEDIA STRATEGY CALL TERMS AND CONDITIONS

These Social Media Strategy Call Terms and Conditions (the “Terms”) are entered into between the individual or entity purchasing the Social Media Strategy Call (the "Client") and the service provider (the "Provider"). By scheduling and purchasing a Social Media Strategy Call (the "Call"), the Client acknowledges and agrees to the terms set forth in these Terms.

1. SERVICES PROVIDED. The Provider agrees to provide the Client with a one-time strategy session focused on social media marketing and related topics, as selected by the Client at the time of booking (the "Services"). The Call is a consultation only and does not include implementation of strategies, content creation, or ongoing social media management. The scope of the Call is limited to advisory and strategic guidance based on the Client’s business needs and goals. The duration of the Call shall be the length selected by the Client at the time of booking, as reflected on the Provider’s website.

2. PAYMENT TERMS. The Client agrees to pay the full amount for the Call at the time of booking. The fee for the Call shall be the amount listed on the Provider’s website at the time of purchase. All payments are non-refundable except as expressly provided in the "Rescheduling and Cancellations" section of these Terms. The Client acknowledges that failure to complete the payment process shall result in cancellation of the scheduled Call. If the Call extends beyond the scheduled duration, additional time will be billed at the Provider’s standard hourly rate, as listed on the website or communicated in advance. Any overage fees must be paid within five (5) days of receiving an invoice.

3. SCHEDULING AND RESCHEDULING. The Client shall select an available time slot for the Call at the time of booking. If the Client needs to reschedule, they must provide at least twenty-four (24) hours' advance notice prior to the scheduled Call. Rescheduling is subject to the Provider’s availability and must be completed within thirty (30) days of the original appointment. If the Client fails to provide timely notice or does not attend the scheduled Call without prior notification, the Client forfeits the session fee, and no rescheduling or refund will be permitted.

4. CANCELLATIONS AND REFUNDS. Due to the nature of the Services, refunds shall not be issued for cancellations initiated by the Client. If the Provider is unable to conduct the Call for any reason, the Client shall have the option to reschedule or receive a full refund. The Provider reserves the right to cancel the Call for any reason and issue a refund at their sole discretion.

5. CLIENT RESPONSIBILITIES. The Client is responsible for ensuring they are available at the scheduled time and prepared with any necessary information, questions, or materials relevant to their social media strategy. The Client acknowledges that the effectiveness of the Call depends on their engagement and implementation of the strategies discussed. The Provider shall not be responsible for the Client’s failure to take action based on the recommendations provided during the Call.

6. CLIENT EXPECTATIONS & DELIVERABLES. The Client acknowledges that the Call is designed to provide insights, recommendations, and strategic advice, but does not include execution, implementation, hands-on work, or ongoing consulting. The Provider is not required to provide any deliverables unless explicitly stated at the time of booking. If no deliverables are specified, the Call will be advisory-only.

If the Provider includes deliverables as part of the strategy session, they may consist of:
1:1 Deep Dive Call (60 minutes)

Strategy Deck

Content Assets

Video Walk through

The nature and format of any deliverables will be determined at the Provider’s discretion and timeline based on the type of strategy session booked.

7. PROHIBITED CONDUCT. The Client agrees to conduct themselves professionally and respectfully during the Call. The Provider reserves the right to terminate the Call immediately if the Client engages in harassment, hate speech, spamming, or any other inappropriate behavior. In such cases, no refund will be issued.

8. INTELLECTUAL PROPERTY. All content, strategies, and recommendations shared during the Call are intended for the Client’s personal or business use only. The Client shall not share, distribute, or resell any materials, strategies, or proprietary methods discussed in the Call without the Provider’s express written consent. The Provider retains all intellectual property rights to any proprietary tools, frameworks, or methods shared during the Call.

9. NO OBLIGATION FOR FUTURE SERVICES. The Client acknowledges that participation in the Call does not obligate either Party to enter into any further agreements or business relationships. The Call is a standalone service and is not governed by any Service Agreement (SA) unless explicitly stated otherwise.

10. LIMITATION OF LIABILITY. The Provider makes no guarantees regarding specific outcomes resulting from the Call. The Client acknowledges that the Provider shall not be liable for any direct, indirect, incidental, or consequential damages arising from actions taken based on the information provided during the Call. The Client agrees to hold the Provider harmless from any claims, losses, or damages related to their implementation of the strategies discussed.

11. CONFIDENTIALITY. Both Parties agree to maintain the confidentiality of any proprietary business information shared during the Call. The Provider may use generalized examples from the consultation for educational or marketing purposes, but shall not disclose personally identifiable details without the Client’s consent.

12. GOVERNING LAW AND DISPUTE RESOLUTION. These Terms shall be governed by and construed in accordance with the laws of California.. In the event of any dispute arising under these Terms, the Parties agree to first engage in good faith negotiations to resolve the matter. If the dispute cannot be resolved through negotiation within thirty (30) days, the Parties shall proceed to mediation with a mutually agreed-upon mediator. The costs of mediation shall be shared equally between the Parties. If mediation fails to resolve the dispute, either Party may pursue their claims in a court of competent jurisdiction in California.

13. NO GUARANTEE OF RESULTS. The Client acknowledges that the Provider does not and cannot guarantee any specific results from the Call. The effectiveness of the strategies discussed depends on multiple factors, including the Client’s execution of the advice provided. The Provider disclaims any liability for the Client’s failure to achieve desired outcomes.

14. FORCE MAJEURE. Neither Party shall be held liable for failure or delay in performing obligations under these Terms if such failure or delay is due to circumstances beyond their reasonable control, including but not limited to acts of God, government actions, natural disasters, internet outages, or other unforeseen events that make performance impossible.

15. NON-DISPARAGEMENT. The Client agrees not to make any statements, whether oral or written, that could reasonably be perceived as disparaging, defamatory, or harmful to the reputation of the Provider. This includes but is not limited to statements made on social media, public forums, or online reviews.

16. INDEPENDENT CONTRACTOR RELATIONSHIP. The Parties acknowledge that their relationship is that of an independent contractor. Nothing in these Terms shall be construed as creating a partnership, joint venture, employer-employee, or agency relationship between the Parties. The Client shall not have any authority to bind or act on behalf of the Provider.

17. SEVERABILITY. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms.

18. AMENDMENTS. No modification or amendment to these Terms shall be valid unless made in writing and signed by both Parties. These Terms constitutes the entire agreement between the Parties and supersedes any prior agreements, representations, or understandings, whether written or oral.

19. ASSIGNMENT. The Client may not assign, transfer, or delegate their rights or obligations under these Terms without the prior written consent of the Provider. Any unauthorized assignment shall be deemed null and void.

20. ENTIRE AGREEMENT. These Terms constitutes the entire understanding between the Parties with respect to the subject matter herein and supersedes all prior discussions, negotiations, agreements, or understandings of any kind, whether written or oral. No representations, warranties, covenants, or conditions, express or implied, other than those set forth in these Terms, shall be binding upon either Party.

By completing the purchase of the Call, the Client acknowledges that they have read, understood, and agreed to these terms and conditions.
