Terms and Conditions

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THIS WEBSITE OR PURCHASING

Welcome to the services provided by Shay Lynn Dixon, including consultations, mentorships, and the Women Winning in Logistics Mentorship Program ("Program"). By enrolling in or purchasing any of our services, you ("Participant" or "Client") agree to the following terms and conditions.

1. Program and Services Overview

Shay Lynn Dixon offers a range of services, including strategic consultations, mentorship programs, and the Women Winning in Logistics Mentorship Program, all designed to support and develop women in the logistics industry.

2. Confidentiality

2.1 Non-Disclosure Agreement (NDA):
All Participants are required to sign a Non-Disclosure Agreement (NDA) to ensure the confidentiality of shared information within the Program and any other services.

2.2 Confidential Information:
All information shared by Participants, including but not limited to business strategies, personal experiences, and proprietary content provided by the Program or services, is confidential and must not be disclosed to any third party.

3. Payment Terms

3.1 Program and Service Fees:
The fees for participation in the Program and other services are outlined during the registration or booking process. All fees are due in full upon enrollment or purchase.

3.2 Final Payments:
All payments made for the Program, consultations, and other services are final and non-refundable. Due to the proprietary nature of the content provided, no refunds will be issued for any reason, including but not limited to dissatisfaction with the Program or services, or failure to attend sessions.

3.3 Payment Methods:
Payments can be made through the accepted payment methods as indicated during registration or booking. Clients are responsible for ensuring that payment information is accurate and up-to-date.

3.4 Payment Responsibility and Product Sales:
You agree that you will pay for all products you purchase through the Company. YOU ARE RESPONSIBLE FOR THE TIMELY PAYMENT OF ALL FEES AND FOR PROVIDING THE COMPANY WITH A VALID PAYMENT METHOD FOR PAYMENT OF ALL FEES. ALL SALES OF PRODUCTS ARE FINAL. Prices for products offered by the Company may change at any time, and the Company does not provide price protection or refunds in the event of a price reduction or promotional offering. If a product becomes unavailable following a transaction but prior to download, your sole remedy is a refund. If technical problems prevent or unreasonably delay delivery of your product, your exclusive and sole remedy is either replacement or refund of the price paid, as determined by the Company.

4. Rescheduling and Cancellations

4.1 Cancellation Policy:
There are no refunds for cancellations. However, one complimentary rescheduling is allowed with a 24-hour cancellation notification.

4.2 Client Responsibility:
Our services are not done for you and require effort and work on the client's behalf. Active participation and engagement are essential for the success of the Program and services.

5. Intellectual Property

5.1 Proprietary Content:
All materials, content, and resources provided within the Program and other services, including but not limited to written content, presentations, videos, and other educational materials, are the intellectual property of Shay Lynn Dixon. Clients may not reproduce, distribute, or share these materials without explicit written permission.

5.2 Usage Restrictions:
All digital products and branded content are not for resale, commercial use, and are copyright protected.

6. Participant Responsibilities

6.1 Active Participation:
Clients are expected to actively engage in sessions, discussions, and collaborative activities.

6.2 Respect and Professionalism:
Clients must conduct themselves in a respectful and professional manner at all times. Disrespectful or disruptive behavior will not be tolerated and may result in removal from the Program or termination of services without refund.

6.3 Commitment to Confidentiality:
Clients must uphold the confidentiality of all shared information as outlined in Section 2.

7. Limitation of Liability

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, RELIANCE, OR CONSEQUENTIAL DAMAGES, WHETHER FORESEEABLE OR NOT, INCLUDING, BUT NOT LIMITED TO, DAMAGE OR LOSS OF PROPERTY, EQUIPMENT, INFORMATION, OR DATA, LOSS OF PROFITS, REVENUE, OR GOODWILL, COST OF CAPITAL, COST OF REPLACEMENT SERVICES, OR CLAIMS FOR SERVICE INTERRUPTIONS OR TRANSMISSION PROBLEMS, OCCASIONED BY ANY DEFECT IN THE SITE, THE CONTENT, AND/OR RELATED MATERIALS, THE INABILITY TO USE SERVICES PROVIDED HEREUNDER OR ANY OTHER CAUSE WHATSOEVER WITH RESPECT THERETO, REGARDLESS OF THEORY OF LIABILITY. THIS LIMITATION WILL APPLY EVEN IF THE COMPANY HAS BEEN ADVISED OR IS AWARE OF THE POSSIBILITY OF SUCH DAMAGES.

8. Termination

Shay Lynn Dixon reserves the right to terminate a Client’s enrollment in the Program or provision of services at any time for failure to comply with these terms and conditions, including but not limited to violations of the confidentiality agreement, disruptive behavior, or non-payment of fees.

9. Disputes

Any disputes arising under or in connection with these terms and conditions must be submitted in writing to support@shaylynndixon.com. Efforts will be made to resolve disputes amicably.

10. Changes to Terms and Conditions

Shay Lynn Dixon reserves the right to modify these terms and conditions at any time. Clients will be notified of any significant changes via email. Continued participation in the Program or use of services constitutes acceptance of any revised terms and conditions.

11. Governing Law and Jurisdiction

This agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without giving effect to any principles of conflicts of law. You further submit to the exclusive jurisdiction of the state and federal courts sitting in Henry County, GA. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

By enrolling in the Women Winning in Logistics Mentorship Program or purchasing any services from Shay Lynn Dixon, you acknowledge that you have read, understood, and agree to abide by these terms and conditions.
