Terms & Conditions for LUXE Effective Date: January 1, 2026 Welcome to LUXE. These Terms & Conditions ("Terms") are a legal agreement between you ("Member," "You," or "Your") and XLENT STAYS LLC ("Company," "We," "Our," or "Us"). By purchasing or accessing LUXE, you agree to these Terms in full. Please read them carefully before purchasing. 1. Definitions "Company," "We," "Our," or "Us" refer to XLENT STAYS LLC. "Member," "You," or "Your" refer to any customer, purchaser, or user of our Products or Services. "Products" or "Services" include, but are not limited to, the LUXE membership, all prompts, daily prompts, monthly drops, trainings, downloadable materials, templates, community access, and any other content delivered through our hosted platform or by electronic means. These Terms govern your access to and use of our Services. 2. Acceptance of Terms These Terms are legally binding. By purchasing LUXE, you confirm that you have read, understood, and agreed to them. 3. Pricing and Payment LUXE is a one-time payment of $267, or the rate disclosed to you at checkout. By purchasing, you authorize us to charge your payment method the applicable amount. This is a single, one-time payment and is not a recurring subscription; your payment method will not be charged again for this purchase. Because this is a one-time purchase rather than a recurring subscription, there is no cancellation needed to stop future billing. Refunds: All Sales Are Final Because you receive immediate and full access to digital materials the moment your payment is processed, all sales are final and non-refundable. No refunds or credits will be issued for any reason, including but not limited to: • Change of mind or personal circumstances. • Lack of use or failure to access the materials. • Disagreement with the content, structure, House Rules, or policies. • Removal from the community for violating these Terms or the House Rules. As this is a one-time purchase, your payment is not refundable once access has been granted, regardless of how much of the materials you use. 5. Chargebacks You agree to try to resolve any billing concern with us directly at Xlent.artistry@gmail.com before starting a chargeback or dispute with your financial institution. Initiating a chargeback while keeping your access is a breach of these Terms. In the event of a chargeback, you forfeit all access and your license to use any and all materials, you will be permanently removed from the community, and we reserve the right to present this agreement and your purchase record to your financial institution. 6. License to Use When you purchase, you're granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the prompts and materials to create content for your own personal and business use. You MAY use the prompts to generate imagery and content for your own brand. You MAY NOT copy, screenshot to share, repost, sell, trade, give away, sublicense, or otherwise distribute the prompts or materials, in whole or in part, to anyone outside your membership; use them to create a competing product, prompt vault, or derivative offering; or share your login credentials. Any violation immediately ends this license. 7. Intellectual Property Everything inside LUXE is original work and the exclusive intellectual property of XLENT STAYS LLC. This includes, without limitation, all prompts, daily prompts, monthly drops, trainings, videos, documents, templates, designs, copy, the room names and structure, and the LUXE name, logo, and branding. All of it is protected under United States copyright and trademark law. Nothing in these Terms transfers any ownership to you, and your membership gives you no rights to our intellectual property beyond the limited license described above. You may not copy, screenshot to share, reproduce, republish, post, sell, resell, trade, give away, sublicense, distribute, or create derivative or competing works from any of our materials, in whole or in part, by any means, ever. Each unauthorized use or distribution may be treated as a separate violation. We take the protection of our work seriously, and we actively enforce our rights. Any unauthorized use, copying, sharing, or reselling is theft of intellectual property and a violation of federal law. If you breach this section, you agree that we may immediately terminate your access with no refund and pursue every legal remedy available to us, including injunctive relief, actual and statutory damages to the fullest extent allowed by law, and recovery of all costs of enforcement, including our reasonable attorney's fees. You also agree that money alone may not undo the harm, and that we are entitled to a court order to stop the violation. 8. Confidentiality All materials, and anything shared within the community, are confidential. You agree not to share, distribute, or disclose them outside the community. This obligation continues even after your membership ends. 9. Disclaimer LUXE provides prompts, tools, and guidance to help you create content. Results are not guaranteed and depend on your own effort, your brand, and your circumstances. We make no income or outcome guarantees, and we are not responsible for any results, or lack of results, from your use of the Services. 10. Limitation of Liability To the fullest extent permitted by law, the Company is not liable for any direct, indirect, incidental, or consequential damages arising from your use of the Services, including but not limited to loss of profits, data, reputation, or opportunities. 11. Termination of Access We reserve the right to suspend or revoke your access at any time if you violate these Terms or the House Rules. No refund will be issued for access terminated due to a violation. 12. Modifications to Terms We reserve the right to update these Terms at any time. Changes take effect once posted, and we'll notify you of any significant updates. 13. Governing Law and Dispute Resolution These Terms are governed by the laws of the State of North Carolina. Any dispute will first be handled through good-faith mediation. If mediation fails, disputes will be resolved in a court located in the State of North Carolina. 14. Conduct By purchasing, you agree to conduct yourself respectfully and professionally, in keeping with the House Rules. Harassment, defamation of the Company or its members, or disruptive behavior may result in removal without refund, and we reserve the right to pursue legal action if defamatory statements are made.
