Terms and Conditions
Last updated: 28.08.2026
1. Overview
Welcome, and thank you for choosing to work with us. These Terms and Conditions ("Terms" or "Agreement") govern your access to and use of, and your purchase of, our products and services, including but not limited to our online courses, self-paced programs, group coaching programs, and any related resources such as workbooks, templates, recordings, community access, guides, challenges, and emails (together, the "Services" or "Programs").
Please read these Terms carefully before purchasing or using any Service. By purchasing, accessing, or using any Service, you confirm that you have read, understood, and agreed to be bound by these Terms, which form a legally binding agreement between:
You — the person or entity purchasing or using the Services (the "Client", "you"); and
Us — themindfriend OÜ, a private limited company registered in Estonia under registry code 16595490, registered address Sepapaja tn 6, 15551 Tallinn, Harju Maakond, Estonia, VAT number EE102584987 (the "Provider", "we", "us", "our").
If you do not agree to these Terms, do not purchase or use the Services.
2. Definitions
Consumer — a natural person who purchases the Services for purposes outside their trade, business, craft, or profession.
Business Client — any Client who is not a Consumer (including companies and individuals purchasing for professional purposes).
Digital Content — courses, downloads, recordings, and other content supplied in digital form and not on a tangible medium.
Coaching Services — group coaching programs delivered live or asynchronously.
3. Effective date and acceptance
This Agreement takes effect when you complete a purchase or otherwise begin using a Service, and remains in force between the parties from that date until all obligations under it are fulfilled.
4. The Services
We agree to provide access to the Services as described on the relevant sales page, product page, or checkout at the time of purchase. Depending on the Service purchased, this may include pre-recorded lessons, live sessions, group calls, downloadable materials, community or platform access, email support, and similar resources.
The specific inclusions, format, duration, session count, and delivery schedule for each Service are those stated on the applicable sales page or agreed in writing. Where a Program has a defined start date, access or delivery begins on that date. We may make reasonable changes to the content, structure, platform, or scheduling of a Service, provided such changes do not materially reduce its overall value.
Services are personal to you. Access credentials, materials, and sessions may not be shared, resold, transferred, or used by anyone other than the Client.
5. Pricing and payment
5.1 Prices are displayed in EUR (€) and are stated exclusive of VAT. We are VAT-registered in Estonia. Applicable VAT is calculated and added at checkout based on your location and status (including reverse-charge treatment for valid EU business VAT numbers), and the total price including any VAT is shown before you complete your purchase.
5.2 Payment is processed through our third-party checkout and payment providers (including ThriveCart and its connected payment processors). By purchasing, you also agree to the applicable terms of those providers. We do not store your full card details.
5.3 Where a payment plan is offered, you authorise us (via our payment provider) to charge each scheduled instalment automatically. Subject to your 14-day right of withdrawal (Section 6), you remain liable for the full purchase price once that right has ended, regardless of whether you complete or use the Service. If an instalment fails, we may suspend access until payment is resolved, and repeated failure may be treated as a material breach.
5.4 All prices are subject to change, but changes do not affect purchases already completed.
6. Right of withdrawal, cancellation, and refunds
This section sets out (a) your statutory rights as a Consumer under Estonian law and the EU Consumer Rights Directive, and (b) our own refund policy, which applies on top of those rights.
6.1 Statutory right of withdrawal (Consumers only)
As a Consumer purchasing at a distance, you have the right to withdraw from the contract within 14 days of the date of purchase, without giving a reason. This right does not apply to Business Clients.
This 14-day right applies regardless of whether you have already accessed the materials or a Program has already begun. To withdraw, notify us at hello@themindfriend.net within 14 days of purchase using a clear statement (for example, an email saying you wish to withdraw). We will refund the full amount within 14 days using the same payment method you used.
After the 14-day period has ended, no right of withdrawal applies.
6.2 Our refund policy
Except where the 14-day right of withdrawal applies under Section 6.1, all sales are final and non-refundable. This includes, without limitation: change of mind after the 14-day withdrawal period has ended; failure to attend, access, use, or complete a Service; dissatisfaction with results; and remaining instalments due under a payment plan (see 5.3).
Refunds are also not available for missed or unattended group sessions, or where these Terms have been breached (see Sections 8 and 11). Live group sessions are delivered on a set schedule; recordings may be provided where available, but attendance is your responsibility and missed sessions are not refunded or rescheduled.
7. Client responsibilities
You agree to:
provide accurate information at purchase and keep your account details up to date;
engage in good faith and take responsibility for implementing (or choosing not to implement) any guidance;
attend booked sessions and meet any prerequisites or deadlines;
treat the Provider, staff, and other participants with respect (see Section 8);
keep your login credentials confidential and not share access.
You are solely responsible for your own decisions, actions, results, and for obtaining independent professional advice (medical, psychological, legal, financial, or tax) where appropriate.
8. Code of conduct
We are committed to a safe, respectful environment, particularly in group settings. Harassment, abuse, discrimination, disruptive behaviour, or sharing of other participants' confidential information is not tolerated. We may remove any Client from a Program, community, or session for such conduct without refund.
9. Intellectual property and licence
All Services and materials — including course content, recordings, frameworks, templates, written and visual content, and methodologies — are our intellectual property (or licensed to us) and are protected by copyright and other laws.
On purchase, you receive a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the materials for your own personal or internal business use only. You may not copy, reproduce, distribute, publish, resell, sublicense, share access to, publicly display, or create derivative works from the materials, or use them to build a competing product or service, without our prior written consent.
Any testimonials, feedback, or content you voluntarily share with us may be used by us for marketing purposes on an anonymised or attributed basis; you can withdraw consent for future use at any time by contacting us.
10. Disclaimers — no guaranteed results; nature of coaching
10.1 No guarantee of results. Our Services provide education, guidance, and support. We do not and cannot guarantee any specific outcome, result, income, or level of success. Your results depend on many factors within your own control, including your effort, circumstances, and application of the material. Any examples, case studies, or testimonials are illustrative and are not a promise of your results.
10.2 Coaching is not therapy or professional advice. Our Coaching Services are not psychotherapy, counselling, mental-health treatment, medical, healthcare, legal, financial, tax, or investment advice, and do not create a therapist–client, clinician–patient, or other regulated professional relationship. Coaching is not a substitute for professional care. If you are experiencing a medical or mental-health condition or crisis, seek help from a qualified licensed professional or emergency services. You are responsible for your own physical and mental wellbeing and for consulting appropriate professionals.
10.3 No reliance. Information provided through the Services is general in nature and may not fit your specific situation. You act on it at your own discretion and risk.
11. Termination and suspension
We may suspend or terminate your access to a Service, without refund, if you materially breach these Terms — including non-payment (5.3), breach of the code of conduct (Section 8), or infringement of our intellectual property (Section 9). On termination, your licence to use the materials ends and you must cease using them.
12. Limitation of liability
Nothing in these Terms limits any liability that cannot be limited by law (including liability for death or personal injury caused by negligence, fraud, or the mandatory rights of Consumers).
Subject to that, and to the fullest extent permitted by law:
we are not liable for any indirect, incidental, consequential, or special loss, or for loss of profits, revenue, data, goodwill, or anticipated savings, arising from your use of or inability to use the Services;
our total aggregate liability to you for any claim arising out of or in connection with a Service is limited to the total amount you actually paid us for that Service.
We are not responsible for interruptions or failures caused by third-party platforms or payment providers.
13. Confidentiality
Each party will keep confidential any non-public information shared by the other in connection with the Services and will not disclose it except as required by law. This does not restrict either party's use of general knowledge, skills, or experience.
14. Data protection
We process personal data in accordance with the EU General Data Protection Regulation (GDPR) and applicable Estonian law. Details of what we collect, why, and your rights are set out in our Privacy Policy at https://themindfriend.net/privacy-policy, which forms part of your agreement with us.
15. Force majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control (including illness, technical or platform failures, power or internet outages, or acts of authorities). Where such an event occurs, we will make reasonable efforts to reschedule or otherwise deliver the affected Service.
16. Alternative dispute resolution
If a dispute arises, please contact us first at hello@themindfriend.net so we can try to resolve it directly. Estonian Consumers may also refer disputes to the Consumer Disputes Committee (Tarbijavaidluste komisjon) operated by the Estonian Consumer Protection and Technical Regulatory Authority.
17. Governing law and jurisdiction
These Terms are governed by the laws of Estonia. The courts of Estonia have jurisdiction over any dispute, except that, if you are a Consumer resident in another EU/EEA country, you retain the benefit of any mandatory consumer-protection rules of your country of residence and may bring proceedings there where the law allows.
18. Changes to these Terms
We may update these Terms from time to time. The version in force at the time of your purchase applies to that purchase. Material changes will be posted on our website with an updated "Last updated" date.
19. Miscellaneous
If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with the relevant sales page and our Privacy Policy, form the entire agreement between us regarding the Services.
