“Confidential Information” includes all non-public information disclosed in connection with this Agreement. Confidential Information does not include information that (a) becomes publicly available without breach of this Agreement, (b) was lawfully possessed prior to disclosure, or (c) is lawfully obtained from a third party.

Both Parties agree to maintain the strict confidentiality of all Confidential Information and to use reasonable measures to prevent unauthorized disclosure. This obligation extends to information learned during group programs or interactions with other participants.

Only if a dispute cannot be resolved through ecclesiastical means, and solely for purposes of enforcement of an ecclesiastical determination or collection of undisputed sums, may a civil action be brought in a court of competent jurisdiction located in Hillsborough County, Florida, and the Parties consent to such limited jurisdiction and venue.

28. Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements. Any modification must be in writing and signed by both Parties.

29. Survival and Severability

Provisions relating to payment, confidentiality, non-disparagement, indemnification, and proprietary rights shall survive termination. If any provision is found unenforceable, the remainder shall remain in effect.

All payments, fees, contributions, or other amounts tendered in connection with this Agreement are accepted and receipted subject to redemption in lawful money of the United States, pursuant to 12 U.S.C. § 411 and all other applicable lawful money provisions.

The Parties acknowledge that any payment made through private banking systems, credit instruments, electronic funds transfer, or payment processors constitutes a method of settlement for convenience only and does not waive the right to lawful money redemption. No presumption of waiver, novation, or discharge beyond lawful settlement shall arise from the use of such instruments.

Nothing herein shall be construed to impair, waive, or diminish the Trust’s rights, ecclesiastical protections, or lawful remedies available under applicable law. Acceptance of any instrument or payment method shall not be construed as acceptance of debt, extension of credit, or waiver of any lawful or ecclesiastical rights.
