These Terms & Conditions (“Terms”) govern your access to and use of websites, checkout pages, digital content, products, programs, coaching, consulting, strategy services, audits, workshops, and other offerings provided by Taft Coaching & Consulting LLC (“Company,” “we,” “us,” or “our”). By accessing our content, submitting information, purchasing an offering, or using our services, you agree to these Terms and any service-specific terms presented to you at checkout or in a separate agreement.
1. Eligibility and Use
You agree to use our websites, content, products, and services only for lawful purposes. You are responsible for the accuracy of information you provide and for maintaining the security of any account or access credentials issued to you.
2. Purchases, Fees, and Payment Plans
Prices and payment options are shown at the time of purchase and may change for future purchases. You agree to pay the amount stated at checkout, on an invoice, or in the applicable service description.
Payments may be processed through Stan, Stripe, PayPal, or another approved payment processor. If you select a payment plan, you remain responsible for all scheduled payments under that plan. A payment plan is a method of paying the full purchase price and is not a month-to-month cancellation arrangement unless expressly stated otherwise.
If a scheduled payment fails, access to products or services may be suspended until the account is brought current, subject to applicable law.
3. Refunds and Final Sales
Except where required by applicable law or where a specific offer expressly states otherwise, purchases are nonrefundable and all sales are final.
For digital products, courses, downloads, recordings, templates, and other immediately accessible content, no refund is offered merely because the purchaser changes their mind, does not use the product, or does not complete it.
For coaching, consulting, strategy, audits, programs, and other professional services, payments are nonrefundable except where required by law or expressly stated in a separate written agreement or service-specific terms.
If Company is unable to provide a purchased product or service, Company may provide a replacement, credit, rescheduled delivery, or refund as appropriate under the circumstances and applicable law.
4. Scheduling, Rescheduling, and No-Shows
Scheduled sessions are considered firm. Rescheduling is not generally permitted except for individual coaching sessions when Company elects to permit it. When rescheduling is permitted, you must provide at least 24 hours’ notice.
A missed appointment, late cancellation, or rescheduling request made with less than 24 hours’ notice may result in forfeiture of the session without refund or credit. Company may make an exception in its discretion. If Company must cancel or reschedule a session, Company will make reasonable efforts to provide a replacement time or other appropriate remedy.
5. Professional Services and Client Agreements
Certain coaching, consulting, strategy, or other professional services may require acceptance of a separate Client Services Agreement. If a separate signed or electronically accepted agreement conflicts with these Terms regarding a specific service, the service-specific agreement controls as to that conflict.
6. No Guarantee of Results
Our products and services are educational, informational, coaching, consulting, and strategic in nature. We do not guarantee revenue, sales, followers, audience growth, clients, brand partnerships, business opportunities, social-media performance, or any other specific result.
Examples, testimonials, case studies, earnings discussions, or prior results are provided for informational purposes and are not promises that you will achieve the same or similar results. Your results depend on factors including your decisions, effort, implementation, market, offer, experience, finances, timing, platform conditions, and other circumstances outside our control.
7. Professional-Scope Disclaimer
Unless expressly agreed in a separate written engagement, Company is not acting as your attorney, accountant, tax adviser, financial adviser, medical provider, or mental-health provider. Coaching and consulting services offered by Company are not psychotherapy or clinical social-work services. You remain responsible for obtaining appropriate licensed professional advice when needed.
8. Intellectual Property
Unless otherwise stated, Company owns or lawfully uses the content, training materials, frameworks, methods, videos, audio, graphics, worksheets, templates, documents, presentations, recordings, branding, and other materials it provides (“Company Materials”).
You receive a limited, nonexclusive, nontransferable license to use Company Materials for your own personal or internal business use. You may not reproduce, sell, sublicense, distribute, publish, teach, share login or access credentials, upload, publicly post, or create competing products from Company Materials without prior written permission.
You retain ownership of content and intellectual property that you independently create and provide to Company.
9. Recordings
Group coaching, workshops, trainings, or programs may be recorded for replay or access by authorized participants. Participation in a recorded group session may result in your name, image, voice, comments, or questions appearing in the participant replay.
Participation does not grant Company permission to use your name, image, voice, story, testimonial, or private results in public marketing or advertising. Separate permission will be obtained for such marketing use.
10. Communications and Marketing
We may send transactional communications necessary to deliver purchases, appointments, program information, invoices, account notices, or other requested services. Marketing communications will be sent in accordance with the consent choices available through our forms, checkout pages, email systems, and applicable law. You may unsubscribe from marketing emails using the unsubscribe method provided in those messages.
11. Privacy
Our collection and use of personal information is described in the Taft Coaching & Consulting LLC Privacy Policy, available here: https://docs.google.com/document/d/1zdiGbTkxFiHvb-E41KySaj539eFMrox8uEzBTYjzCzQ/edit?usp=drivesdk
By providing information to us, you acknowledge that your information may be processed as described in that policy and by the third-party platforms used to provide our services.
12. Third-Party Platforms
We use third-party platforms and service providers to operate portions of our business, including payment processing, checkout, scheduling, email, video conferencing, file delivery, analytics, and social-media services. We do not control third-party outages, policy changes, algorithm changes, account actions, or platform functionality. Your use of a third-party service may also be subject to that provider’s terms and privacy practices.
13. Suspension or Refusal of Service
Company reserves the right to suspend, limit, or refuse access to products or services when reasonably necessary to protect Company, its intellectual property, its clients or participants, or the integrity of its programs. For professional service relationships, termination rights may also be governed by the applicable Client Services Agreement.
14. Disclaimer of Warranties
To the fullest extent permitted by law, websites, content, products, and materials are provided on an “as is” and “as available” basis. Company does not warrant that access will be uninterrupted, error-free, or free of harmful components, or that information will always be complete or current. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
15. Limitation of Liability
To the fullest extent permitted by applicable law, Company will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from use of Company’s website, content, products, or services. To the fullest extent permitted by applicable law, Company’s aggregate liability arising from a particular purchase will not exceed the amount actually paid to Company for that purchase.
Nothing in these Terms waives or limits any right or remedy that cannot lawfully be waived or limited.
16. Indemnification
To the extent permitted by applicable law, you agree to be responsible for losses, claims, liabilities, or reasonable costs arising from your unlawful conduct, your material breach of these Terms, your infringement of another party’s rights, or content you submit or distribute through Company services.
17. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Subject to any nonwaivable rights or requirements under applicable law, court proceedings arising from these Terms will be brought in a court of competent jurisdiction in Texas.
18. Electronic Transactions
You agree that agreements, notices, disclosures, invoices, and other records may be provided electronically. Electronic acceptance, signatures, and records may be used to evidence your agreement, consistent with applicable law.
19. Changes to These Terms
We may update these Terms from time to time. Updated Terms will apply prospectively from the stated effective or updated date. Material changes to an already executed individual service engagement will be governed by the applicable service agreement and applicable law.
20. Severability and No Waiver
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law. Failure to enforce a provision on one occasion does not waive the right to enforce it later.
