Terms & Conditions

TERMS AND CONDITIONS

Effective Date: August 19, 2026

Last Updated: August 19, 2026

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THIS WEBSITE OR PURCHASING.

These Terms and Conditions (the “Terms”) apply to your use of the Company’s websites, Stan storefront, checkout pages, communities, and related services, and to your purchase or use of an Offering.

The seller and contracting party for every Offering is 1001537841 Ontario Inc., an Ontario corporation (the “Company,” “we,” “us,” or “our”). Vivid Ma is the owner and an authorized representative of the Company. All purchases and contracts are entered into with 1001537841 Ontario Inc.

By using a Company website or purchasing, enrolling in, or accessing an Offering, you agree to these Terms. If you do not agree, do not use the website or complete the purchase.

DEFINITIONS AND SCOPE

“Offering” means any product or service sold or provided by the Company, including coaching, mentorship, consulting, private or group calls, programs, courses, memberships, subscriptions, communities, workshops, events, recordings, digital downloads, templates, workbooks, resources, tickets, physical products, or other goods or services.

“Order Details” means the applicable sales page, checkout page, invoice, order confirmation, or other written purchase details identifying the Offering, price, currency, payment terms, delivery or access information, and material restrictions.

SEPARATE AGREEMENTS AND ORDER OF PRECEDENCE

Some Offerings require a separate signed agreement, such as a coaching or program agreement. That separate agreement governs the Offering it covers.

If documents conflict, the following order applies:

- First, the separate signed agreement;

- Second, the Order Details; and

- Third, these Terms.

If a separate signed agreement states that it is the entire agreement concerning an Offering, that agreement governs the purchase. These Terms will then apply only to general website use and matters the separate agreement expressly incorporates.

Nothing in these Terms changes the deliverables, duration, payment schedule, refund provisions, or other negotiated terms in a separate signed agreement.

ELIGIBILITY AND AUTHORITY

You must be at least eighteen (18) years old and have reached the age of majority in your jurisdiction to purchase an Offering.

You represent that you have the legal capacity to enter into these Terms and that the information you provide is accurate and complete. If you purchase on behalf of a company or other entity, you represent that you have authority to bind that entity.

OFFERING-SPECIFIC INFORMATION

Before purchasing, review the Order Details carefully. They will identify, as applicable, the Offering’s material features, price, currency, applicable taxes, payment schedule, delivery or performance date, access period, subscription or renewal terms, technical requirements, cancellation or refund rules, and other material restrictions.

The Company may make reasonable changes to the order, format, schedule, platform, instructors, coaches, contractors, or delivery method of an Offering when reasonably necessary to maintain or improve delivery, provided that the Company does not materially reduce the substance and value of what was purchased.

If a material paid component becomes unavailable, the Company may provide a reasonably equivalent substitute, reschedule it, or provide another remedy required by these Terms, a separate agreement, or applicable law.

Unless the Order Details expressly state otherwise, a purchase does not include unlimited access, perpetual platform or community access, future updates, private coaching, individualized support, or any product or service not identified at purchase.

STAN AND OTHER PLATFORMS

The Company may use Stan and other third-party platforms to display Offerings, process checkout, deliver digital content, manage subscriptions, host courses, schedule appointments, or communicate with purchasers.

The Company remains the seller of its Offerings. Stan, Stripe, and other platform providers are independent service providers and are not parties to your purchase agreement with the Company.

Your use of a platform may also be governed by that provider’s terms and privacy practices. The Company is not responsible for a third party’s acts, omissions, policies, security, or temporary unavailability, but will use commercially reasonable efforts to provide an alternative where a platform disruption materially prevents delivery of a paid Offering.

INTELLECTUAL PROPERTY AND LIMITED LICENCE

The website and Offerings contain materials owned by or licensed to the Company, including videos, audio recordings, calls, course lessons, frameworks, methodologies, templates, worksheets, documents, text, graphics, photographs, artwork, branding, website code, and other materials (collectively, the “Company Content”).

Subject to your compliance with these Terms and payment of all applicable fees, the Company grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and use Company Content solely for your own personal learning or internal business development during the applicable access period.

Except where the Company expressly authorizes otherwise in writing, you may not:

- Copy, reproduce, republish, upload, transmit, distribute, modify, translate, sell, license, sublicense, rent, share, or commercially exploit Company Content;

- Create a derivative or competing program substantially based on Company Content;

- Share login credentials or provide another person with access;

- Use Company Content to provide coaching, training, consulting, or other services to third parties;

- Remove proprietary notices;

- Record or redistribute calls, sessions, videos, or materials;

- Use Company Content to train, fine-tune, evaluate, populate, or develop an artificial-intelligence or machine-learning system; or

- Publicly post Company Content, including within private groups, memberships, or paid communities.

Downloading a file does not transfer ownership. Any continued right to retain a downloaded file is limited to the licence stated in these Terms or the applicable Order Details.

Unauthorized use may violate copyright, trademark, confidentiality, contract, or other laws and may result in suspension, termination, damages, injunctive relief, or another available remedy.

NAMES, MATERIALS, AND IDENTIFIERS

Names, logos, program names, designs, slogans, photographs, biographies, and branding displayed by the Company are proprietary identifiers of the Company or their respective owners and may be protected by applicable law.

No licence to use them is granted without prior written permission. No statement in these Terms represents that any particular name or identifier is a registered trademark.

YOUR MATERIALS

You retain ownership of materials you provide in connection with an Offering, including pre-existing intellectual property, branding, business materials, written work, images, recordings, and submissions (“Client Materials”).

You grant the Company a limited, non-exclusive licence to access, copy, store, and use Client Materials only as reasonably necessary to:

- Process and administer your purchase;

- Deliver the Offering;

- Provide requested feedback, coaching, or support;

- Maintain lawful business records;

- Protect the Company’s legal rights; and

- Comply with applicable law.

You represent that you have the rights required to provide Client Materials and that their permitted use will not violate another person’s intellectual-property, privacy, publicity, confidentiality, or other rights.

The Company will not publicly use your name, image, likeness, testimonial, private results, or Client Materials for advertising or marketing without separate permission.

FEEDBACK

If you voluntarily provide ideas or suggestions specifically concerning improvements to the website, Company Content, or Offerings, you grant the Company a perpetual, worldwide, irrevocable, royalty-free, transferable, and sublicensable right to use and incorporate that feedback without compensation or attribution.

Feedback does not include Client Materials, confidential business information, personal coaching submissions, or intellectual property you created independently of the Company.

DIGITAL DOWNLOADS AND SELF-PACED PRODUCTS

Digital products may include documents, templates, workbooks, recordings, files, or self-paced course content. Delivery occurs when the download, access link, or account access is made available to you.

You are responsible for confirming that your device, software, internet connection, and third-party accounts are compatible with the disclosed technical requirements.

Unless the Order Details state otherwise, digital products do not include customization, private coaching, technical consulting, future updates, or perpetual hosting.

Because digital content may be delivered or made accessible immediately, sales of digital downloads and self-paced products are final once access or delivery has occurred, except where the Company fails to deliver the purchased product or applicable law requires another remedy.

COURSES, PROGRAMS, COACHING, AND CALLS

The features, term, call entitlement, access period, support, response time, scheduling rules, and other deliverables of a course, program, coaching service, or mentorship are limited to what is stated in the Order Details or separate signed agreement.

Where calls or sessions are included and no separate signed agreement states otherwise, you must request cancellation or rescheduling at least forty-eight (48) hours before the scheduled start time.

A cancellation with less than forty-eight (48) hours’ notice, failure to attend, or arrival more than ten (10) minutes late without communication may be treated as a forfeited session without refund, credit, or replacement.

If the Company cancels, it will offer a reasonable replacement time at no additional cost.

All private calls, assistant-coach sessions, and other time-limited services must be booked and used within the period stated in the Order Details.

Unused services expire at the end of that period and have no cash, credit, replacement, extension, or transfer value, except where the Company failed to make a paid service reasonably available or applicable law requires otherwise.

LIVE WORKSHOPS AND EVENTS

Dates, times, locations, access instructions, replay availability, and ticket-transfer rules for a live workshop or event will be stated in the Order Details.

You are responsible for attending at the scheduled time and for meeting disclosed technical or admission requirements.

If you do not attend, your payment is not refundable unless the Order Details state otherwise or applicable law requires it.

If the Company materially reschedules or permanently cancels a paid event, it will offer, as appropriate, access to the rescheduled event, a reasonably equivalent substitute, a credit accepted by you, or a refund for the portion not delivered.

MEMBERSHIPS AND RECURRING SUBSCRIPTIONS

If an Offering is expressly sold as a recurring membership or subscription, the Order Details will state the recurring price, billing frequency, included access, and how to cancel renewal.

By subscribing, you authorize recurring charges until cancellation takes effect.

You may cancel a recurring subscription prospectively through the cancellation method provided in Stan or by emailing vivthings@vividma.com before the next renewal charge.

Cancellation stops future renewal charges and does not ordinarily refund a charge already incurred or provide a partial refund for the current billing period, except where the Order Details or applicable law require otherwise.

Access may continue until the end of the paid billing period unless the subscription is terminated earlier for breach.

A recurring subscription is different from a payment plan for a fixed-price Offering. Cancelling a subscription stops future renewal periods. Cancelling platform access or withdrawing from a fixed-price Offering does not cancel valid instalments of its already agreed total purchase price.

PHYSICAL PRODUCTS

If the Company offers a physical product, the Order Details will state the product description, price, currency, shipping charges, delivery estimate, geographic restrictions, and applicable return or exchange terms.

Delivery estimates are not guarantees where delay is caused by a carrier, customs authority, incorrect address, or event beyond the Company’s reasonable control.

Nothing in these Terms excludes a condition, warranty, return right, refund right, or remedy concerning physical goods that applicable law does not permit the Company to exclude.

COMMUNITY PARTICIPATION AND CONFIDENTIALITY

Offerings may involve communities, group calls, workshops, or other settings in which participants share personal, professional, or confidential information.

You must not:

- Record an interaction without permission;

- Disclose another participant’s private or confidential information;

- Copy or share another participant’s materials;

- Solicit, harass, threaten, discriminate against, or abuse another participant;

- Promote unrelated products or services without permission; or

- Use information obtained through an Offering for an unlawful or unauthorized purpose.

The Company cannot guarantee that every participant will comply. Exercise reasonable judgment about what you disclose in a group environment.

The Company may suspend or remove a participant who materially violates this section. If access is terminated because of that violation, amounts already paid are non-refundable and valid outstanding amounts remain payable, except where applicable law requires otherwise.

RECORDING

You may not record a call, workshop, event, or session without the Company’s written permission.

The Company will provide advance notice before recording a session and will obtain any consent required by law.

A recording may be used only for the disclosed purpose, such as providing a replay, delivering an Offering, or maintaining internal records. A session recording will not be used for public marketing without separate permission covering that use.

PRIVACY NOTICE: INFORMATION COLLECTED

The Company may collect information you provide or that is reasonably generated through your interaction with the Company, including your name, email address, telephone number, city and country, billing and transaction information, account information, communications, submissions, call participation, program activity, and information needed to deliver an Offering.

The Company and its service providers may automatically receive technical information such as IP address, device and browser type, pages viewed, referring page, approximate location derived from IP address, and cookie or similar-technology data.

PRIVACY NOTICE: PURPOSES

The Company may use personal information to:

- Process purchases and payments;

- Provide Order Details and receipts;

- Create and administer access;

- Deliver Offerings;

- Schedule calls;

- Communicate with you;

- Provide customer support;

- Maintain tax, accounting, and business records;

- Prevent fraud and misuse;

- Secure and improve its systems;

- Enforce agreements;

- Comply with law; and

- Carry out another purpose disclosed at or before collection.

The Company will not sell personal information. It will not publicly disclose private coaching information, results, testimonials, images, recordings, or likenesses for marketing without separate permission.

PRIVACY NOTICE: SERVICE PROVIDERS AND INTERNATIONAL PROCESSING

The Company may provide information to contractors and service providers reasonably required to operate its business, including Stan, payment processors, email providers, videoconferencing and scheduling platforms, course and community platforms, analytics providers, cloud-storage providers, assistant coaches, contractors, accountants, and professional advisers.

Some providers may process information outside Ontario or Canada. Information processed in another jurisdiction may be subject to that jurisdiction’s laws.

The Company remains responsible for personal information under its control and uses safeguards appropriate to the circumstances.

The Company may also disclose information where reasonably necessary to:

- Comply with law or legal process;

- Investigate fraud, misconduct, or a material breach;

- Protect a person, property, privacy, security, or legal right;

- Collect a valid unpaid debt;

- Complete a lawful business transaction; or

- Respond to an emergency.

PRIVACY NOTICE: CHOICES, ACCESS, RETENTION, AND ACCOUNTABILITY

You may request access to or correction of personal information held by the Company, subject to applicable exceptions.

You may withdraw consent to an optional use, subject to legal or contractual restrictions and reasonable notice. Withdrawal may prevent continued delivery where the information is reasonably necessary to provide an Offering.

The Company retains personal information only as long as reasonably necessary for identified purposes and legal, tax, accounting, record-keeping, dispute, and enforcement requirements.

Information no longer reasonably required will be deleted, destroyed, or anonymized as appropriate.

The Company is accountable for its personal-information practices. Responsibility for privacy compliance is assigned to Vivid Ma, the Company’s owner; this is not a separate department or office.

Privacy questions, requests, or complaints may be sent directly to the Company using the contact information at the end of these Terms. The Company will review complaints and explain any further recourse available where a matter is not resolved.

INFORMATION SECURITY

The Company uses commercially reasonable administrative, technical, and physical safeguards appropriate to the nature and sensitivity of the information under its control.

No website, email, platform, transmission method, or storage system is completely secure, and the Company cannot guarantee absolute security.

You are responsible for protecting your credentials and devices and for promptly notifying the Company of suspected unauthorized access.

If the Company becomes aware of a privacy or security breach, it will assess, document, report, and provide notification where required by law.

ELECTRONIC AND MARKETING COMMUNICATIONS

You consent to transactional, administrative, payment, access, and service-related electronic communications reasonably necessary to administer a purchase or Offering.

Purchasing an Offering does not by itself constitute express consent to receive unrelated promotional email or text messages.

Marketing communications will be sent only with consent or as otherwise permitted by law. You may unsubscribe at any time using the provided mechanism.

Unsubscribing from marketing does not stop communications reasonably necessary to administer an existing purchase or account.

PRICES, TAXES, AND PAYMENT

You agree to pay the price and charges disclosed in the Order Details. The applicable currency will be displayed before purchase.

Unless stated otherwise, you are responsible for applicable taxes, shipping, transaction charges, or other disclosed charges. Prices for future purchases may change without affecting a completed purchase.

Payments may be processed through Stan, Stripe, or another provider under that provider’s terms and privacy practices. You must provide a valid payment method and accurate billing information.

FIXED-PRICE PAYMENT PLANS AND INITIAL PAYMENTS

If a fixed-price Offering is sold using a payment plan, the total purchase price and complete instalment schedule will be disclosed before purchase.

A payment plan is a payment convenience and is not a subscription, trial, reduced price, or pay-as-you-go arrangement.

Where an Initial Payment is required, it is the first payment credited against the fixed total purchase price.

If the Order Details state that the Initial Payment is non-refundable, it is paid in consideration of the Company accepting the order, reserving capacity where applicable, beginning delivery or onboarding, and incurring administrative or opportunity costs.

It remains subject to any remedy required by a separate agreement or applicable law.

You authorize the Company and its payment processor to charge each agreed instalment on its due date.

Unless a separate agreement or applicable law provides otherwise, you remain responsible for the complete fixed purchase price if you:

- Stop participating;

- Fail to use or complete the Offering;

- Lose access because of your breach;

- Change your mind; or

- Experience changed personal, professional, health, scheduling, financial, or business circumstances.

If a payment fails, the Company may reattempt the charge, request another payment method, and suspend access until the account is current.

If an instalment remains unpaid for fourteen (14) days after written notice, the Company may declare the valid outstanding balance immediately due, terminate access, and refer the balance for collection.

You are responsible for reasonable collection costs actually incurred, including reasonable legal fees, to the extent permitted by law.

REFUND AND CANCELLATION RULES

The refund and cancellation rules depend on the type of Offering and any separate agreement.

Unless the Order Details or a separate agreement provide otherwise:

- Digital downloads and self-paced products are final sale after delivery or access.

- Fixed-price courses, programs, coaching, workshops, events, and services do not include a voluntary change-of-mind cancellation, refund, credit, transfer, or release from a valid agreed payment plan.

- Recurring memberships and subscriptions may be cancelled prospectively to stop future renewals as described above, but previously incurred charges are not refunded merely because the subscription was not used.

- Physical-product returns or exchanges are governed by the Order Details and non-waivable law.

The Company does not provide a refund merely because you:

- Changed your mind;

- Did not attend, use, download, or complete an Offering;

- Were dissatisfied with progress or results;

- Experienced changed personal, professional, health, scheduling, employment, financial, or business circumstances; or

- Found a similar product at another price.

If the Company permanently cancels an Offering or materially fails to deliver a paid portion, it will provide, as appropriate, a reasonably equivalent substitute, a reasonable rescheduling opportunity, a credit accepted by you, or a pro-rata refund for the portion not delivered.

Nothing in these Terms excludes a cancellation, refund, warranty, chargeback, or other right that applicable law does not permit the parties to waive.

CHARGEBACKS AND PAYMENT DISPUTES

If you believe a charge is incorrect, contact the Company promptly and provide a reasonable opportunity to investigate.

Nothing in this section restricts a legitimate right under applicable law or a payment-card agreement.

A fraudulent, knowingly false, or bad-faith chargeback concerning a valid charge is a breach of these Terms.

The Company may:

- Provide the payment processor or financial institution with the applicable Terms, Order Details, separate agreement, communications, access records, and delivery evidence;

- Suspend or terminate access; and

- Pursue a valid unpaid amount and reasonable recovery costs to the extent permitted by law.

A chargeback does not independently cancel an otherwise valid payment obligation.

EDUCATIONAL NATURE AND NO PROFESSIONAL ADVICE

Company Content and Offerings are educational and informational. They do not constitute legal, accounting, tax, financial, investment, medical, mental-health, or other regulated professional advice.

Consult an appropriately qualified professional regarding decisions requiring such advice.

Coaching is not therapy, counselling, medical treatment, or crisis care. The Company does not diagnose or treat physical or mental-health conditions.

You remain responsible for your decisions, actions, business activities, legal and regulatory compliance, and results.

NO GUARANTEE OF RESULTS

The Company does not promise or guarantee income, revenue, clients, sales, audience growth, employment, brand deals, placements, introductions, contracts, media coverage, business success, personal improvement, or any particular outcome.

Examples, testimonials, projections, case studies, earnings figures, and prior results are illustrative and are not promises of your results.

Results depend on factors outside the Company’s control, including experience, market conditions, offer, audience, effort, consistency, decisions, skills, resources, timing, and implementation.

DISCLAIMER OF WARRANTIES

To the maximum extent permitted by law, the website, Company Content, and Offerings are provided “as is” and “as available.”

The Company does not warrant uninterrupted or error-free access, correction of every defect, compatibility with every device or platform, or any particular result.

To the maximum extent permitted by law, the Company disclaims warranties that may lawfully be excluded, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Nothing in this section excludes a condition, warranty, or right that applicable law does not permit the Company to exclude.

SUSPENSION AND TERMINATION

The Company may suspend or terminate access for:

- Non-payment;

- Material breach of these Terms, Order Details, or a separate agreement;

- Unauthorized use or distribution of Company Content;

- Unlawful, fraudulent, threatening, harassing, discriminatory, abusive, or disruptive conduct;

- Violation of another person’s privacy, confidentiality, or intellectual-property rights;

- Compromise of platform security; or

- Conduct reasonably creating a material safety, legal, privacy, security, or reputational risk.

Where reasonably appropriate, the Company will provide notice and an opportunity to correct the breach.

Immediate action may be taken for serious misconduct, fraud, illegality, threats, or urgent safety, privacy, intellectual-property, or security risks.

If access is terminated because of your breach, amounts already paid are non-refundable and valid outstanding fixed-price obligations remain payable, subject to applicable law.

If the Company terminates a paid Offering for convenience and not because of your breach, it will provide a remedy for the material paid portion not delivered.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, the Company and its directors, employees, contractors, coaches, and agents are not liable for indirect, incidental, special, consequential, exemplary, reliance, or punitive damages, or for lost income, profits, revenue, business opportunities, goodwill, anticipated savings, data, or reputation, regardless of legal theory and even if advised that such loss was possible.

To the maximum extent permitted by law, the Company’s total aggregate liability arising from a specific Offering or these Terms will not exceed the amount actually paid to the Company for the specific Offering giving rise to the claim.

For a recurring subscription, the limit is the amount paid for that subscription during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability to the extent it cannot lawfully be excluded or limited, including liability arising from fraud, fraudulent misrepresentation, wilful misconduct, or a non-waivable consumer remedy.

INDEMNIFICATION

To the extent permitted by law, you will indemnify and hold harmless the Company and its directors, employees, contractors, coaches, and agents from third-party claims, damages, liabilities, judgments, and reasonable legal expenses arising from:

- Your material breach;

- Your unlawful conduct;

- Infringing Client Materials;

- Unauthorized use or distribution of Company Content;

- Misconduct toward another participant; or

- Use of an Offering to provide unauthorized services to a third party.

The Company will provide reasonable notice of a claim and will not settle it in a manner that admits wrongdoing by you or imposes a non-monetary obligation on you without your reasonable consent.

FORCE MAJEURE

Neither party is liable for delay or failure caused by circumstances reasonably beyond its control, including serious illness or incapacity, natural disaster, severe weather, fire, flood, epidemic, pandemic, labour disruption, war, civil unrest, government action, utility failure, internet or telecommunications failure, cybersecurity incident, or failure of a material third-party platform.

The affected party will use reasonable efforts to resume performance.

If a force majeure event permanently prevents the Company from delivering a material paid portion, the Company will provide an appropriate substitute, a credit accepted by you, or a pro-rata refund for that portion, subject to applicable law.

GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.

Subject to a mandatory consumer-protection right or jurisdiction that cannot be waived, the parties submit to the courts located in Ontario.

Before commencing formal proceedings, the parties will first attempt in good faith to resolve the dispute through written communication.

This does not prevent urgent injunctive relief or exercise of a right that cannot lawfully be restricted.

CHANGES TO THESE TERMS

The Company may update these Terms prospectively.

The version presented and accepted when you purchase governs that purchase unless you expressly agree to a later version, a change benefits you without imposing a material new obligation, or a change is required by law, safety, or security.

Material changes affecting an ongoing recurring subscription will be communicated in advance where reasonably practicable and will take effect only as permitted by law.

Posting revised Terms does not retroactively remove rights or materially alter completed purchases.

ENTIRE AGREEMENT

Subject to the Separate Agreements and Order of Precedence section, these Terms and the applicable Order Details constitute the agreement concerning the applicable purchase and supersede prior discussions concerning that subject.

This does not exclude liability for fraudulent misrepresentation or override an express written promise in the applicable Order Details.

ASSIGNMENT

You may not assign or transfer your rights or obligations without the Company’s written consent.

The Company may assign these Terms in connection with a reorganization, merger, sale, or transfer of the relevant business or assets, subject to applicable law.

NO WAIVER

A delay or failure to enforce a right does not waive that right or prevent later enforcement.

SEVERABILITY

If a provision is invalid or unenforceable, it will be limited or severed only to the minimum extent necessary, and the remainder will continue.

ELECTRONIC ACCEPTANCE

Acceptance through a checked online checkbox, electronic signature, or another affirmative checkout action has the same effect as written acceptance.

A checkbox used to accept these Terms must be unchecked by default and selected by you before purchase.

You should retain a copy of these Terms and your Order Details.
